D, sewage treatment works. 12. "M. S. S. D. " means the Minneapolis-Saint Paul Sanitary District � • organized and existing under the provisions of Minnesota Statutes (1965), � Chapter 445, and as said Chapter may be amended from time to time. 13. "New M.S. S. D. Sewage Treatment Works" means the treatment �� facilities of the M. S. S. D, constructed or to be constructed after December 31, � 1961. � 14. "Original cost" of a facility is the total contract cost plus direct expenditures for engineering, inspection, legal and administrative work directly � connected thereto, less any amounts paid with money received as a direct grant � _ from the United Statea Government. Where the contract costs are a part of the hiatorical record but the engineering, inspection, legal and administrative coste � are not ao itemized, an amount not to exceed ten percent (10%) of the contract � cost may be added as a reasonable estimate 'thereof. 15. The authorized limits of service, the designated place(s) of con- nectiox�, and the �naximum allowable rates of discharge as set forth in the ' � WS-A aforementioned Exhibit constitute an essential part of the funda- ';� mental basis of this agreement and its provisions for charges and payments. r These limitations shall not be exceeded and no change ahall be made therein � excep� as such change be set forth in a supplemental, agreexnent executed � by the City and the �5uburb. Such supplemental agreement shall have attached and incorporated therein properly revised versions of each � exhibi� or schedule wh:ch is a part of this agreement and such revisions � shall properly show the basis and amount o£ change in charges including _� the� applicable interest rates payable by the Suburb. All revisions in exhibits or sehedules shall be prepared in such manner as to clearly show '�� the original amounts, the revi�ed amounts, the authority for the revisions, az�d the date thereof. Any revised charges shall be ba�ed upon the same � formulas as used in this agreement. �� � -S- �� � ; � � � 7. The Chief Engineer of the City, or any employee authorized by � the Chief Engineer of the City upon reaeonable notice first given to the Suburb, shall be permitted, at the expense of the City, to inspect the con- � struction, as well as the operation, of the sewer system in the 5uburb at � any time to aee that the same is being conetructed and operated according to plans and specifications and operated in compliance with acceptable � munici al ractice and that the agreement herein contained is being complied P P � with insofar as it is reasonably necessary to protect the City. The Suburb, � upon reasonable notice first given to the City, ahall be permitted, at the � expense of the Suburb, to inspect the cons.truction, condition and operation � of any sewer within the City used by the Suburb at any time to see that the same has been constructed and operated according to plans and specifications � and operated in compliance with acceptable municipal practice and that the � agreement herein contained is being complied with insofar as is reasonably � necessary to protect Suburb. 8. During the construction of sew�rs within the Suburb special care � shall be exercised not to allow any gravel, sand, dirt or any other heavy i � ', � material to be washed or carried into the sewers of the City, and no grit, � dirt or heavy substance of any kind ehall be permitted by the Suburb to be '', � " durrxped into ita sewers. MEASUREMENT OF 5UBURB'S SEWAGE FLOW. 1. To measure the volume of sewage diacharged from the public � ewer s stem of the Suburb into the public sewer system of the eanitary s y � City, an accurate sewage metering device ahall be constructed and main- tained at each connection point. The metering device shall be equipped � and recordin mechanism housed in a suitable with a remote registering g � structure which indicates and continuously records the rate of flow, and � which measures and totalizes the quantity of sewage passing through the � - meter. � 2. The sewage metering device shall be provided by the Suburb.at � its own expe ns e. - 3. The type and location of the sewage meter and all plans, spec �' � ifications, and details pertinent thereto shall be aubject to the approval of the Chief Engineer and the Commisaioner of Public Works of the City. � 4. The operation and 'maintenance of the metering device, including 1� the reading and recording of results shall be done by the City. The City � shall keep an accurate record of all materials, labor, replacement of '� equipment, euppliea or other expense incurred in the operation and mainte- �� � nance of each metering device, and the City shall be reimburaed for the �� full coet thereof as provided in Section 5 of thia agreement (Subdiviaion 10). ..� I� ! -11- �� I , 1<._ � 5. CHARGE5. .� 1. For the ;,privilege of connecting its public sanitary sewer system '�' and discharging its� sanitary sewa�e into and through the sewer system of the City and through the facilities of the M. S. S. D, , the Suburb shall pay -M1� to the City the annual charges hereinafter provided in this a reement. � ' ;� 2. The Suburb shall pay the City a capital charge for those portions ' of the M. S. S. D. i;nterceptor sewer, which the City is entitled to use, which -�� are used to coz�ve the Suburb's sewa e to the sewa e treatment lant. Y g g P , � The Suburb's capital apportionment in each segment of the M. S. S. D. inter- ceptor sewer shall be that percentage of the segrzlent's present depreciated � value that the Suburb's peak desi n rate of dischar e throu h the se ment g g g g � bears to the total capacity available through the given segment. Credit r sha11 be giuen for federal grants in the same proportion as the amounts � of such rants were to the ori inal cost of such facilities as shown on � . � � Schedule WS-12 The calculation of the Suburb's capital apportionment � for each facility applicable under this subdivision is set forth in detail in Schedule WS-5 Which is attached hereto and is hereby made a part of this ,� agreement. The total apportionment sl�own thereon may be paid by the � Suburb as a lump sum; or it may be paid in 120 equal quarterly payments � -13- ' � • � � which include interest on the unpaid principal balance at the rate of three - and five-tenths percent (3. 5°jo) per annum (computed quarterly). The fixst '� such quarterly payment shall be for the quarter ending Sept. 30, 1965 , � . P�.'yments shall be made quarterly thereafter until principal ^� and interest are f�;lly paid. Suburb shall have the right of prepayment of the , unpaid principal b�.lance, or any part thereof, at any time without penalty. 1 � If the payment of syuch sum is paid in 120 equal quarterly installments, each such installment shall amount to one and thirty-five one-hundredths percent .� (1 . 35°fo) of the total apportionment. r� By paying s:uch charge for the M. S, S. D. interceptor sewer, the !' !� Suburb is acquiri�g the permanent right to use a portion of that capacity �r which the City is presently entitled to use, said capacity rights being equal �'�..� to tlie peak design rate of discharge used in computing the capital appor- !`� tionment, all as set forth in detail in Schedules WS-4 and WS-5 � of th�s agreernent. �r.� . . . . � . 3. The Subuxb shall pay the City a capital charge for each City ';.� sewer used to convey Suburb's sewage from the point or points pf connec- ' tion to the M. S. S. D, interceptor sewer. Some of these sewers may con- �� sist of combined sewers which were designed and built for the primary � purpose ot collecting or conveying sanitary sewage and stor�n water from , are�s within the City's corporate lirnits. Therefore, there is no substantial `� ss fth � capacity thereinwhichis in exce o e City s present and future capaclty � � -14- � ' � - :_., ,.. . i , ' ' requirements, and whereas for water pollution control and other reasons :� the use of combined sewers is regarded with increasing disfavor by regu- latory agencies,,' it is not possible to ascertain how long intthe future each ",� 5e ment of combined sewer will continue to be available for the conveyance g � ' '� of sanitary sewage. Gonsequently, the use of said combined sewers by i the Suburb for con,veyance of sanitary sewage is regarded under this , `,� , a�xeement as a te�nporary expedient exercised for the convenience of the `� Suburb in the in F+�rest of preserving the public health and welfare. Three points, Annapolis 5t, and �elaware Ave. , Sidney St. and Dodd Rd. , and Annapolis St. and So. Robert 5t. require the installation of ineasuring and recording devices. These devices shall b� designed to meet the existing conditioMS at each location I and to accurately recoxd the ma�imum allowable rate of discharge at that point. Approval of the metering location as well as of the fi.nal plans a.nd specifications 1 #or the ins�allation shall be secured frqm the City Engineer, City of St. Paul, prior to cQnstruction. The meters are, as a part of this contract� to be in service on or befpre December 31, 1970. The measuring a.nd recording device presently � ins�alled in the pumpir�g station at Em.erson Ave. East of Oakdale Ave. shall be certified for accuracy and placed in service on or before De�em.ber 31� 1970. , The Gity of West St. Paul, i.n lieu of ineasuring the voluxne of sewage from tl�e other 11 points of con.nection shall submit to the City of St. Paul all i.nformation necessary to ascertain the tqtal .number of individual connection to � the sewer system that are .t�ot tributary to a meter. The total number of u.n- metered individual eonnectio.ns shall be multiplied by 400 gallons per connection per day. The amount so estimated sha11 be added to the measured volume of � sewage to determine the total adjusted dry weather volume of sewage contributed by the City of West St. Pau�. � At an}r time that the City or the suburb indicates that, in their opinion, the above described method for es�iznating the volume of sewage from unmetered areas no longer approximates, with reasonable accuracy, the true a.nd coxrect � usage made of the system, then a temporary xrxeasuring device of a type agxeeable to both parti�s shall be installed and periodic measurements taken. These measurements would ther� form the basis for estimating the vo�uzne of sewage � tributary to that con.nection.
