authorized to enter into and execute a Lease Agreenent with
PAC, INC., for leasing of a portion of the Municipal Stad�wn upon
the terms and cond�ttions contained in the attached "Exhibit A",
which is made a part hereof by reference.

LEASE AGREEPIENT
THIS AGREE���EPJT, made and entered into this day of
, 1970, by and between the City of Saint Paul ,
a municipal corporation of the State of �linnesota, hereinafter
referred to as "Lessor," and PAC, INC., a Minnesota corporation, vrith
address at Room W-1260, 4lest First Pdational Eiank Building, 332 Minnesota
Street, Saint Paul , ^linnesota 55101 , hereinafter referred to as
"Lessee,°
WITNESSETH:
1 . Lessar, for the consideration hereinafter set forth, does
hereby let unto Lessee the walk-in coolers and a concession office
located in the hlunicinal Stadium of the City of Saint Paul .
2. This lease shall be for the period of time extending from
the 15th day of November, 1970 until the 15th day of January, 1970 and
subject to all the terms, covenants and conditions set forth herein.
3. As consideration for the use of the deriised premises,
Lessee shall pay on or before the 3lst day of December, 1970, the sum
of 7hree Hundred Dollars ($300.OQ) , payable at the office of the Corr�nissioner
of L.ibraries, Auditorium and Civic Buildings, in the City Hall and Court
Ho�=� _, Saint Paul , tdinnesota.
4. Lessee agrees to furnish and maintain, during the term of
this lease, public liability insurance �vhich shall protect the lessor and
the lessee from all claims or damages for personal injury, including
accidental death, �vhich may arise out of the occunation or use of said
premises by the Lessee, �vhich public liability insurance shall be in an
amount of not less than One Hundred 7housand Dollars ($100,000) per person
for injuries, including accidental death, and subject to the same limitations �
for each person in an amount of not less than Three Hundred Thousand Dollars
($300,000) on account of any single accident �or incident, and further include

coverage for property damage in an amount not less than Three Hundred
Thousand Dollars ($30Q,000) arisinq out of a single occurrence, which
policies of insurance or certificates shall state that thirty (30} days'
written notice shall be given to the City before said insurance is changed
or cancelled. Copies of sajd insurance policies or certificates shall be
filed with the City Comptroller of the City of Saint Paul .
5. Lessee does hereby expressly agree and undertake to fully
indemnify, hold harmless and defend the City of Saint Paul , its agents,
officers and emplayees from any and all damages, claims, losses, ,judgments,
suits, expenses, actions or causes of action in �,rhatsoever manner arising
out of or occasioned by the occupation or use of the said premises by
Lessee. Lessee shall furnish and maintain a surety bond in the amount of
Three Hundred Dollars ($300.00) conditioned unon its complying with all the
terms and conditions of this lease agree�nent, including the foregoing
inde�nnification provision and restoration obligation provided for herein,
unless payment is made under the terms of the contract by the Lessee a�ithin
five (5) days of the execution af this contract, in �vhich case the bond
requirement will not be necessary.
6. Upon termination of this lease agreement pursuant to the
terms hereof, Lessee expressly agrees, at its own cost, to restore the
demised premises to its original condition and to the satisfaction of the
Commissioner of Libraries, �uditorium and Civic Buildings.
7. This lease may be terminated by either party upon thirty (30)
days' written notice thereof at the last known address of the party being
notified; service of such notice upon the Lessor shall be made upon the City
Clerk.
8. This lease may not be assigned, sub-leased or transferred by
either party without the priar written consent of the other party.
