THIS AGREEMENT, Ma.de and entered into this day of , 1970, by and between the CITY OF SAINT PAUL, a municipal corporation of the State of Minnesota (hereina.fter re- ferred to as "City"), and the TWIN CITIES METROPOLITAN PUBLIC TRANSIT AREA, a public corporation and political subdivision of the State of Minnesota, acting by and through its governing body, the TWIN CITIES AREA METROPOLITAN TRANSIT COMMISSION, established pursua.nt to Chapter 892, Laws of 1967, (hereina.fter referred to as ��MTC"); WITNESSETH: WHEREAS, MTC, pursua.nt to authority provided in Minnesota Statutes, Section 473A.06, Subd. S, is empowered to use public streets and right-of-way for the purpose of erecting passenger waiting shelters; and WHEREAS, The City recognizes the benefits to be afforded its citizens thereby and thus wishes to cooperate in so establishing passenger shelters within the City limits; NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLO�IS: 1. MTC ma.y, at its own expense, construct, operate, maintain and remove passenger waiting shelters in the City limits, the lo- cation of which shall be subject to the approval of the City' s Commissioner of Public Works . � 2. The City may request additional locations and removal of existing shelters when it is in the public interest to do so. 3. MTC shall protect and indemnify and hold harmless the City for any dama.ges, actions or causes of actions wha.tsoever that arise or. ma.y arise out of the construction, maintenance or removal of the , � --a. - shelters permitted herein. � 4. It is agreed that neither party re.linquishes or waives � any of the responsibilities or powers imposed upon it by 1aw or regulation by the execution of this Agreement. � 5. This Agreement ma.y be termina.ted by either party for any reason whatsoever by the giving of the opposite party ninety (90) days' written notice thereof.
