WHEREAS , the Committee on Lands has secured an offer to
sell to the City the lands and buildings comprising the Hotel 4
Lowry, more fully described as Lots 11 and 12 and the Southerly
25 feet of Lots 1 and 2, Block 21, City of St . Paul, according
to the plat thereof on file and of record in the office of
the Registrar of Titles of Ramsey County, which offer is
incorporated in a letter dated December 28, 1970, signed by
Harry L. Holtz, President, First Trust Company of St . Paul,
attached hereto and incorporated herein by reference , and
WHEREAS , the Mayor has, by means of the letter aforesaid
and the report of the City Architect dated November 23 , 1970 ,
attached hereto and incorporated herein by reference, reported
to the Council the estimated cost of acquiring said lands and
buildings and remodeling the same to provide office space
for the use of public agencies and offices of the City of
St. Paul, and
WHEREAS , the Mayor and Council deem it to be in the public
interest and advantageous to the City to acquire such lands
and buildings on the terms set forth in the letter aforesaid,
now, therefore, be it
RESOLVED, by the Council of the City of St. Paul, that it
hereby accepts the offer herein described, and that the proper
City officials are authorized to take all steps necessary to
obtain a priority rating for the purchase of these lands and
buildings from the Capital Improvements Budget Committee and to
take such other steps as are necessary to arrange a closing at
which the purchase of such lands and buildings may be consummated,
and be it further

expresses its intent, upon the receipt of a priority rating from
the Capital Improvements Budget Committee to adopt an amended
Capital Improvements Budget for 1970 appropriating $775 ,000 .00
for the purchase of the lands and buildings aforesaid, providing
for such funds to be advanced from the Permanent Improvement
Revolving Fund during 1970 , such advance to be reimbursed from
credits to be received in 1971 from the proceeds of the sale of
the City's interest in the Minneapolis-St. Paul Sanitary District.

Pursuant to Section 303 of the Charter of the City
of Saint Paul, the Committee on Lands has secured and
offered to sell to the City of Saint Paul property known
as the Hotel Lowry, at a total cost of $775 ,000 .00 .
It is a recommendation to the Council by said
Committee , that this offer be accepted as being in the
best interestsjof the City of Saint Paul.

Dear Mayor McCarty:
This letter contains a summary of the terms on which
we orally offered to se11 to you the Lowry Hotel.
(1) The purchase price is $775,000.00 in
cash.
(2) All 1969 taxes payable in the year 1970
will be paid.
(3 ) Real estate taxes, if any, on said hotel
due in the year 1971 for the yea,r 1970 will be
the obligation of the City, and any installments
of existing assessments pa,yable therewith or
thereaf ter.
(�+ ) The lease between the Saint Paul Hotel
Company and the owners of the property will be
canceled as of the time of closing, but the City
of Saint Paul will assume the obligations of the
Saint Paul Hotel Company to the tena.nts f or all
other leases, a, schedule of which is attached.
(5) First Trust Company of Saint Paul is
pu rchasing this property under contract for deed
from the Ordway Trust. At the time of closing,
the trustees of the Ordway Trust will convey the
property to First Trust Company of Saint Paul by
a Warranty Deed, and First Trust Company of Saint
Paul will convey to the City of Saint Paul by
Limited Warranty Deed, subject to the af ore-
mentioned subleases by the Saint Pa�ul Hotel
Company, such deeds to be accompanied by an
Owner ' s Duplicate Certif icate of Title and a
Registered Property Abstract.
This offer to sell is conditioned upon acceptance a�s

The plaintiffs➢ as and for the cause of action against the defendant,
state and allege:
I.
That at all times herein pertinent, the plaintiffs, and each of them,
were and are-residents of the City of St. Paul, Minnesota, and homeowners
therein; that John Tomlinson resides at 2232 Conway, 55119, and is the
owner of said property; that Steve Gadler resides at 2120 Carter, 55108,
and is the owner of said property and in both instances he is the owner
of said property and has paid real estate taxes thereon for the current �
year; that the plaintiffs, and each of them, bring this action on beHalf of
all other residents and taxpayers of the City of St. Paul who are situated
in a similar position and who are too numerous to mention in the title of
this action, said action being brought as a class action on behalf of all
those similarly situated.

That on the 29th day of December, 1970, said City Council of
the City of St. Paul by an affirmative vote of five (5) to two (2) adopted a
�Zesolution of Intent, copy of which is appended hereto as Exhibit A; that �
this Resolution of Intent authorized city officials to take all necessary
steps to obtain a priority rating for the purchase of those lands and
buildings located within the City of St. Paul and commonly referred to
as the Lowry Hotel; that the resolution further expresses the intent of the
Council that upon the receipt of a priority rating from the Capit$1 Improvements
Budget Committee that the Council adopt an amended Capita.l Improvements
budget for 1970 appropriating $775, 000. 00 for the purchase of the said
Lowry Hotel.

That the Capital Improvements Program for the City of St. Paul
also authorized by Chapter 460 of the Laws of Minnesota for the year 1967;
that the provisions of Chapter 460 were amended and supplemented by
Chapter 1103 of the Session Laws of Minnesota for 1969; that the said
Chapter 1103 provides in part as follows:
"The Council of said city shall by ordinance provide for the
preparation and adoption, by resolution, of an annual capital
budget for said city for each year of the aforementioned two-
year period, and no funds of said city, from whatever source
derived, shall be expended for any capital improvement other
than acquisition of office or,mechanical equipmsnt, or fo�r , ,
minor remodeling or repairs of existing structures, excep't in
accordance with said capital budget, which may, however, be ,
from time to time amended as the council may by �orc�inance
P�'escribe, ���, � ., , � � , � � � � � �� .
That pursuant to the,aboye acts of the state legislature, Ch,apter 66 , ,�

in full detail the nature thereof, the amount and estimated
value of the land needed, if any, and a statement, certified
by the comptroller, of the funds available, or the manner
in which such funds may be provided. If the council approve
such project, it shall, by ordinance, order the same to be
made and provide funds therefor in accordance with the
provisions of this charter. "
That as expressed in the Resolution of Intent, a copy of which is
appended hereto, it does not appear that a report has been made to the
City Council of the City of St. Paul disclosing an accurate estimate of
the cost of such improvement together with sketch plans and such other
data as to give a full detailed nature of this proposed acquisition; that
there is not available an accurate estimate of said land need; that the
Council has not determined the necessity of obtaining said land; that
there has not been presented to the Council a statement certified to by
the Comptroller of the said city of the funds available or the manner in
which said funds can be provided; that the Council has not approved said
project by ordinance nor has any provision been made for said approval
by ordinance.
VI.
That upon information and belief it appears that the Mayor and
City Council of the City of St. Paul intend to contract for the purchase of
said property on or before December 31, 1970, and to consummate said
agreement by the expenditures of public funds therefore without approval
of said project by the Council of the City of St. Paul by an ordinance
adopted by said Council in accordance with provisions of Chapter 302 of
the Charter of the City of St. Paul; that there has been no public hearing

upon this project, that is, upon the question of the acquisition of the Lowry '
Hotel by the Council of the City of St. Paul in violation of the provisions of ;

Improvements Budget provisions was adopted by the City Council, that
the Paragraph 66. 06 of said chapter provides as follows:
"Except as hereinafter provided with respect to the years
1967 and 1968, all capital improvement budget requests
which City departments or bureaus desire to have included
in the proposed annual capital budget to be adopted by the
budget committee shall be submitted to the secretary or
executive secretary of the budget committee by the first
Monday in January, 1968 and by the first Monday in January
annually thereafter, such requests to cover capital improvement
projects ior the ensuing five-year period. All requests for
capital improvement projects and reports with respect
thereto shall be on forms prepared and provided by the City
Comptroller. Upon receipt of such capital budget requests
from City Departments or bureaus, the secretary or
executive secretary of the budget committee shall transmit
copies of such requests to the Planning Board�t�ie City
of Saint Paul, who shall consider such requests and make
recommendations with respect thereto and transmit such
recommendations to the secretary of the budget committee
not later than March 1 of each calendar year after the
effective date of this ordinance. " (Emphasis supplied. )
That upon information and belief the plaintiffs herein state and
allege that none of the provisions of said paragraph were complied with
in the adoption of the priority rating by the Capital Improvements budget
advisory committee on the 29th day of December, 1970; that it does not
appear that the $775, 000. 00 requested for the purpose of acquiring the
Lowry Hotel was submitted to the Secretary of the Budget Committee;
that it does not appear that the request was submitted on forms prepared
and provided by the City Comptroller; that it does not appear that said
requests were submitted to the Planning Board of the City of St. Paul,

nor does it appear that the Planning Board of the City-of St. Faul was �
ever afforded the opportunity to consider said requests and to make
recommendations therein. '�

That by Section 302 of the City Charter of the City of St. Paul it �
is provided: I
"Whenever any officer or department shall require the � � ��
purchase of any real estate, the erection of any building �
or buildings or other public improvement, except as.
otherwise herein provided, such officer or department shall

WHEREFORE, Plai.ntiffs pray: �
1. That the Resolution of Intent adopted by the City Council on the
. 29th day of December, 1970, and appended hereto as Exhibit A be declared
illegal, invalid and void and of no force and ;�ffect;
2. That the defendants, and each of them, be enjoined permanently '
from expending public funds, issuing any checks or drafts or paying
anything of value to the First Trust Company or anyone for the purchase
of any land or building knbwn as the Lowry Hotel, and executing any "
contracte for the acquisition of the Lowry Hotel pursuant to the Resolution
of Intent adopted by said Council on the 29th day of December, 1970;
3. That the Court enter judgment requiring council approval by
ordinance of any proposed acquisition of the Lowry Hotel in accordance
with the provisions of Section 302 of the City Charter.
