RESOLVED, that pursuant to Minnesota Statutes 471.59, commonly referred to as the "Joint
Powers Act," the proper City of Saiut Paul o�ciais aze hereby authorized and directed to execute
joint powers agreements (as per attached sample) with the following Minnesota subdivisions:

Falcon Heights
Lauderdale
Little Canada
Maplewood
Mounds View
New Brighton

Said agreements authorizing the City's Division of Contract and Analysis Services to provide
purchasing, contracting, surplus disposal, printing, and other related support services to one or more
of the subdivisions as requested and to coordinate and manage collaborative purchasing activities of
the members of the Ramsey County League of Local Governments as requested.
Copies of said agreements shall be kept on file and/or record in the Of£ce of Financial Services.

Sample JOINT POWERS AGREEMENT
Between the City of Saint Paul and (Name of Subdivision)
THIS AGREEMENT, is made and entered into this _ day of _, 2003 by and between the
City of Saint Paul (Ratnsey County, Miuuesota) heteina8er referred to as "the City" and
(IZamsey County, Minnesota), whose address is
hereinafter referred to as
WHEREAS, the City of Saint Paul and , pursuant to the
provisions of Minnesota Statute 471.54 are authori2ed to enter into an agreement to exercise yointly
the governmental powers and functions each has individually; and
WHEREAS, the Ciry's Division of Contract and Analysis Services (Coniract Services) is
authorized
to provide purchasing, contracting, surplus disposal, printing, and other related support services and has
expertise in intergovernmental purchasing; and,
WHEREAS, Saint Paul wishes to extend the expertise of its Contract Services staff to other local
governments to help all parties achieve operating efficiencies and to secure more favorable contract
prices,
and more fauorable contract terms and conditions; and
WHEREAS, (name of jurisdiction) wishes to take advantage of these benefits and services;
NOW, THEREFORE, IT IS HEREBY AGREED, by and between the parties hereto as follows:
i. The City of Saint Paul, through its Division of Contract and Analysis Services, pursuant
to procedures set forth in the Saint Paui City Charter and applicable State Statutes, shail provide
purchasing, contracting, surplus disposal, printing, and other related support services as requested by

2. In addition,

3. As part of any request for services, agrees to designate an individual who
can serve as a point of contact for Contract Services staff in the provision of any service mutually
agreed upon. This individual sha11 have the authority to transmit instrucUons, provide required
informarion, and assist in resolving any questions or issues that may arise.

4. In participating in such joint or collaborative purchasing activities, the City of Saint Paui
and agree that neither pariy shall assume any responsibility for the accountability of funds
expended by the other or compliance with applicable Minnesota Statutes or other laws. Each party
is responsible for any particular purchase order it issues.
5. Indemnification. Nothing in this Agreement shall constitute a waiver of the rights,
privileges, and benefits that each pariy is entitled to under Minnesota Statutes. Each party agrees
that it will be responsible for its own acts and/or omissions and those of its officials, empioyees,
representatives, and agents in canying out the terms of this Agreement and the results thereof
to the extent authorized by law and shall not be responsibie for the acts andlomissions of the
other pariy and the results thereof. The liability and the monetary limits of liability of the parties,
their officials, employees, representatives, and agents shall be governed by provision of the
Minnesota Torts Claims Act, Minnesota Statutes Chapter 466, et sea. and other applicable law.

6. Cost Sharing. As mutually agreed upon, will compensate the City for
actual costs incurred in the provision of the services described herein to or wiil share costs
as mutually agreed upon with the City and other participants receiving the benefits of the service.
7. Cancellation. Either pariy to this Agreement may terminate the Agreement with or
without cause upon 30 (thiity) day's prior written notice to the other party.
8. Assignment. Neither party to this Agreement shall assign, delegate or transfer any rights
or obligations under this Agreement without prior written consent from the other pariy.
9. Amendments. Any amendment or modification to this Agreement sha11 be in writing
and shall not be effective until executed by all parties to this Agreement.
10. Enfire Agreement. This Agreement contains the entire Agreement between the parties
with regard to the matters set forth herein.
