The City of Saint Paul, through its Division of Contract and Analysis Services, pursuant to procedures set forth in the Saint Paui City Charter and applicable State Statutes, shail provide purchasing, contracting, surplus disposal, printing, and other related support services as requested by in accordance with appiicable Statutes and policies. In addition, agrees that , upon request, Contract and Analysis Services staff shall will facilitate and coordinate collaborative purchasing and contracting acrivities among and/or on behalf of _ and one or more other members of the Ramsey County League of Local Governmenis (RCLLG). 3. As part of any request for services, agrees to designate an individual who can serve as a point of contact for Contract Services staff in the provision of any service mutually agreed upon. This individual sha11 have the authority to transmit instrucUons, provide required informarion, and assist in resolving any questions or issues that may arise. copies of any relevant policies, procedures, or standards adopted by shall also provide that may have an impact on the manner in which Contract Services staff deliver the requested service. 4. In participating in such joint or collaborative purchasing activities, the City of Saint Paui and agree that neither pariy shall assume any responsibility for the accountability of funds expended by the other or compliance with applicable Minnesota Statutes or other laws. Each party is responsible for any particular purchase order it issues. 5. Indemnification. Nothing in this Agreement shall constitute a waiver of the rights, privileges, and benefits that each pariy is entitled to under Minnesota Statutes. Each party agrees that it will be responsible for its own acts and/or omissions and those of its officials, empioyees, representatives, and agents in canying out the terms of this Agreement and the results thereof to the extent authorized by law and shall not be responsibie for the acts andlomissions of the other pariy and the results thereof. The liability and the monetary limits of liability of the parties, their officials, employees, representatives, and agents shall be governed by provision of the Minnesota Torts Claims Act, Minnesota Statutes Chapter 466, et sea. and other applicable law. L�3-�3� 6. Cost Sharing. As mutually agreed upon, will compensate the City for actual costs incurred in the provision of the services described herein to or wiil share costs as mutually agreed upon with the City and other participants receiving the benefits of the service. 7. Cancellation. Either pariy to this Agreement may terminate the Agreement with or without cause upon 30 (thiity) day's prior written notice to the other party. 8. Assignment. Neither party to this Agreement shall assign, delegate or transfer any rights or obligations under this Agreement without prior written consent from the other pariy. 9. Amendments. Any amendment or modification to this Agreement sha11 be in writing and shall not be effective until executed by all parties to this Agreement. 10. Enfire Agreement. This Agreement contains the entire Agreement between the parties with regard to the matters set forth herein.
