WHEREAS, the Saint Paul Police Department has entered into an agreement with the Amherst H. Wilder
Foundation for police services in and around the Rivertown Commons comple%es {Agreement # 02-12511-C); and
WIIEREAS, the Amherst H. Wilder Foundation will reimburse up to $25,t1000 for conducting zero tolerance
patrols in the Rivertown Commons comple%es and grounds; and
WHEREAS, a 2003 financing and spending plan needs to be estabGshed for the services provided to the
Amherst H. Wilder Foundation; and

Between the Amherst H. Wilder Foundation and the City of Saint Paul
THIS AGREEMENT, made and entered into this lst day of January, 2003, by and between Amherst
H. Wilder Foundation, hereinafter referred to as "Wilder" and the City of Saint Paul, Minnesota, a
municipal corporation under the la�as of the State of Minnesota, hereinafter referred to as, hereinaftzr
referred to as "Provider".
The Wilder and Provider, in consideration of the muhial terms and conditions, promises, covenants.
and payments hereinafter set forth, agree as follows:
SECTION 1: Scope of Services. .
A. Provider agrees to provide as described in its proposal, the specific tasks, deliverables, time lines,
etc. that make up these services which are detailed in Attachment A. Provider agrees to provide
project coordination of Police Department issues, and any related services, beyond the regular scopz
of duty, to the Thomas/Dale-Frogtown 4Veed and Seed site, as recognized and defined in the grant
awarded by the State of Minnesota. Saint Paul Police will conduct zero tolerance patrols in the
Rivertown Commons complexes and grounds in an attempt to curtail illegal activities.
Identification and arrests of those committin� criminal act. Targeting gang and dru� activity, the
visibility of patrol cars, walkin� and bike patrols in and aroimd the Rivertown Commons
complex, the attendance of officers at community events and meetings is strongly encouraged by
the Thomas/Dale-Frogtown Weed and Seed Steering Committee.
SECTION 2: Time for Completion.
A. The services rendered by Provider shall be covered from January 1, 2003 and will be compl�ted
in accordance with the schedule mutually agreed upon with Ihe �'ilder, which is detailed in
Attachment A, but no later dian December 15, 2003. Services �i ill be rendered by Pro� ider
throughout the [erm of the agreement. Yrovider agrees to consult �c�th W i�der dnd the l homasillak-
�rogtown Steering Committee if more than 30% of [he funding a�'ailable is to be spent m any
calendar quarter.
B. In the event there are delays caused by actions of W ilder or the Provider, which can change the
completion date, Provider may request an extension of time for completion of the project. Wilder
will review [he request and may grant to the Provider such extensions of contract time as may be
reasonable.
SECTION 3: Billings and Payment.
A. That For Providei's faithful perfomtance of this Agreement, die ��'ilder hereby agrees to
reimburse the Provider up to �25,000.00 for services described in A[tachment A.
B. The above amoimts shall fully compensate the Provider for all costs. No claim for ser� ices and'or
costs provided by the Provider, not specitically provided ior or in e�cess of budgeted amoimts m this
Agreement will be honored by the Wilder.
C. Provider shall submit an itemized invoice monthly with an accompanyin� program report. Upon

receipt of the invoice and verification of the charges, payment shall be made by Wilder to
Provider within thirty (30) days.
SECTION 4: Liaison/Project MaRagement.
A. Wilder has designated Thomas/Dale-Frogtown Weed and Seed Site Coordinator as its Liaison for
this Agreement, and the individual to whom all communications pertaining to the Agreement shall
be addressed. The Liaison shall have the authority to transmit inntructions, receive information,
authorize amendments or changes to the Agreement, and interpret and dzfine the Wilder's policies
and decisions pertinent to the work covered by this A�reement.
B. The Provider has designated Senior Commander Central District Mort Bostrom as the Project
Manager for this Agreement, and the individual to whom all communications pertaining to the
Agreement shall be addressed. The Project Manager sJiall ha� e the authority to transmit instructions,
receive information, authorize amendments or changes to the A�reement, and interpret and define
the Provider's policies and decisions pertinent to the ���ork co�'ered b} this Agreement. The Project
Manager will advise Thomas/Dale-Frogtown Weed and Seed and Wildzr concerning [he contract
progress through the submission of reports as required by the Authorizzd Agent and the Executive
Office of Weed and Seed. The Projec[ Manager will update the Site Coordinator monthly on the
progress of the project. The Project Manager or the Police dzsignee ��'ill be responsible for
formulating progress reports, gathering statistics for evaluations, and/or other information necessary
to assess accomplishment of the scope of the project strateg}� as it pertains to the work of the
Provider, and/or as a condition of [he grant award. Any request for bud�et adjustments to this
contract or chan�e in spending, must be reduced to �� riting and forn'arded to Amy Brown,
Research and Grants Manager, Saint Paul Police Departmznt, for final approva] and before such
spcndin� can occur.
SECTIO'.� 5: �Vilder Responsibilities.
A. W ilder agrees ro provide the Provider with access to any information from W ilder documents,
staff, and other sources needed by the Provider to complete the �vork described herein.
SECTIO\ 6: �Vork Products, Records, and Dissemination of Information.
A. For purQoses of this Agreement, the follo�cing ��'ords and phrases shall have Ihe meanings set
forth in this section, except where the context clearl}' indicatzs that a difFerent meaning is intended. .
„{��� h product" shall mean, any report, recommendauon, papzr, presentation, drawing,
demonstration, or other materials, �thether in or other format that resul[s from the Procider's sen�ices
under this A�reement.
^S«pPortirtg docemientntion" shall mean any surveys, questionnaires, notes, research, papers,
analyses, ��'hether written electronic, or in other form, and other evidences used to generate any and
all w�ork performed and work products generated tmder this .-�greement.
'Business recor'ds" shall mean any books, documents, papzrs. account records and other evidences,
whzther �� ntten, elecvonic, or �n other focm, belongm� [o Consultant 1 Yrovider) and pertaining to
work performed under [his Agreemznt.

B. Wilder and the Provider agree to maintain all business records in such a manner as wil]
readily conform to the terms of this Agreement and to make such records available at its office at all
reasonable times during the Agreement period and for six (6) years from the date of the final
payment under the contract for inspection or audit by the City, the State Auditor, or other duly
authorized representatiee.
C. Wilder and the Provider agree to abide strictly by Chapter 13 of the Minnesota Statutes
(Minnesota Government Data Practice Act) as well as any other applicable federal, state, and loca]
laws or ordinances, and all applicable rules, regulations, and standards established by any agency of
such governmental units which are now or hereafter promulgated insofar as they related to the
Provider's performance of the provisions of this Agreemettt.
SECTIO\ 7: Equal Opportunity Employment.
A. The Provider witt not discriminate against any employee or applicant for employment for work
under this Agreement because of race, creed, religion, color, sex, sexual or affectional orientation,
national origin, ancestry, familial status, age, disability, marita] status, or status �vith regard to public
assistance and will take affirmative steps to ensure that applicants are employed and employees are
treated during employment without regard to the same.
This provision shall include, but not be limited to the following: employment, upgrading, demotion,
or transfer, recruitment adver[ising, layoff or termination; rates of pay or their forms of
compensation; and, selection for trainino, including apprenticeship.
SECTIOn 8: Compliance with Applicable Law.
A. Wilder and the Provider agree to comply with all federal, state, and local laws or ordinances, and
all applicable rules, regulations, and standards established by any agency of such govemmental
units, which are now or hereafter promulgated insofar as they relate to the Provider's performance of
the provisions of this Agreement. It shall be the obligation of the Provider to apply for, pay for, and
obtain all permits and/or licenses required.
SECTIO\ 9: Background Checks.
Subcontracror agrees to conduct appropriate background checks on any Safe Ha��ens personnel
who will be �corking ���ith children and youth. Documentation of completed backgroimd checks
must be made available upon request. Fimds from this contract may be utilized to pay for
background checks on any Safe Havens personnel.
SECTIO\ 10: Independent Contractor.
A. It is agreed by the parties [hat, at all times and for all purposes within the scope of this
Agreement, the relationship of the Provider to Wilder is that oY independent contractor and not that
of employee. l�o statement contained in this Agreement shall be construed so as to find the Procider
an emplo}e� of ��'ilder.
SECTIO� 11: Subcontracting.
A. The Yru� ider agrees not tu enter into any subconuacts for any of the w'ork cuntemplatzd undzr
this Agreement without obtaining prior written approval of Wilder.

SECTION 12: Hold Harmless.
A. Each pariy agrees that it will be responsible for its own acts and/or omissions and those of its
employees, representatives and agents in carrying out the terms of this Agreement and the results
thereof to the extent authorized by law and shall not be responsible for the acts and'or omissions of
the other party and the results thereof. The liability of the Provider, City of Saint Paul. its employees,
ofticials and agents shal] be governed by provision of the Minnesota Torts Claims Act. Minnzsota
Statutes Chapter 466, et seq., and other applicable law.
SECTION 13: Assignment.
A. Wilder and the Provider each binds itself and its successors, lega] representati��es, and assi°__ns of
such other paRy, with respect to all covenant of this Agreement; and neither Wilder nor the Pro� ider
will assign or transfer their interest in this Agreement without the ��'ritten consent of the other.
SECTION 14: Termination.
A. This Agreement will continue in full force and effect until completion of the project as dzscribed
herein unless it is ternlinated at an earlier date by either paRy. Either party to this Agreement may
[erminated it by giving no less than thirty (30) days written notice of the intent to terminate to the
other par[y.
B. In the event of termination, W ilder �cili pay the Provider for all service actually, timely, and
faithftilly rendered up to [he receipt of the notice of temlination and thereafter imtil the date of
termination.
SECTION 15: Amendment or Changes to Agreement.
A. Wilder or the Provider may request changes that would increase, decrease, or oihenvise modify
[he Scope of Services. Such changes and method of compensation must be authorized in �� rictng in
advance by W ilder and the Provider.
SECTION 16: Notices.
Except as othenvise stated in this A�reement, any notice or demand to be gi� en under this
Agreement shall be delivered in person or deposited in United States Certified �4ail, Return

SECTION 17: �'aiver.
Any failure of a party to asseR any right under this Agreement shall not constiture a waicer or a
termination of that right, this Agreement, or any of this Agreement's provisions.

SECTION 18: Interpretation of Agreement, Venue.
A. This Agreement shall be interpreted and construed according to the laws of the State of
Minnesota. All litigation related to this Agreement shall be venued in the District Court of the
County of Ramsey, Second Judicial_District, and State of Minnesota.
SECTIO\' 19: Force'.Vlajeure.
Neither the Council nor the Pro��ider shall be held responsible for performance if its performance is
prevented by acts or events beyond the party's reasonable control including, but not limited to:
severe weather and storms, earthquake or other natural occurrences; strikes and other labor unrest;
power failures elzctrical power surges or current fluctuations, nuclear or other civil military
emergences; or acts of legislative, judicial, executive, or administrative authorities.
SECTION 20: Entire Agreement.
A. It is understood and agreed that this entire Agreenient supersedes all oral agreements and
negotiations bet�veen the parties relating to thz subjec[ matters herein.
SECTION 21: Supplanting.
Provider agrees that funds made available undzr this contract will not be used to supplant local funds
but will be used to increase the arnoun[ of such funds that, in the absence of federal funds, would bz
made available for law/code enforcemen[ acti� ities.

under this Agreement.

analyses, whether written electronic, or in other form, and other ecidences used to generate any and
all work performed and work products generated tmder this Agreement.

B. Wilder and the Provider agree to maintain a11 business secords in such a manner as will
readily conform to the terms of this Agreement and to make such records available at its office at all
reasonable times during the Agreement period and for six (6) years from the date of the fina]
payment under the contract for inspection or audit by the City, the State Auditor, or other duly
authorized representative.
C. Wilder and the Provider agree to abide strictly by Chapter 13 of the Minnesota Statutes
(Minnesota Govemment Data Practice Act) as well as any other applicable federal, state, and local
laws or ordinances, and all applicable rules, regulations, and standards established by any agency of
such govemmental units which are no�v or hereafter promulgated insofar as they related to the
Provider's performance of the provisions of this Agreement.
SECTIO\ 7: Equal Opportunity Emplo}'ment.
A. The Provider will not discriminate against any employee or applicant for employment for work
under this Agreement because of race, creed, reiigion, color, sex, sexual or affectional orientation,
national origin, ancestry, familial status, age, disability, marital status, or status �ti�i[h regard to public
assistance and will take affirmative steps to ensure that applicants are employed and employees are
treated during employment without regard to the same.
This provision shall include, but not be limited to the following: employment, upgrading, demotion,
or transfer; recruitment advertising, layoff or termination; rates of pay or their forms of
compensation; and, selection for training, including apprenticeship.
SECTIOti S: Comptiance �vith Appticable Lar�.
A. W ilder and the Provider agree to comply with all federal, state, and local laws or ordinances, and
all applicable rules, regulations, and standards established by any agency of such govemmental
units, which are now or hereafter promulgated insofar as they relate to the Provider's performance of
the provisions of this Agreement. It shall be the obligation of the Provider to apply for, pay for, and
obtain all permits and/or licenses required.
SECTIO\ 9: Background Checks.
Subcontractor a�rees to conduct appropriate backgroimd checks on any Safe Havens personnel
who ���ill be working with children and youth. Documentation of completed background checks
must be made available upon request. Funds from this contract may be utilized to pay for
background checks on any Safe Havens personnel.
SECTIO� 10: Independent Contractor.
A. It is agreed by the parties that, at all times and for all purposes within the scope of this
Agreement, the relationship of the Provider to Wilder is that of independent contractor and not that
of employee. No statement contained in this Agreement shall be construed so as to find the Pro� idzr
an emplo�e� of W'ilder.
SECTIO\ 11: Subcontracting.

SECTION 12: Hoid Harmless.
A. Each party agrees that it will be responsible for its own acts and/or omissions and those of its
employees, representatives and agents in carrying out the terms of this Aa eement and the results
thereof to the extent authorized by law and shall not be responsiblz for the acts and�or omissions of
the other party and the results thereo£ The liability of the Provider, Cih of Saint Paul, its employezs,
ofticials and agents shall be governed by provision of the Minnesota Totts Claims Act, Minnesota
Statutes Chapter 466, et seq., and other applicable law. .
SECTIO�' 13: Assignment.
A. Wilder and the Pro��ider each binds itself and its successors, legal representatives, and assigns of
such other party, with respect to all covenant of this Agreement: and neither Wilder nor the Pro�'ider
will assign or transfer their interest in this Agreement without the ���ritten consent of the other.
SECTION 14: Termination.
A. This Agreement will continue in full force and effect until completion of the projzct as described
herein unless it is terminated at an earlier date by either party. Either party to this Agrzement may
terminated it by giving no less than thirty (30) days written notice of thz intent to terminate to the
other paRy.
B. In the event of tern�ination, W�Ider will pay the Provider for all sen ice actually, timely, and
faithfully rendered up to the receipt of the notice of termination and thzreafter until the date ot
termination.
SECTION I5: Amendment or Changes to Agreement.
A. Wilder or the Provider may request changes that would increase, decrease, or othzrnise modify
the Scope of Services. Such changes and method of compensation must be authorized in ��ntm� in
advance by W ilder and the Provider.
SECTION 16: Notices.
Except as other�vise stated in [his Agreement, any notice or demand to be gi� en under this
Agreement shall be delivered in person or deposited in United States Certified Mail, Retum

termination of that right, this Agreement, or any of this Agreement's provisions.

SECTION 18: Interpretation of Agreement, Venue.
A. This Agreement shall be interpreted and construed according to the laws of the State of
Minnesota. All litigation related to this Agreement shall be venued in the District Court of the
County of Ramsey, Second Judicial_District, and State of Minnesota.
SECTIO\ 19: Force'�4ajeure.
Neither the Council nor the Provider shall be hzid responsible for performance if its performance is
prevented by acts or e�•ents beyond the party's reasonable control including, but not limited to:
severe weather and storms, earthquake or other natural occurrences; strikes and other labor unrest;
power failures electrical po�tier surges or current fluctuations, nuclear or other civil mititary
emergences; or acts of legislative, judicial, executive, or administrative authorities.
SECTION 20: Entire Agreement.
A. It is understood and agreed that this en[ire Agreement supersedes all oral agreements and
negotiations behveen the par[ies relating to the subject matters herein.
SECTION 21: Supplanting.
Provider agrees that funds made available under this contract will not bz used to supplant local funds
but will be used to increase the arnount of such funds that, in the absence of federal funds, would be
made available for law/code enforcement acti� ities.

1 WHEREAS, skateboazding and in-line skating have been enjoyed by Saint Paul residents for decades, and
2 WHEREAS, there have been no facilities in the city of Saint Paul for these sports to be enjoyed and in indeed these
3 activities had been deemed illegal by ciTy ordinance, and
4 WIIEREAS, young skaters have called City Hall and the Department of Parks and Recreation for many years seeking
5 recognition of their sport and a place where they can skate, and
6 WI�EREAS, a group of young people have responded to the call from Parks and Recreation and the City Council to form
7 the Saint Paul Youth Skatepark Task Force, and
8 WHEREAS, the Saint Paul Youth Skatepazk Task Force actively sought public support for its mission to create safe and
9 legal spaces to participate in this sport and eliminate perceived stereotypes of young people who skate, and
10 WHEREAS, the Saint Paul Youth Skatepark Task Force has launched the development of Saint Paul's first two
11 skateparks and led the effort to amend the city code to allow skating on city streets and sidewalks, therefore be it
12 RESOLVED, that Saint Paul City Council recognizes and honors the achievements of the Saint Paul Youth Skatepazk
13 Task Force and its founding members: Andrew Alexander, Nate Bergman, Brandon Carriere, Corey Draeger, Michael
