2 WI-IEREAS, Saint Paul City Charter § 5.02 pernuts the City, upon recommendation of
3 the City Attorney and in the case of special or unusual circumstances, to appoint outside counsel
4 to represent the City; and

6 WHEREAS, special and unusual conditions exist in the matter of the acquisilion, and
7 possible condemnation and taking of certain property located at 1650, 1668, and 1680 White
8 Bear Avenue (Hillcrest Shopping Center), which is owned by 5005 Properties Incorporated and
9 needed for right of way improvements along White Beaz Avenue; and

WIlEREAS, because of the special and unusual conditions regarding the acquisition of
the needed property, the City Attorney recommends the appointment of outside counsel for this
matter; NOW, THEREFORE,
BE TT RESOLVED, that the appropriate city officials are hereby authorized to retain the
law firm of Briggs and Morgan, P.A. (Marc 7. Manderscheid Esq., contact person) to represent
the City in this matter under a separate legal services agreement which shall be consistent with
the City Attomey's Office Policy Regazding Fees for I.egal Services by Outside Counsel and the
City Attorney's Office Policy and Procedure for Retaining Outside L.egal Counsel. I.egal service
fees for the said firm to be taken from the approved budget for the acquisition of property for
White Bear Avenue improvements .
