Unan completion o£ such p�ar�s and specifications, they s1�all be submitted to t}ie Company for approZ�a2. The �edestrian bridge shall be designed to provide a minimum vertical clearance of 23 £eet above the top of tl�e rails; a mini;num liorizontal clearartce of 12 feet from the center iznes of the north and south tracks; and a clear horizontal span of at least 73 feee bet�,een face o£ adjoining structure supports. 2. Tha Company and the City shall share the cost of the pedestrian bridge � �qually, except as otherwise provided her�in, and the Company's contribution shall not exceed the sum of $25,000. The "cost of the bridge" shall not include the value of the land dedi,catecl by the Corapany nor the cost of constructing and in- stalling the sidewal}:s and fencing adjacent to the said sidewalks, but sha11 in- rlude the stairways or fill for ra.mps leading to the bridge, fencing on the bridge, stair�aays or ramps, and engineering, inspeetion and contract administration necessary for rhe entire project. . " S. The Company shall provide £la�men during the construction of the ped- � �strian bridge at the cost of the City's construction contractor. The Company shall provide flagmen service reasonably required by the City in future maintenance of the pedestrian bridge at no cost to the City or to Lhe City's contractor. 6. AI1 �ork provided to be done under the contract or contracts for tihe construction of the pedestrian bridQe project, which may affect the tracks or train �peration of the Co;npany, shall be performed in such manner and at such time as . shall be satisfactory to the Chief Engineer of the Company so as to minimize inter- ference ti�ith the op�ration of trains on the tracks of the Company. The Company will permit the Contractor to use portions of its ribht-of-way as may be required for storage of materials and equip�ent in carrying on the construction operatio�l, pra- vided that no inter£erence with train novement results from such use or storage. 7. The City shall require its contractor to carry insurance protecting the Conpany in accordance with Pa.ragraphs 1708, 1708.1 and I708.2 of the ��innesota Departr�ent of tiighways' "Standard Specifications for }�ighway Construction" dated January l, 1968, and as supplemented July 1, 1969. 8. Upon cor,ipletion of the construction of the pedestrian bridge, the City shall suUmit an ite�nized bill tliereo£ to the Co�ripany. The Compan}� s}iall, within 30 da��s of receipt of such bill, pay to the City, its sliare of the cost of t}�e brid�e< 9. The City s}iall, at its otion cost, maintai.n tlle pedestrzan bridfie, sido- walks, fence on north side of nortlierly sidet,alk, including snota removal, and the Compa.ny shall, at its a4an cost, maintain the far southerly £ence and fencc on south side of parthcrly sicle�aalk locat.eci on its right-ofeway. � ' � �. y �• ' r Page 3• . 10. Upon completion of the construction of the pedestrian bridge, the City shall close and fence off, at its o���n expense, the present pedestrian grade crossing iocated at or near Prior Avenue at the west end of the proposed northerly sidewalk �extending between Edgcumbe Road and Prior Avenue. 11. In the ever►t the Company desires ta add tracks, shift existing tracks or shift �he pedestrian bridge to accammodate additianal tracks, it shall do so entirely at its own expense. 12. In the event it is deemed necessary Lo remove the pedestrian bridge, the Company and City sliall share all costs incurred for such removal on an equal basis.
