OUNCIL RESOLUTION—GENERAL FORM

COMMISSIONE ATF
WHEREAS , The Council of the City of Saint Paul, by its
resolution C. F. 250036, approved August 11, 197�,
agreed to sponsor a grant application and to act as
grantee on behalf of the Phalen Area Community Council,
and alid submit an application to the Minnesota Governor' s
Commission on Crime and Control for the "Program Action for
Citizens of the East Side (P.A.C.E. ) ; and
WHEREAS, The Governor' s Commission approved such application a�d
made award to the City of Saint Paul, and it Was contemplated
ia said grant agreement that the City and the Phalen Area
Community Council would enter into an agreement setting forth
the terms and conditions under which the parties thereto
would oparate in carrying out the said grant program;
NOW THEREFORE BE IT

OMNIBUS CRIME CONTROL AND SAFE STREETS ACT OF 1968

This AGREEMENT, made this day of ,
19 , by and between the State of Minnesota acting by and through the
Minnesota State Planning Agency, hereinafter called the Grantor, and
City of St. Paul , hereinafter called the
Grantee, pursuant to the authority granted by Title I , Sec. 304, Omnibus
Crime Control and Safe Streets Act of 1968, Public Law 90-351 , hereinafter
called the Act, and Executive Order Pdo. 28, December 13, 1968, State of
Minnesota; and
WHEREAS, pursuant to the Act the Grantor has been allocated
funds by the United States Law Enforcement Assistance Administration for �
use in the State of Minnesota for the purposes set forth in the Act; and
WHEREAS, the Grantee has made application to the Grantor for a
portion of such allocation for the purposes contained in, and the manner
described in, Grantee's "Application for Grant," a copy of which is
attached hereto and made a part hereof as Exhibit "A", and the terms of
which shall govern and control this grant except as otherwise specifical]y
provided herein.
NOW THEREFORE, in consideration of an in reliance upon the
mutual covenants and agreements contained herein, the parties hereto do
covenant and agree, each for themselves and their respective successors and
assigns, as follows:
The Grantee shall perform and accomplish such purposes and
activities as are specified herein and in Exhibit "A", attached hereto;

The Grantee shall expend funds granted under this agreement only
for the purposes and activities specified herein and in Exhibit "A" and
only according to the approved plan and budget contained in Exhibit "A" ;
The Grantee shall be bound by all the terms and conditions
contained in the "Applicant's Agreement" of the "Application for Grant,"
attached hereto as Exhibit "A", except as otherwise specifically provided
herein;
� FURTHER, the parties hereto do specifically agree that the follow-
ing covenants and conditions shall bind the parties hereto:
' 1 . Grantee shall abide by and comply with the Special Limitations
and Special Conditions contained in the current Statement of
Grant Award applicable to Grantee a copy of which is attached
hereto and incorporated herein as Exhibit "B" , the terms and
conditions of which shall take precedence over and control the �
terms and conditions of Exhibit "A", attached hereto,
"Application for Grant. "
2. When required by the laws of the State of Minnesota, Grantee
shall attach hereto, prior to submission, certified copies of
resolutions, or other authority, by the appropriate governing
body or bodies as shall legally authorize the execution of this
agreement on behalf of the grantee. . ,

A G R E E M E N T
THIS AGREEMENT, Made and entered into this lst day of November,
1970, by and between the CITY OF SAINT PAUL, a municipal corporation
of the State of Minnesota, hereinafter referred to as "City", and
PHALEN AREA COMNNNITY COUNCIL, a private non-profit corporation,
hereinafter referred to as "P.A.C.C.",
WITNESSETH:
WHEREAS , The State of Minnesota, acting through its Governor' s
Commission on Crime Prevention and Control, is authorized to grant
and expend money pursuant to Title I, Sec., 304, Omnibus Crime
Control and Safe Streets Act of 1968, Public Law 90-351, hereinafter
referred to as "Act", and Executive Order No. 28, December 13, 1968;
and �
WHEREAS, The funds allocated pursuant to said Act must be made
available through a public agency, such as the City, and P.A.C.C.
desires to obtain a grant to implement a program to improve Problem
Identification and Response Capability in the area of Crime Preven.-
tion and Control consisting of the mobilization of community
resources to develop action programs to effectively reduce the
incidence of juvenile crime, drug abuse,. and other problems situ-
ated in the project area; and
WHER�AS, It is the intention of the City and P.A.C.C. that the
City should apply for the necessary grant, and P.A.C.C. would
provide the necessary services in carrying out the said program;
NOW, THEREFORE, In consideration of and in reliance upon the
mutual covenants and agreements contained herein, the City and
P.A.C.C. agree as follows :
1. P.A.C.C. shall perform all the necessary services provided
under this contract in the project area as defined in the grant
application and grant, and shall do and perform in a satisfactory
and proper manner as determined by the City, the following:
(a) Provide the services of one (1) Youth Environ-
ment Coordinator, an employee of the Phalen Area Community
Council, one hundred percent (100%) of whose time will be
cha.rgeable to said project under this Agr�ement, who will,
in a satisfactory and proper manner, as determined by the
City, assist the City in the mobilization of community re-
sources to develop action programs to effectively reduce
the incidence of juvenile crime, drug abuse, and other
problems;
(b) Provide the services of one (1) secretary, an
employee of the Phalen Area Community Council, fifty per-
cent (50%) of whose time will be chargeable to said proj-
ect under the Agreement, who wil1, in a satisfactory and
proper ma.nner as determined by the City, assist the Youth
Environment Coordinator.
� (c) Provide ma.tching funds representing the City
contribution to the project. Representatives from area
churches, the largest financial supporters of P.A.C.C. ,
ha.ve committed themselves to raising such funds as will be
. necessary to ma.intain the program.
(d) Provide office space for project director,
secretary, meeting and conference space, furnish office
equipment and ma.terials for director and secretary, furnish
and pay for telephone service.
(e) Provide for al1 costs of consultant services.
(f) Provide $1,000.00 for program funds each year,
and assist in whatever way necessary to ena.ble the project
director to perform duties outlined in his job description.

2. The services of �P.A.C.C, shall commence upon notification
to proceed as evidenced by letter from the City' s Project Director,
and this Agreement shall continue in force for the period of time
as set out in the Grant Agreement between the City and the Governor' s
Crime Commission as set out in the attached Exhibit A. This
Agreement ma.y be terminated by either party hereto for any reason
whatsoever at any time upon the delivery to the other party of
thirty (30) days' written notice of such termina.tion.
3. Compensation to be paid P.A.C.C. by the City sha.11 not
exceed the amount of the Federal support received by the City from
the Minnesota State Planning Agency, and it is further agreed tha.t
the total local share to be contributed as part of the subject grant
shall be paid out of funds supplied by P.A.C.C.
4. City sha11 pay P.A.C.C, on a monthly basis for work and
services performed. P.A.C.C. shall submit a11 reports and requisi-
tions for funds to the City. P.A.C.C, sha11 in every case provide
the City with an itemized requisition for payment in form satisfac-
tory and subject to the approval of the City Comptroller. The
request for payment shall specify the work performed by P.A.C.C. ,
that the work was performed in compliance with the grant award set
forth in Exhibit A, and, further, that it is entitled to receive
the amount requisitioned under the terms of this contract and the
terms of Exhibit A. Within thirty (30) days after the completion
of performance of services under this Agreement, City and P.A.A.C.
shall jointly audit the time records and, if necessary, adjust pay-
ment for services provided hereunder as such records shall indicate.
5. To the extent reasonably possible, P.A.C.C. shall be bound
to all the terms, conditions and covenants set forth in the attached
Exhibit A, and that references to grantee in the attached Exhibit A
shall also be intended to refer to P.A.C.C.

6. Terms and Conditions . This Agreement is subject to and
incorporates the provisions attached hereto as Part II - Terms and
Conditions .
7. Prevailing Salaries. Not less than the respective salar-
ies prevailing in the locality as determined pursuant to the
attached "Determination of Prevailing Salaries of Technical
Positions" shall be paid to persons in respective occupations listed
therein employed in the performa.nce of work under this contract.
8 . Independent Contractor. For the purpose of this Agreement,
P.A.C.C. shall be deemed to be an independent contractor, and not
an employee of the City. Any and all employees of P.A.C.C. or
other persons, while engaged in the performance of any work or
services required by P.A.C.C. under this Agreemen t, shall not be
considered employees of the City; and any and alI claims that may or
might arise under the Workmen' s Compensation Act of Minnesota on
behalf of said employees or other persons while so engaged, hos-
pitalization insurance coverages, social security and pension pay-
ment and benefits, other employee obligations and benefits, and any
and all claims made by any third par�y as a consequence of any act
or omission on the part of P.A.C.C. , the employee or other persons

while so engaged on any of the work or services to be rendered,
shall in no way be the obligation or responsibility of the City.
P.A.C.C. shall pay as they become due all just claims for work,
tools, machinery, skill, materials, insurance premiums, equipment
and supplies furnished, rendered or performed in the execution of
this Agreement.
9 . No Discrimination. P.A.C.C. sha11 be deemed a contractor
for the application of all provisions hereof and laws against un-
lawful discrimination on account of race, creed or color hereunder.
P.A.C.C. agrees in accordance with Chapter 238, Laws of the
State of Minnesota for 1941, that in the hiring of common or skilled

labor for the performa.nce of any work under this contract or any
subcontract hereunder, no contractor, material supplier, or vendor
� shall, by reason of race, creed or color, discriminate against any
person who is a citizen of the United States who is qua.lified and
available to perform the work to which such employment relates,
that no contractor, material supplier or vendor under this contract
shall in any ma.nner discriminate against, or intimidate, or prevent
the employment of any person, or on being hired, prevent, or con-
spire to prevent, any person from the performance of work under this
contract on account of race, creed or color; and that this contract
ma.y be cancelled or terminated by the City, and a11 money due or to
become due hereunder shall be forfeited for a second or any subse-
quent violation of the terms or conditions of this contract.
This contract is subject to Title VI of the Civil Rights Act
of 1964 (P. L. 88-352, approved Ju1y 2, 1964) and the rules and
regulations �24 CFR, Subtitle A, Part 1), issued by the Housing and
Home Finance Agency pursua.nt thereto.
10. Indemnification. It is further agreed that the P.A.C.C.
shall defend and save the City of Saint Paul harmless from any
claims, dema.nds, actions or causes of action arising out of any
negligent act or out of any negligent omission on the part of the
P.A.C.C. , its agents, servants, or employees in the performance of
or with relation to any of the work or services provided to be per-
formed or furnished by the P.A.C.C. under the terms of this
Agreement.
