WI7PJESSETii: WHEREAS, ttinneapolis is about to grade and pave Kasota Avenue with its own forces, as required and otheri:ise improve Kasota Avenue from Elm Street easterly to �t}�� Minneapalis - St. Paul City limits, known as r4inneapolis pr�ject �1.S.A. #41-304-�1 ; and . WHEREAS, St. Paul is interested in the Construction of Kasota Avenue from the St. Paul - Nii nneapol i s Ci ty 1 imi ts easterly to the wes�t ri ght-of- way line of �ti�nesota j'runk Nighway 280, known as St. Paul project 70-i�-0522; � and WNEREAS, the parti�s hereto are jointly and severally int�rested in com- bining these impr�ovemenics int� one project to �ffectuate certain savin�s in design, construction, inspection and coordinatian; and . WHEREAS, it is the mutual desire �of the parties hereto to establish th� • dis�ositian of cost, expenses and t�esponsibilities thereof and therefor, sub- 3ect to approval af th� g�verning bociies of each of the par�ies hereto; NOW, T�lE�.FFORE, Ii' IS AGREED by and between the parties hereto A. That the City of Minn�apolis agrees: � ' (1 ) To act as its a���n Ggr;nL �r�d as the agerit of the other parties in reiation to said improver�ent conterpla±•ed, and in such capacity, sha17 � ' _, prepare a.11 pl.ans and specifications, subject to approval of the same by the other parties; _ (2) To provide appropriate engineering and construction supervision .' and inspection with its own forces, subject to reimbursement therefor as ' set forth hereinafter; (3) To provide Workmen's Compensation coverage for its own employees, for suits or claims on behalf of said Minneapolis employees arising out of the improvement of said Kasota Avenue; (4) To construct, grade and pave Kasota Avenue and adjust publicly � owned utilities, with its own forces as required and otherwise improve Kasota Avenue from Elm Street easterly to the Minneapolis - St. Pau7 City limits, known as Minneapolis project M.S.A. #41-304-01 and Kasota Avenue from the St. Paul - P�inneapolis City limits easterly to the West line of � Minnesota Trunk Highway 280 known as St. Paul project 70-P-0522; provided, however, it being the mutually expressed and understood inte�t of the , parties hereto that the Purchasing Agent of Minneapolis shall act as the purchasing agent for all parties in accordance with law. B. That the City of Sa�nt Paul , in addition to its agreement above stated, does specifically agree: (1} For the purposes herein contemplated, and specifically limited to the improvement of said Kasota Avenue within the St. Paul City limits • to allow City of Minneapolis supervisory, inspecting and construction per- sonnel , and such other City of Minneapolis personnel as may be reasonably � required, to function on said improvement �with the same power and authority as is possessed by City of Saint Paul sup�r�visory, and inspecting personne7 , it being the intention of the parties to avoid, by this paragraph, duplic- ation and mult�piication of supervision and inspection which otherwise _2_ . . would be required on an improvement project as is herein contemplated; provided, ho��ever, that note�ithstanding the statements in this paragraph contained, said City of t�inneapolis personnel shall remain employees of the City of ��inneapolis and shall not be considered employees of the City � of Saint Paul ; � (2) To pay the construction, engineering, inspection, and all other incidental costs to the City of Minneapolis for the construction of said improvement of Kasota Avenue within the St. Paul City limits, the estimated cost thereof being the sum of $ 15,181 .33, computed as, on page 6 of this agreement, the Construction Plan, and as follows: , Construction Cost $ 13,801 .21 Design Engineering @ 5� $ 690.06 Construction Inspection . and Surveying @ 5p $ 690.06 Total• $ 15,181 .33 . and the abAVe costs will be adjusted when actual costs are determined. It • is understood that the City of St. Paul will pay the City of Minneapoli,s the entire total of actual costs attributable to the work to be performed hereunder. Said actual costs may include the costs of any insurance pre- miums incurred by the City of Minneapolis for the �urchase of liability in- surance for its own protection, its engineers, agents and employees from claims, losses, or demands or actions arisiog out of the performance. of this contra�t. (3) Upon comp]etion of the. �rr�rk provided herein, the City of Minneapolis � shall submit an itemized statement, the City of Saint Paul shall remit its payment within 30 days from receipt and approval thereof. • � C: That before �nd prior to any change orders, modifications, alterations or amendments of the construction contract documents are initiated, which materially - 3 - affect the character of the wark to be done or its cost and expense, all parties shall concur and consent in writing as to the extent of chanqe and the division of cost and expense. � D. That upon the satisfactory completion of the work as agreed between the � . parties, the City of Saint Paul shall make final acceptance of the project and with final payment to the City of Minneapolis. � E. In the event the work to be performed by the City of Minneapolis is terminated, stopped or delayed on account of any legal proceedings or for any � other reason beyond the control of said City, the City of St. Paul shall re- imburse the City of f�inneapolis for all costs in connection v�ith the removal , storage or halding in suspension of materials and equipment from or on the project site and for costs of labor expended in so doing and for all costs ex- pended toward or in the performance of the pro3ect prior to such termination, stoppage or del ay. . F. The City of Minneapolis may regulate or control traf.fic�on Kasota Avenue � • or block said Y.asota Avenue at such times as it becomes reasonably necessary for the performance of the work under this agreement. G. The City of St. Paul agrees that during the life of this contract it �vill not, within the State of F9innesota, discriminate against any employee or ap- plicant for employment because of race, color, creed, national origin or ancestry. This contract may be canceled or terminated by the City of Minnea- � polis for violation of the terms or conditions of this paragraph, and the City of St. Paul shall reimburse the. City of Dlinneapolis for all costs or expense�s incurred ir. performing this contract prior to such cancellation or termination, and also for all costs in connection with �the removal of inen, equipment, and materials from the project.
