d the City of Saint Paul, Ramsey County, hereinafter referred to as the
"Cityr�� WITNESSETH: _ .
WHEREAS, it is considered mutually desirable to install a traffic
control signal on Trunk Highway No. 35E ramps at Maryland Avenue in the Ci.ty;
and
WHEREAS, it is mutually agreeable that said signals shall be pro-
vided by the State with the City providing power and maintenance trereof;
NOW, THEREFORE, IT IS AGREED AS FOLLO'�tS:
1. The State shall install or cause the installation of said
signal at its cost and expense. ,
2. The City shall install or cause the installation of an adequate
electrical po�rer supply to the .service poles including an,y nscessar,y exten-
- sions of power lines, and upon completion of said signal installation shall
- }�"rovide necessary electrical power for its operation at the cost and �xpense
of �;he City. . " .

3. Upon completion of the work cantemplated herein, the City
. shall maintain and keep in repair the traffic signals, at its cost and -
expense.. .
k. The City indemnifies, saves, and holds harmless the State
and all of its agents and employees of and from any and all claims, demands,
actions or causes of action of Whatsoever nature or character arisin� out '
of, or by reason of, the performance of any work by theCity provided for - �
hereby, and further agrees to defend at its sole cast and expense any ac-
tion or proceeding commenced for the purpose of asserting any claim of
whatsoever character arising in connection with or by virtue of the work
to be performed by the City.
_ 5. Any and all persons engaged in the aforesaid work to be
' performed by the City shall be considered employees of the City and any
and all c2aims that may or might arise under the Worlanen's Compensation _
Act of this State on behalf of said employees while so engaged, and any
and all claims made by any third part,y as a consequence of any act or
omission on the part of said City employees while so engaged on any of
the work contemplated herein shall be the sole obligation and responsibility
of the City.
6. All timing of all traffic control signals provided for herein '
shall be determined by the State, through its Commissioner of Highways,
- and no changes shall be made therein except with the approval of the State.
