WHEREAS, the County Telecommunications Division provides switched PBX telephone services
to various City and County offices and buildings, and provides maintenance and training for
telephone services; and
4 WHEREAS, the City O�ce of Cable Communications provides the fiber backbone connection, via
5 its I-Net, that will connect the County's PBX telephone system at the City HaA/County Gourthouse
6 to the Water Treatment Plant; and
7 WHEREAS, the Regional Water Services desires to have the County provide telephone service,
8 maintenance, and telephone training at the Water Treatment Plant;
9 RESOLVED, that the proper City officials are hereby authorized to execute the Agreement between
10 the City of Saint Paul, Ramsey County, and the Board of Water Commissioners of the City of St.
11 Paul for telephone services at the Water Treatment Plant, a copy of which is attached and
12 incorporated herein by reference.

The Board of Water Commissioners of the City of St. Paul and Ramsey County have already executed
the agreement. St. Paul Regional Water Services would like to utilize telephone service from Ramsey
County at the Water Treatment Plant, via a connection on the City's Fiber I-Net, as it is remodeling the
Plant facility and needs a new phone system as a result of the renovation.

The City will benefit from this agreement, as it provides a new source of revenue for the Fiber I-Net, the
Water Treatment Plant will be connected to the same phone system utilized by the majority of the City
and County departments, and will realize significant savings in costs for transport and faster capabilities
versus leasing T-1 lines from an outside provider. The employees at the Water Treatment Plant will
utiiize the same telephone system as most other City and County departments.

AGREEMENT BETWEEN RAMSEY COUNTY, THE CITY OF ST. PAUL, AND THE
BOARD OP WATER COMMISSIONERS OP THE CITY OF ST. PAUL FOR TELEPHONE
SERViCES AT THE MCCARRON'S WATER TREATMENT PLANT FACILITY
This Agreement is between Ramsey County (hereinafter "County'), by the Ramsey County
Department of Property ManagementTelecommunications Division, the Ciiy of St. Paui (hereinafter
"City'), by the St. Paul Office of Cable Communications, and the Board of Water Commissioners of
the City of St. Paul (hereinafter "Board").
WHEREAS, the County Telecommunications Division provides switched PBX telephone services to
various City and County officas and buiidings, and provides maintenance and training fortelephone
services; and
W HEREAS, the City Office of Cable Communica6ons provides the fiber backbone connection, via
its I-Net, thatwill connectthe County's PBX telephone system at the City Hall/County Courthouse to
the McCarron's Water Treatment Plant (hereinafter "Plant"); and
WHEREAS, the Board desires to have the County provide telephone service, maintenance, and
telephone training at fhe Plant;
NOW, THEREFORE, the County, the City, and Board agree as foftows:
SCOPE OF CITY SERVICES
A. The City O�ce of Cable Communications agrees.to provide a Project Managerfor
the telephone and data upgrade projects at the Plant, and to have Project Manager
coordinate the planning, equipment ordering, and implementation process. The
Project Manager wili woric in conju�ction with the Board project person, City
Information Services staff, and the County Telecommunications staff.
B. The Citywill provide two (2) daric fibers and continuity on the fiber optic path from the
City Hall/County Courthouse to the Plant.
II. SCOPE OF COUNTY SERVICES
A. The County guarantees its responsibilities for the instaliation and maintenance of
telephone services, instruments, and equipment to connect Plant to the County
telephone system housed in the City Hail/County Courthouse. In addition, the
County Telecommunica6ons staff shall provide the Board with telephone
consultation and Vaining services on an ongoing basis, and also any adds, moves,
or changes of existing service (with the exception of any extended moves thatwould
require extensive cabling). Any non-software moves would be subject to a rate of
$35 per hour if the County is required to perform the work. The City and the County
will coordinate what work is to be performed.
B. The County's responsibilities include the obligation to maintain, repair, and replace
ali telephony equipment used and located atthe City Hall/County Courthouse and at
the Plant.
C. The County agrees to abide by the terms included in the final December 9, 2002
Norstan proposal and agreed-upon Scope of Work and the October 21, 2002
Schedule A(attached as Exhibit I).

D. The County agrees that if any upgrades or changes are made to the telephone
system in the City HaIl/County Cousthouse, those upgrades and ali necessasy
equipment and phone instruments will be provided and extended to the Plant at no
additional cost to the Gity orthe Board, and without disruption of telephone services
to the Plant.
III. COMPENSATION/PAYMENT
A. Attached as Exhi6if II to this AgreemenY is the 2003 Ramsey County monthly service
fees and Scope of Services.
B. The County agrees that by Aprii 15 of each year it wiil provide a proposed list of
monthly service rates and Scope o{ Services for the next calendar year.
C. The County will piace an amount paid per phone instrument by the Board, as
specified in the annual notice of monthly fees and Scope of Work, into the
equipment replacement fund. This fund is maintained by the County, to ensure that
monies wili be available for future upgrades to the County phone system.
D. The City and the Board will purchase the necessary fiber shelf extenders, phone
instruments, and installation charges for the Plant. Ali equipment, as specified in
Schedule A of Exhibit I, will become the property of the Board.
IV. TERM
A. The initial term of this Agreement is for the period from January 1, 2003 through
Decembe� 31, 2003.
B. The Agreement will automatically extend for additional one year periods, up to a
maximum of fifteen (15) years total for the initial and extended terms, unless either
party notifies the others in writing at least 120 days in advance of the expiration of
the then-current term of its intentio� not to extend the agreement. Such extensions
will be on the same terms and conditions as the originai agreement unless the
parties agree otherwise in writing.
C. Any party may terminate this agreementwith orwithout cause upon 120 days written
notice to the other parties.
V. GENERAL TERMS AND CONDITIONS

A. Indemnification
The County, the Ciiy, and the Board each agree to defend, indemnify and hold
harmless the other, its officials, employees, and agents, from any and ail liability, loss
or damage ii may suffer as a result of claims, demands, judgments, or costs,
incfuding reasonable attomeys' fees, arising out of or related to fhe indemnifying
party's performance of this Agreement.
B. Atterations
Any alterations, variations, mod�cafions, orwaivers of provisions of this Agreement
shall only be valid when reduced to writing and signed by all parties.

SCOPE OF WORK
Background: Ramsey County is an existing Norstan customer that has a multi-node
Siemens Mode170 / PhoneMail installed in St Paul, MN. Ramsey County has installed
a new Siemens Hicom 3�OH Mode180EP, which is installed next t� ttte current Model
70. The Mode180II' is connected to the Mode170 via CorNet. Ramsey County also has
(1) Ntodel 30II' system, (2) il�fodel 40 systems, (2) RCM's and (1) Mode110 uvstalled at
other Ramsey County sites. These remote sites aze all connected to the main Ramsey
County Modei 70 / 80 / PhoneMail systems.

Applicaiion and Solution: Norstan will install a new Siemens Hicom Fiber shelf at the
Board of Water Commissioners of the City of St. Paul ("Board McCarron s Water
Treatrnent Plant ("PIanY') site and at the existing site at the County Courthouse/City
Hall. The Fiber Shelf system will be connected via the City of St. Paul's Fiber I-Net to the
current Siemens Hicom Mode180 system that is installed at Ramsey County's main site.
Thexe will initially be (35) users at the Plant site at the time of installation. The Fiber
she3f will be equipped with the appropriate staiion hazdwaze to support 48 digital/24
analog users. These users will use the centralized PhoneMail system that is installed at
Ramsey County's main site.
The long range plan is to have approximately (110) users at the Plant/Fiber Shelf site.
The Fiber Shelf will be able to support these additionai users by adding the appropriate
station hardwaze and Rolmphones.
The Hicom Fiber Shelf configuration at time of installation will consist of the

Pricing. Please refer to the Schedule A Products for a detailed list of hardwaze and
quantiiies.
1. Pricing does not include any applications or hardware not detailed above or
listed on the �chedule A's.
2. Should this Scope of Work change due to customer requirements or unfozeseen
field conditions, the price will be adjusted by applying current time and material
rates in an Installation Change Order (ICO).
3. Any time or material needed to resolve probiems with customer provided
equipment would be billed on a sapazate ICO, MAC order, or on an time and
materials basis.
4. Any new station cabling which may be required for this site will be handled on a
sepazate project. No material and iabor for the station cabling is included in this
installation project.
5. The building and work azea is assvmed to be free from any hazardous materiaLs.
6. All pridng is based on customer providing ciear and accessible working space
for installation of all equipment.
Pro}eeY Phases and Implementation: This contract is based on a one time cutover. If
this project has a need for additional phases, Norstan will invoice Ramsey County, who
will then invoice the Boazd on an ICO for each phase on a time and material basis.
System Architecture: The Hicom Fiber Shelf will be a single cabinet system that can be
mounted on the wall or stationed on the floor. The cabinet wilt contain the circuit cazds
that will support the digital / analog stations and trunk ports.
Mulriple Site Information: The Hicom Fiber Shelves being installed at the County
Courthouse/City Hall and the Plant will support a single site of the Plant.

Integration The Hicom Fc"eer Shelf system will connect to the current the Siemens
Model 80 system located at the County Courthouse/City Hail via the City of St. Paul's
Fiber I-Net to the Ptant. Norstan will provide and install a fiber extender at each end
that is guaranteed to support ��bez connections up to 16 miles on the City's Fiber I-Net
The City of St Pau1 will guarantee continuity on the fiber optic path from the Covnty
Courthouse/City Hall to the Plant
Cabling. Any station cabling that may be required for the RoLmPhones phones /
analog stations, �as well as the cable intea ty, at this site is the responsibility of Ramsey
County / Boazd. Norstan will not be responsible for toning & testing the existing cable.
Special Equipment Norstan will provide and uvstall the following:
.(2) Fiber Extende*s located at the County Courthouse/City Hall and the Piant.
Training: Norstan will provide on-site user trauiing for the RolmPhone and PhoneMail
users. `I'his training needs to be completed shortly before or after system activation/cut.
I'roject Organization: Norstan will provide Siemens trained technicians, softsvaze
designer and Project l�fanager to install the Hicom Fiber Shelf.
CusYomer Responsibilities and Deliverables: The following items aze to be provided
by Ramsey County:
• All pricing is based on the customer providing a clear and accessible working space.
• Should scope of work change due to customer requirements, Norstan reserves the
right to re-evaluate its pricing.
• The switchroom must be available to Norstan at a m;n;m� of three weeks before
the final cutover. "I1iis iz to indude all power requirements, for the PBX, and
environmental specificaiaons provided by Norstan.
• Ramsey County / Board will be responsible for providing accurate blueprints, with
extension numbers and station cable location, to Norstan.
• Ramsey County / Board will be responsible for any feeder cable required from the
MI'OP to the switchroom. Feeder cable, installation will be completed by the agreed
upon date.
Network services: Ramsey County / Board will be responsible for ordering any new
reqvired network services for this installation.
Risk Factors: Risk assessment is an ongoing function to be evaluated and updated
throughout the project period. It will be important for Ramsey County / Board and
Norstan to share concems about the implementation process.

Support: Norstan will provide Ramsey County with a toIl free nvmber to the Norstan
Solutions Center for Service and MAC issues. Ramsey County will call the Norstan
Nafional Solutions Center for all service needs at 800-676-8$00. Norstan requests
Ramsey County to provide a single point of contact who agrees to employ remedial
measures as reasonably requested by Norstan. Our goal is to provide one number to
call for a1i support needs, provide problem isolation and/or resolution and provide
dispatching while mauztaining ownership of the initial call from start to finish. The
Norstan Solutions Center will be the Iiaison with manufacturer technical support:

resolution which may include dispatch of Norstan Fie1d Engineezs.
Resolve problem and close call
• Qnce the call has been resolved, the appropriate mazlufacturer or Notstan
representative will close the service call with Norstan Support Center.
• Norstan will close call with Customer
• The Norstan Support Center will maintain ownership of the problem
from start to finish.
Non-Norstan Products or Services
Warranties to Non-Norstan Products or Services aze limited to those made by each
vendor. At the expiration of these warranties, I�orstan is not responsible for providing
maintenance services on the Non-Norstan Products and Services. It is khe obligation of
the customer to contract with the appropriate vendors to obtain the necessary

WIiEREAS, the Board of Water Commissioners (the `Boazd'� requires telephone service and
system maintenance at its McCarrons Water Treatment Plant to support the consolidation of Saint
Paul Regional Water Services staff at that location; and
WIIEREAS, the Ramsey County Telecommunications Division (the "County") provides switched
PBX telephone services to various City and County offices and buildings, and also provides
maintenance and training for telephone services; and
WHEREAS, the City Office of Cable Communications (the "City") provides the fiber backbone
connection, via its I-Net, that will connect the County's PBX telephone system at the City
Ha1UCounty Courthouse to the Water Treatment Plant; and
WIIEREAS, the Board of Water Commissioners (the "Board") desires to obtain said services and
connections at its McCarrons Water Treatment Plant to support.the consolidation of Saint Paul
Regional Water Services staff at that location, and the County and the City are willing to provide the
same; and
WHEREAS, County, City and Boazd staff have jointly prepared an agreement whereby the County
and the City shall provide said connection and services to the Board's McCarrons Water Treatment
Plant and the assistant city attorney has reviewed and approved said agreement as to form; now,
therefore, be it
RESOLVED, that the Board of Water Commissioners does hereby approve the Agreement between
the City of Saint Paul, Ramsey County, and the Boazd of Water Commissioners for telephone
services at the Board's McCarrons Water Treatment Plant, and that the proper officers aze hereby
authorized to execute said Agreement on behalf of the Board.
