RESOLVED, Tha.t the proper City officers are hereby authorized
to execute Agreement between the City of Saint Paul and Independent
School District No. 625, whereby the City will disburse funds
as a pa.rt of its Grant Agreement from the United States Department
of La.bor (Emergency Employment Act of 1971 - Section 5) and in
accordance with the terms and conc�itions thereof.

S�ate oF Minnesota, hereinafter referr�d to as
"City", aad Independent School District No. 625

hereinafter referxed to as "Sub-Grantee";
WITNESSETH:
WR�:REAS, City has received a grant Prom the U. S.

Depsrtment of I�abor-Manpove� Administration, pursuant ,
to P. I,. 92-54 (Emergency Employment Act of 1971) ,
vhereby City is Grantee and Will act as Sub-Grantor
for the purpose oP disbursing certain approved funds �
pursuant to the t�rms of the Grant Contract; and �
WHEI�EAB, It was cont�mplated in said Gran�c Agreement �
that a, third-party agreement would be entered in�o �
� betw�en City and Sub-Grantee for the disbursement
af Grant �unds ;
IdOW, TH�REFQRE� City and Sub-Grantee do mutually
agree as PolloWS:

Sub�Grantee will employ persons to Pill the po�itions

at the salaries applicable thereto as set 2`orth in the �

attached schedule (which schedule is marked Exhibit

A) .

Sub-Grantee does hereby agree ta abide by all. the
terms and conditions cont�,ined in the Emergency
Employment Act of 1971 P. L. 92-5k , the Conditions
Governing Grants under P. L. 92-5k, and all of the �
applicable policies , rul�s and regulations of the
U. S. Department of Labor issued pursuant to said
P. L. 92-5�+.

All employees hired by Sub-Grantee pursua�nt to this �
Agreement shall be paid by the Sub-Grantee, and �
City xill reim�urse Sub�Grantee in accordance with �

the pertinent Grant Agreement referr�d to above.
It is mutually agreed that in no event Will the

Sub-Grantee� pursuant to this agreement � must be

Sub-Grantee shall submit itemize�d statements to City,
in Porm appr,oved by the City's Comptroller, and in
accordance vith all app3�.cable Federal, State and
local regulations . L'ity wf7.1 make payment to
, Sub-Grantee vithin 15 days aPter receipt , reviek and
approva2 thereof.

For th� purpose af this agreemexit, any and all
employees of Sub-Grantee or of other persons , while
engaged in the gerformance of work or services required
hereins shall ttot be considered employees of the City;
and any �nd al1 claims that may or might arise und�r
the Workmen° s Compensation Act of Minnesota on
behalP of said emplayees , hospitalization insurance
ec�verages9 Social Security and pension payments and ,
benefits , and any and all claims made by any �third
� party as a consequence oP any act or omission on
� the part of #rhe Sub-Gratttee, shall in no way be
the obligation or responsibility of the City.

This Agreement shall cantinue aad be eoterminious
to the Grant Agreement betWeen City and the U. Se
Department of Labor-Manpower Administration. City's

liability hereunder is limited to the amount of
Federal reimbursement to be receined by City under
said Gran� Agreement ' and City may terminate this
agreement if Sub-Grantee shall vialate any oP the
covenant� e agreements or stipulatfans of this
Agrecment , or iP the U. S. Department of Labor
should suspend or terminate its Grant Agreement with
City. .

City ret�ins the right to monitor and modify
Sub—Grantee�s program� through procedures similar
to those the Department oP Labor �ill use as per ,
Paragraph 4 of the Grant Agreement Conditfons . ' '

Sub-Grantee shall hold harmless , protec� and defend '

City, its officers � agents and employees , from

liability of any na�ure o� kinds , including costs

and expenses, for or on account of any or all suits +
or damages sustained by any persons or property i

resulting in Whole or in part9 from the negligent i
performance or omission of any emplayee� agent or
representative of the Sub�Grantee.
IN WI�NESS WHEREOF, The parties have eaused this
