RESOLVED, That the proper City officers are hereby authorized
to execute Agreement between the City of Saint Paul and the County
of Ramsey, whereby the City will disburse funds as a part of its
Grant Agreement from the United States Department of Iabor (Emergency
Employment Act of 1971 - Section 5) and in accordance with the terms .
and conditions thereof.

CITY OF SAINT PAUL, a municipal corporation of the
State of Minnesota, hereinafter referred to as

hereinafter r�ferred to as "Sub-Grantee";
WITNE5SETH:
. WHEREAS , City has received a grant fxom th� Uo S.
Department of Labor-Manpower Adminfs�r�tion, pursuant �

to P. I,. 92-5� (Emergency Emgloyment Act of 1971) ,
vhereby City is Grai�tee and will �et as Sub-Grantor
Por the uurpose o� disbursing certain approved funds
pursuant to the t�erms of the Grant Contract; and� i
WHEREAS, It was contempl�ted S.n said Grant Agreem�nt
that a third-party agreeaent would be enter�d inte

between Gi.ty and Sub-Grantee for the disbursement
of Grant funds ;
NOW� THEREFORE, City and Stxb-Gran.tee do mutually
agree as tollorrs:

Sub-Grantee will employ pers�ns to �i11 the po�itions
a� the salaries applicable thereto as s�t forth ia the
attached schedule (xhich schedule is marked Exhibit
A) .

Sub-Grantee does hereby agree to abfde by all the
terms and conditions contained in the Emergency
� Employment Act of 1971 P. L. 92-5�, the Conditions
Governing �rants under P. Le 92-5k, and all of the
applicable policieso rules an8 r'egulations oP the
U. S. Department of Labor issued pursuant to said
P. L. 92-5�.
III
All employees h�red by Sub-Grantee pursuant to this
Agreement shall be paid by the Sub-Grantee, and
City vil� reimburse Sub�Grantee in accordance vith
the pertinent Grant Agreement rePerred to above.
It is mutually agreed that in no event vill the
City' s obligation to reimburse Sub-Grantee exceed
the amount of Fedxral funds received by City for
this pro�ect. • All oP the funds allocated to
Sub-Grantee� pursuant to this agreemeat , must be

used for paying wages and employment benePits
Por participants only, and in accordance With the
attached schedule marked Exhibit A.

Sub-Grantee shall submit itemized statements to City,
in form approved by the Gity's Comptroller� and in
accordance With all applicable Federal� State and
local regulations . City will make paymeat to
Sub-�rantee within 15 days after r�ceipt , revieW and
approval thereoP.

For the purpose of this agreement , any and all
employees of Sub-Grantee or oP other persons � while
engaged in the perPormance of work or services required
herein, shall not be considered employees oP the City;
and any and all claims that may or might arise under
the Workmen's Compensation Act oP Minnesota on
behalf of said employees , hospitalization insurance
eoverages � Social Security attd �pension payments and
benefits , ana any snd all claims made by any third
party as a consequence of any act or omission on
the part of �he Sub-Grantee, shall in no way be
the obligation ar responsibility of the City.

This Agreement shall continue �nd be cotexminious
to the Grant Agreement between City and the U. S.
Department of Labor-Manpower Administration. City's
, liability hereunder is limited to the amount of
Federal reimbursement ta be received by City under
said Grant Agreement � and City may terminate this
agreement if Sub-Grantee shall violate any of the
covenants , agreements or stipulatfnns of this
Agreement , or iP the U. S. Department of Labor
should susper.d or termfn�te its Grant Agreement with
City.

City retains the right to monitor a�d modiPy
Sub-Grantee's program, through procedures similar
to those the Department of Labcr vill use as per
Paragraph 4 of the Grant Agreement Conditions .
VIII
Sub,-Grantee sha11 hold harmless , protec� and defend �
City, its officers , agents and employees , from
liability of any nature o� kindsf including costs
� ettd expenses , for or on account of any or a21 suits !
or damages sustained by any persons or property_��.,� k

resulting in whole or in part, from �he negligent
performance or o�ission of any employee� agent or
representative of the Sub-Grantee.
IN WITRESS WHEREOF, The parties have caused this
