1 WHEREAS, Northern States Power Company, d/b/a Xcel Energy, has agreed to provide a
2 $300,000 grant to the Como Zoo and Conservatory Society for a 30kW building-integrated
3 photovoltaic system to be installed in the glass ceiling of the new Fern Room in the Marjorie
4 McNeeley Conservatory; and

4VHEREAS, Northern State Power Company wishes to be indemnified against any claims
resulting from the installation and use of the photovoltaic system; and
WHEREAS, the expenditure of public funds, which includes the promise of
indemnificarion and defense, for such a purpose will facilitate and enable the installaUOn of this
system at no additional cost to the City; now, therefore, be it
RESOLVED, that the proper city authorities are hereby authorized to enter into the
attached agreement with Northern States Power Company, d/b/a Xcel Energy, which includes the
promise of indemnification.
