The City h�reby hires, employs and retains the Engineer for the furnishin� by and at the ex�ense of the Engineex, all of the necessary professional and technical services , personnel and equipment therefor, in strict accordance with the Engineer' s written � Proposal, dated April 6, 1971, and filed with the City, a copy of said Proposal is hereto attached, marked �xhibit "A" and made a part hereof, and in accordance with the fee schedule for soil invesL-igations wh�_ch is attached to said Proposal, a copy of which . is attached hereta, m.arked Exhibit "A" and made a par�L hereof, and in accor�ance with �:he Specifications for Soil Survey of the De- partment of Pub�ic Wor'KS, a copy of �ahich is hereto attached, marked Exhibit "B" and m�.de a part hereof, for an engineering investi��.tion of the soil conditions to obtain data to aid in the design of CAPP Roa�; Endicott St . to Vandalia St. (P-0555A) ,and Endicott St. to Hersey St. (PmOS55B) , with�yn th` corporate limits of said City oi Saint Paul, and to include borings located within the area as � shown on Exhibit "C", for said purpose, and for the making and submission of a written engineering report thereon, including engineering recommendations and results of all laboratory tests; and 2. The Engineer hereby accordingly accepts the employment herein provided for and agrees to be bound by the terms and provi- sions of this Agreement and to perform the aforesaid professional and technical services and to furnish and employ therein and therefor all requisite professional; technical and other personnel and equip- - ment at the Engineer' s sole cost and expense, such obligation of . the Engineer hereunder provided to be designated hereafter as the "Work". 3. That the Engineer hereby covenants and agrees and binds it- self unto the City to fully and faithfully perform all of the above designa.ted Work, including the furnishing and performa.nce by the Engineer of all requisite profEssional and technical services and the furnishing of all requisite professional, technical and other � personnel and equipment therefor, by and at the expense of the Engineer, in strict accordance with the Engineer' s aforesaid Pro- posal therefor, and according to all other applicable provisions hereinabove and hereinafter set �orth. 4. That the City hereby covena.nts and agrees and binds itself unto the Engineer to pay unto the Engineer for such professional and technical services and the furnishzng of all aforesaid requisite professional, technical and other personnel and equipment therefor, 2� ' by and at the expense of the Engineer, as aforesaid hereunder and in accordance herewith upon the completion of the Work as the Engineer' s full compensation therefor, which the Engineer hereby agrees to accept as such, the contract price to be computed and de- termined upon the basis and the rates repres�nted in the fee schedule for soil investigations (Exhibit "A") . S. That the Engine�r has made a reasonable engineering esti- ma.te of the cost of the Engineer' s aforesaid� Work from about $750.00 to $1, 700.00 to be determined in accordance with the applicable scheduled unit price rates as they appear in the fee schedule for soil investigations (Exhi_bit "A"), and to become payable hereunder in accordance with the provisions, terms and conditions hereof. , 6. That the City and Engineer mutually covena.nt and agree that the contract price computed as aforesaid shall become due and pay- able within thirty (30) days from and after approval by the City, and shall be paid by the City to the Engineer upon the full and faithful performance by the Engineer of all of the Engineer' s obli- gations hereunder and in accordance herewith under the supervision and subject to the direction and approval of the City in accordance with such supervisory orders and directions as shall be delivered to the Engineer by said City during the progress of the work, pro- vided, among other things, that said contract price, payable and to become payable hereunder, by the City to the Engineer, in the ag- gregate, shall in no event exceed the sum of $1, 700.00 and that the Engineer shall fully anc� faithfully complete its requixed perform- ance of the Work hereunder within the p�riod of ten (10) working 3� days next after the date of the countersigna.ture of this contract by the City Comptroller or during s�ch extended period as the City Council, by resolution, ma.y allow; and that the contract price as so computed and subject to the provisions, terms and conditions hereof shall be paid by the City to the Engineer from the Municipal State Aid Fund. - 7. For the purpose of this Agreement, the Engineer shall be deemed to be an independent contractor and not an employee of the City. Any and all employees of the Engineer or other persons, while engaged in the performa.nce of any work or services required by the City under this Agreement, shall not be considered employ�es of the City; and any and all claims that ma.y or might arise under the Workmen' s CompensaL-ion Act of Minnesota on behalf of said em- ployees or others while so engaged, hospitalization ins,�rance coverages, Social Security and pension payments and benefits, other employee obligations and benefits, and any and all claims ma.de by any third party as the consequence of any act� or omission on the part of the Engineer. The employees or other persons while so en- gaged on any of the work or services to be rendered shall in no way be the obligation or responsibility of the City. The Engineer sha.11 pay as they become due all just claims for work, tools, ma.chinery, ski11, materials, insurance premiums, equipment and sup- plies furnished, rendered or performed in the execution of this Agreem�nt. 4- 8. The Engineer shall be deemed a contractor for. the appli- � ca.tion of all provisions hereof and laws against unlawful dis- crimination on account of race, creed, color and sex. The Engineer agrees to comply with all of the terms and conditions contained in Cha.pter 238, La.ws of the State of Minnesota for 1941. The Agree- ment is subject to Title VI of the Civil Rights Act of 1964. � 9. It is further agreed that the Engineer sha.11 defend and save the City, its employees, officers or agents harmless from any claims, demands, actions or causes of action arising out of any negligent act or out of any negligent omission on the part of the , Engineer, its agents, servants or employees in the performance of or with relation to any of the work or services provided, to be performed or furnished by the Engineer under the terms of this Agreement. The Engineer shall protect from injury, all private property that . may be met with in carrying out the work, a.nd in case ar�y property • becomes damaged, it shall. be iffinediately r�turx�ed to its former condition by the Engineer at his own expense and with no additional � costs to the City of St. Paul. 8. BORINGS: - a. SoiZ Sampling sha1Z be performed by using a rotary drill, with a 4 and�or 6 inch flight au�er. Soil samples sha11 be taken at representative intervals at the discretion of the En�ineer and at each location where there is a change in �exture or characteristics ' of the soil. . b. Borings shall be taken in the proposed right-of-way at minimum intervals of 150 feet resulting in a minimum of 24 borings. � c� Minimum depths of all borings shall be 6 feet;if peat or fill is encountered' 25°� (mi.nimum) of such borings sha11 extend thru this mater�al to the under]�i.ng soil. The actual intervals and depths . shAll be determined by the Engineer as the findi.ngs indicate. � d. The Chief Engineer sha11 be given an opportunity to review the find- ings fr� tY�ese borings and order either added depth or additional . borings. • e. The Ch3.ef Engineer sha11 be noti�ied prior to removing identifying marl�s so that the City Surveyors can establish location and ground elevations for �.11 borings. ' f.
