RESOLVED? That the Council of the City of Saint Paul does
hereby concur in the actions taken by the Model Neighborhood
Planning Council and does hereby approve Agreement between the
City and Ramsey County Welfare Board pertaining to the operation
of Montessori Pre-School Day Care Program for a ninety-day period,
commencing Janua.ry 1, 1971, a copy of said Agreement being attached
hereto and incorporated herein by reference; and be it
FURTHER RESOLVED� Tha.t the Mayor, City Clerk and City
Comptroller are hereby authorized and directed to execute said
Agreement on beha.lf of the City of Saint Paul.

AGREENIENT
THIS AGREFMENT, N1�de and entered into this day of
, 1971, by and between the CITY 0� S�AIN�PAUL,
acting t ro�sg its MOD�L CITIES DEPARTI�NT, hereinafter referr��
to as "iKodel Cities Department", and the RA.MSEY COUNTY WELFARE
BO�RD, hereinafter referred to as "Agency";
WTTNESSETH:
WHEREAS, The Model Cities Department has applied for and has
received notice tha.t a grant will be awarded under the United '
States Department of Housing and Urban Development Demonstration
City and Metropolitan Developm�nt Act of 196b, Title I; and
WHEREAS, Pursua.nt to said gran.t, the Model Cities Department
ha.s undertaken certain activities and desires to engage the Agency
to render assistance in such undertaking; and
WHEREAS, The Mo3e1 Cities Department has obtained conseni: of
the United States D�partment of Housing and Urban D�velopment
(HUD) to authorize the Agency to operate and implement the
Montessori Pre-School Day Care Program for a ninety (90) day
period, co:nmencing January 1, 1971, pursuant to the approved budget
for the said ninety-day period, subject to certain conditions con-
tained within the said letter to proceed dated February 3, 1971,
a copy of which is attached hereto and incorporated herein by
reference;
NO��T, THEREFORE, THE MODEL CITIES DEPARTMENT AND AGENCY DO
MUTUALLY AGREE AS FOLLOWS :
1. The Agency shall perfor�n those activities necessary L-o
imple�nent and operate the project entitled "Montessori Pre-School
Day Care Program within the Surc�nit-University Model Neighborhood
commencing January 1, 1971. The term of this contract shall in-
clude the ninety-day period co�nencing January J., 1971 and terminat-
ing Ma.rch 31, 197�1, it being contemplated by both parties hereto
that a subsequent Agreem�nt will be entered into by and between
the said parties for a peri_od of time fro� and after March 31,
1971.
2. The Agency will submit its itemized requisition for re-
imbursement for services rendered during the i:erin of this Agreement
and will receive payment af�t�r the requisition has been approved
by the Model Cities Dep<�.rtment. It is expressly understood and
agreed tha.t in no event wilZ the total amount to be paid by the

Model Cities Department to the Agency under this Agreement ex-
� ceed the sum of Seven Thousand Two Hundred and no/100 Dollars
($7, 200.00) for full and completely satisfactory performance of
the project. The requisition shall set forth the dispo.sition of
the amount spent pursuant to this Agreement, and shall include
the following categories:
(a) Personnel (wages, fringe benefits)
(b) Consultants
(c) Space Rental
(d) Travel
(e) Consumable Supplies
(f) Equipment-Rental, Lease
(g) Other Costs, � �
3. The Agency sha11 m��intain verification for all exp�ndi-
tures, including but not limited to time sheets, invoices and
receipts and shall keep and retain such documentation for the
period of time tha.t is required to maintain its records hereunder.
4. For the purpose of this Agreement, the Agency shal:l be
deemed to: be. an in e endent contractor, and not an employee of the

engaged in the performance of any work or services required by the

Workmen'�`s Co_npensation Act of Minnesota on behalf of said employees
or other persons w'nile so engaged, hospitalization insurance cov-
erages, social secuirty and pension payments and benefits, other
employee obligations and benefits, and any and a11 claims m�.de by
any thir�. party as a consequence of any act or o:nission on the
part of the Agency, the employees or other persons while so en-
gaged on any of the wor'� or services to be ren,dered,, _shall ,in no . -

shall pay as they becom,� due all just claims for work, tools,
tn�chinery, skill, materials, insurance premiums, equipment and
supplies furnished, rendered or performed in the execution of this
Agreement.
5. The Agency shall be deemed a contractor for the applica-
tion of all provisions hereof and laws against unlawful discrim-
ina.tion on account of race, creed or color hereunder.
The Agency agrees in accordance with Chapter 238, Laws of
the State of Minnesota for 1941, that• in the hiring of common or

skilled labor for the performance of any work under this contract
or any subcontract hereunder, no contractor, ma.terial supplier,
� or vendor shall, by reason of race, creed or color, discriminate
against any person who is a citizen of the United States who is
qua.lified and availabl� to perform the wflrk to which su�h employ•-
ment relates; that no contractor, m�.terial supplier or vendor
under this co�tract shall in any m�.nner discriminate against, or
intimidate, or prevent the e�nployment of any person, or on being
hired, prevent, or conspire to prevent, any pers�n from the per-
form�.nce of work under this contract on account of race, creed
or color; and that this contract m�.y be cancelled or termina.ted
by the City, and all money due or to beco:n� due hereunder shall
be forfeited for a second or any subsequent violation of the terms
or conditions of this contract.
This contract is subject to Title VI of the Civil Rights Act
of 1964 (P. L. 88-352, approved July 2, 1964) and the rules �nd
regulations (24 CFR, Subtitle A, Part 1), issued by the Housing
and Hom� Fina.nce Agenc_y purs�uant thereto.
6. It is further agreed that the�lgenc�hall, defend and
save the City of Saint Pas��'�`iarml`e�s f`rorri any c a�ims, dem�.nds,
actions or causes of action arising out of any negligent act or
out of any negligent omission on the part of the Agency, its
agents, servants, or employees in the perform�.nce of or with rela�
tion to any of the work or services provided to be performed or
furnished by the Agen�y under the terms of this Agreement.
IN WITNESS WHEREOF, The parties have caused this Agreement
to be executed the day and year first above written.
