PART lI - D
TERMS AND CONDITIONS
1. Terminatzori of Contract. (a) If trie United States
Departmen� o� Hoasing ar� U--Tn De�,rel�pment should suspend or
terminate its Grant Ag�eement for �.he Comprehensive City Demon�
stration Progr_arn with the City of Saint Pau1, this Agreemen� may
be terminated by th� Madel Cities Department; or if, for any
cause not the direct result of Mode1 Cities Department actions,
the Agency sha1l fail to fulfill in timely and prope.r_ manner its
obligations under this Agreement, or if the �gency shall violate
any af th.e covenants, agreements or stipulations of this Agreement�
the Madel Cities Department shall thereupo7z have the right to
terminate this Agreement by giving w.ritten notice ta the A�en.cy of
such terinination and specifying the effective date thereofy except
as may be otherv�ise provided in Notice of Suspension or Termir�ation

(b) Provided, however, that if the Mode1_ Cities Department
sha11 exercise its right herein given to te-rmin.ate th�s Agreement
for cause, it shal.l nor�etheless reimburse the Agency f_or all amoun�.s
expended ar indebtedness incurred in good faith in reliance on i�his
Agreement so th.at the Agency shall be able to complete its �ccru�d
and/or curren� commitments on account of t�iis Agreement. But this
prouisi�n sha11 not be construed to r_elieve the Agency of its 13_a�
bil.ztST, if any, to the Model Cities Department for damag�s for
breach af contract.
(c) Either the Madel Cities Departrnenty with the consent of
the Model Neighborhood Plann�ng Council, oz the Agency may te��-min--
ate this A reement for �.ny reason �ahatsoever upon the g:ivir�g of
thirty (30� days written not�_ce. In such event, all finish.ed or
unfinislzed docu.ments, data, studies and reports prepared by the
Agency unde-r tn�_s Agreement, sha1l at the option of the Model
Cities Department become its propPrty, and the Agency shali be
entitled to re�eive ro�rpensation for work performed sat�_sfactorily
to the date of termina�ion of. the Agreement o.rLly.
(Terms anc� Cai�ditic�ns) 1.
(d) Notwithstanding the above, the Agency sha.11 not be
relieved of liability to the Model Cities Depa.rtment for damages
sustained by the Model Cities Department by virtue of any breach
of this Agreement by the Agency, and Model Cities Department may
withhold any payments to the Agency for the purpose of setoff
until such time as the exact amount of damages due the Model
Cities Department from the Agency is determined.
3. Chan es . The Model Cities Department may, from time to
time, request c nges in the scope of the services of the Agency
to be performed hereunder. Such changes, which are mutually agreed
upon by and between the Model Cities Department and the Agency,
shall be incorporated in written amendments to this Agreement. The
Agency may not deviate in any respect from the scope of services
delineated without the written consent of the Model Cities
Department. '
The Agency sha.11 assist the Model Cities Department and the
Policy Board in reviewing and revising these purposes and objectives
in light of the experience from the activities of the project for
the duration of this Agreement. Such assistance shall include, but
not be limited to, cooperating in the monitoring and evaluation
activities of the Model Cities Depa.rtment, pa.rticipating in the
continuing planning activities of the Model Cities, Department and
generally providing advice and counsel.
The Agency and the Model Cities Department may revise, amend,
and/or add to the purposes and objectives by clarifying langua.ge
and/or by quantifying any or all of the purposes and objectives.
Any such revisions and amendments shall be in the form of amend-
ments to this Agreement.
4. Personnel. (a) The Agency represents that it has, or
will secure at its own expense, all personnel required in perform-
ing the services under this Agreement. Such personnel sha.11 not
be employees of or have any contractual relationship with the
Model Cities Department.
(b) All of the services required hereunder sha.11 be per-
formed by the Agency or under the supervision of the Agency, and
all personnel engaged in the work shall be fully qua.lified and
shall be authorized or perm3tted to perform such services in
accordance with applicable Federal, State and local laws.
(Terms and Conditions) 2.
(c) None of the work or services covered by this Agreement
shall be subcontracted without the prior written approval of the
Model Cities Department. Any work or services subcontracted here-
under shall be specified by written contract or agreement and
shall be subject to each provision of this Agreement.
5. Anti-Kickback Rules . Salaries of architects, draftsmen,
technical engineers, and technicians performing work under this
Agreement sha11 be paid unconditionally and not less often than
once a month without deduction or rebate on any account except
only such payroll deductions as are mandatory by law or permitted ..
by the applicable regulations issued by the Secretary of La.bor
pu rsuant to the "Anti-Kickback Act" of June 13, 1934 (48 Stat.
948; 62 Stat. 740; 63 Stat. 108; title 18 U.S.C. , section 874;
and title 40 U.S.C. , section 276c) . The Agency shall comply with
all applicable "Anti-Kickback" regulations and shall insert
appropriate provisions in all subcontracts covering work under
this Agreement to insure compliance by su�contractors with such
regulations, and shall be responsible for the submission of affi-
davits required of subcontractors thereunder except as the Secretary
of Labor may specifically provide for variations of or exemptions
from the requirements thereof.
6. Pro'ect Coordination. The Agency, by its designee, shall
participate w t t e o e ities Department in regular meetings
for the purpose of coordinating efforts and continuing the planning
of the program.
The Agency sha.11 establish liaison and coordinate activities
with programs of other agencies functioning in related field pro-
viding service in the Model Neighborhood area.
7. Citizen Partici ation. (a) The Operating Agency sha.11
cooperate wit t e o e �t�es Department in informing the appro-
priate Model Cities Task Force of the activities of the Agency in
carrying out the provisions of this Agreement.
(b) Representatives of the Agency shall attend meetings of
the appropriate Task Forces upon the request of the Model Cities
Department.
8. Reduction of Services. In the event the Agency fails to
fulfiil t e erms an con it ons of this Agreement in a satis-
factory manner as determined by the Model Cities Department, the
Model Cities Department reserves the right, as its sole option,

to reduce or diminish th� services of the Agency and r�duce the
�project budget in a manner which reflects such reduction or
diminution. —
9. Assi nabilit . The Agency shall not assign any interest
in this Agreement an shall not transfer any interest in the same
(whether by assignment or novation) without the prior written
consent of the Model Cities Dep&f�tment thereto.
10. Subcontract and Other :� reements. The Agency shall not
subco�ctract any port on o t e ��rv .ces to be provided hereunder
without the prior written conse�.t of the Motlel Cities Department.
All consultants' contracts sha1� be approved by the Model Cities
Department prior to the execution of any Agreement thereto. Any
purchase of real estate shall also receive prior approval of the
Model Cities Depa.rtment. The Agency further agrees that prior to
the execution of any contract or other legal instrument concerning
the services to be provided hereunder, it will submit said con-
tract to the Model Cities Department for its prior written approval.
11. Restrictions on Disbursements. No money under this
Agreement s 1 e dis ursed y t e Agency to any contractor except
pursuant to a written contract which incorporates a11 Supplemental
General Conditions to this Contract and unless the Agency agrees
to compliance with HUD requirements with regard to accounting and
fiscal matters to the extent tha.t they are applicab].e.
� 12. Failure of Internal S stems. The Agency further agrees
that shoul s au , reports, or nternal system of control prove
to be inadequate in the determina.tion of the Model Cities Depart-
ment, the Model Cities Degartment reserves the right to enter upon
the Agency's premises and perform all acts necessary and relevant
to the establiat�ment of a proper system of internal fiscal control.
The Model Cities Department shall have the right to place its per-
sonnelt agents, or independent contractors upon the premises of the
Mgdniy and use Agency's personnel to function in this area. The
o e Cities Department agrees that at such time when the system
or systems conform to satisfactory practices, it will return jur-
isdiction and control to the Agency.
13. 0 eratin �rocedures. The Model Cities Department re-
serves the r g t to prescr e uniform operating procedures for the
Agency at such times when the Model Cities Department deems it
necessary.
14. Mode1 Cities Identificatior� in Pro'ect Activities. (a)
All buildings, o ces a ac ties use y t e gency to fulfill

the obligations under this Agreement sha.11 identify the City of
Saint Paul Model Cities Department as a sponsor of the activity
in a manner to be approved by the Model Cities Department.
(b) All stationery, inforcr�tiona.l releases, pamphlets and
brochures or other ma.terial prepared and/or distributed by the
Agency shall identify the City of Saint Paul Mode1 Cities Depart-
ment and the U. S. Department of Housing and Urban De�relopment
as sponsors of the activity, in a manner to be approved by the
Model Cities Department.
15. �Disp lacement and Relocation. The Agency shall immedi-
ately noti�y�ze oc el �i�3.es e�artment and its Relocation
Officer if any of the Agency's activities supported by the Model
Cities Supplemental Funds or any other public funds will result in
the displacement and/or relocation of families, individuals or '
businesses within the Model Neighborhood. Such notification sha.11
occur immediately upon knowledge that the activity will cause such
displacement and/or relocation that the Model Cities Department
and the relocation office can provide relocation assistance pa.y-
ments. If relocation of displacees is infeasible, the Model
Cities Department may direct the termination of the activities
causing further displacement.
16. Maintenance of Effort. It is agreed that any funds made
available un er prov s ons o is Agreement shall be used to in-
crease the total amount of services provided and the total amount
of funds spent in the Model Neighborhood by the Agency. Under no
circumstances shall funds being made available under this Agreement
be used to pay for activities already being provided by the Agency
in the Model Neighborhood.
The Model Cities Department may request documentation concern-
ing previous effort and expenditures by the Agency in the Model
Neighborhood to enable the Mode� Cities Depa.rtment to determine if
the Agency is increasing its ser •�ices and the spending of funds in
the Model Neighborhood.
17. �E ual E_m lo nt Oppor�__u_�nit�. During the performa.nce of
this Agreemen���cy a`gree� a—s�ollows:
(a) The Agency will not d'+ �criminate against any employee or
applicant for employment because of race, creed, color, sex, age or
national origin. The Agency wil� take affirmative action to en-
sure that applicants are employ�.-i, and that employees are treated
during employment, without regard to their race, creed, color, sex,

age, or national origin. Such action shall include, but not be
limited to, the following: employment, upgrading, demotion, or
transfer; recruitment or recruitment advertising; layoff or ter-
mination; rates of pa.y or other forms of compensation; and selec-
- tion for training, including apprenticeship. 'I'he Agency agrees
to post in conspicuous places, available tio employees and appli-
cants for employment, notices to be provided by the Model Cities
Departinent setting forth the provisions of this nondiscrimination
clause.
(b) The Ag ency will, in all solicitations or advertisements
for employees placed by or on behalf of the Agency, state that
all qualified applicants will receive consideration for employment
without regard to race, creed, sex, age, color, or national origin.
(c) The Agency will cause the foregoing provisions to be
inserted in all subcontracts for any work covered by this Agreement
so that such provisions will be binding upon each subcontractor,
provided that the foregoing provisions shall not apply to contracts
or subcontracts for standard commercial supplies or raw materials.
18. Discrimination Because of Certain Labor Matters. No
person emp oye on t e wor covere y t is greement s 11 be
discharged or in any way discrimina.ted against because he has filed
any complaint or instituted or caused to be instituted any proceed-
ing or has testified or is about to testify in any proceeding
under or relating to the labor standards applicable hereunder to
his employer.
19. Com liance with Local Laws. The Agency shall comply
with all app ca e aws, or ina.nces, and codes of the state and
local governments, and shall commit no trespass on any p�.blic or
private property in performing any of the work embraced by this
Agreement.
20• Interest of Members of Model Cities De rtment. No mem-
ber of the governing o y o t e o e ities epartment, and no
other officer, employee, or agent of the Model Cities Department,
who exercises any functions or responsibilities in connection with
the carrying out of the project to which this Agreement pertains,
shall have any personal interest, direct or indirect, in this
Agreement.
21. Interest of Other Local Public Officials. No member of
the govern ng o y o t e oca ity n w c t e project area is
situated, and no other public official of such locality, who
exercises any functions or responsibilities in the review or ap-
proval of the carrying out of the project to which this Agreement
(Terms and Conditions) 6.

22. Interest of Certain Federal Officials . No member of or
Delegate to t e ongress o t e nite tates, and no Resident
Cammissioner, shall be admitted to any share ar part of this
Agreement or to any benefit to arise herefrom.
23. Interest of A enc . The Agency covena.nts that it pres-
ently has no nterest an s 11 not acquire any interest, direct
or indirect in the above-described project area or any parcels
therein or any other interest which would conflict in any ma.nner
or degree with the performance of its services hereunder. The
Agency further covenants that in the performance of this Agreement
no person having any such interest shall be employed.
24. Findings Confidential. All of the reports, information,
data, etc. , prepare or assem ed by the Agency under this Agree-
ment are confidential, and the Agency agrees tha.t they shall not
be made available to any individual or organization without the
prior written approval of the Model Cities Department.
25. Purchase of Nonexpendable PropertY with Model Cities
Funds . The agency shall maintain a record for each item of
nonexpendable property acquired for the program. At the con-
clusion of this project or activity all nonexpendable property
acquired by the agency with Model Cities funds shall revert to
the city. Nonexpendable property is property which will not be
consumed or lose its identi�y by being incorporated into another
item of property, which costs �100 or more per unit and is
expected to have a useful life oY one year or more . Grouping of
like items such as chairs with an aggregate cost in excess of
�100 ehall also be controlled and aceounted for as nonexpendable
�roperty even though the cost of a single item is less than
100. The record shall include (a) description of the item of
property including model and serial number if applicable , (b)
date of acquisition, (c) the acquisition cost or assigned
value to the program, and (d) the source of funds expended. for
the acquisitio.n of property ( i .e . , agency funds or Model Cities
funds ) . It shall also include in�ormat�.on as to whether the
item oi property was new or used at the time of acquisition.
The aggregate of the individual eosts shown on the record cards
ahall equal the balan�tre in the subsidiary costs account for non-
expendable property. The fiscal inventory shall be taken and
reconciled with the record card annually.

The following conditions take �recede�ce over any conflicting conditions
in the Contract:

in the Labor Standards Provisione) that flirniahes to the City or to an Agency

or printing services).
(D) HUD means the Secret�ry of Housing and Urban Development or a person
authorized to act on his behalf.
(E) Program means the Compreh�nsive Demonstration Program approved by
HUD as the same me�y from time to time be amended.
SEC. 101. Records. --
(A) Establiahm�ent and Maintenance of Records. -- Records shall be ma,in-
tained in accordance with requiremertts preacribed by HUD or the City with
reepect to all ma,tters covered by this Contract. Except as otherwise author-
ized by HUD, such recorda sha11 be maintained for a period of three yeaxs
after receipt of the final payment under this Contract.
(B) llocumentation of Costs. -- All costs shall be aupported by properly
executed payrolls, time records, imroices, contracts, or vouchers, or other
oFficial documentation evidencing in proper detail the nature and propriety of
the charges. All checke, payrolls, invoices, contracts, vouchers, orders, or
other accouuting documsnts pertaining in whole or in part to this Contract
ahall be clearly identified e�nd readi]y accessibZe.

SEC. 102. Reports axid Information. -- At such times and in such forms
as HUD or the City may require, there shall be flirnished to HUD or the City
such statementa, records, reports, data and information, as HUD or the City
may request pertaining to matters covered by this Contract.
SEC. 103. Audits and Inspections. -- At ar�y time during normal business
hours and as often as the City, HUD and�or the Comptroller General of the
United States may deem neceesary, there sha11 be mad� available to the City,
HZJD and/or representatives of the Coaiptroller General for examina.tion all of
its recorde with respect to all �btt�ers covered by this Contract and will
permit the City, HUD and�or represeatatives of �he Comptroller General to audit,
examine and ma.ke excerpts or traascripts from �ud� records, and to �ke audits
of all contracts, invoices, materials, payrolls, recorde of personnel, conditions
oP employment euzd other data rel4tirrg'� to al].� ma,t�ers covered by this Contract.
SEC. 104. HtJD Requirementa. -- Unearned peyments under this Contract may
be suspended or terminated upon reflzsal to accep� ar�}r �c7.ditional conditions
the,t may be imposed 'by HUD at an�y time; or if the'grant to the City under Title
I of the DemAnstration Cities and Metropolit�n Deve].opment Act oi 196b is sus-
pended or termina,ted.
SEC. 105. Conflict of Intere�s�; --
(A) Interest of Membera oP City. -- No officer, employee, or agent of
the City who exerciaes ar�y f�inctions or responsibilities in connection with
the pl�nning and carrying out ot' �e Program, or at�y other person w2zo exer-
cisea ar�y flu�etione or responsib.ilities in connectioa with the Program, sha11
have at�y personal financial intere�t, direct or itldirect, in this Contract;

(B) �T'he Agency agrees that it will incorporat�e into every contract

Interest of Contractor and: Employees. ,- The Contractor
covenanta that no person who: presently exercises ar�r flmetions
or reaponaibilitie� in cotinect9.on with the Program, has at�r
personal financial interest, direct or indirect, in this
Contract. T'he Contractor further covenants that he presently
has no interest and shall not acquire a�y interest, direct
or indirect, in the Model Neighborhood Area or an,y parcels
therein, which would conflict in anpr manner or degree with the
performarice of his services hereunder. The Corrtract flirther
covenants that in the perforn�a,nce of this Contract no person
hsving ar�y conFlicting interest ahall be em�ployed. Ar�y interest
on the paxt of the Contractor or his earployees must be dis-
cloaed to the Agency and the City. Provided, however, that this
paxagraph shall be interpreted in such a manner so as not to
unreasonab�}r impede the statutory requirement that maximum oppor-
tunity be provided for emplcryment of and peir�icipation by
residents of the area.

SEC. 106. Opportunities for Residents. -- In all work made possible
by or resulting from this Contract, affirmative action will be taken to
ensure that residents bf the model neighborhood axea axe given maximum oppor-
tunities for training and employment and that business concerns located in
or awned in substantial part by residents of the mod.el neighborhood are to
the greatest extent feasible, awarded cantracts.
SEC. 107. Discrimination Prohibited. -- �
(A) In all hiring or employment made possible by or resulting f�om this
Contract, there (1) will not bg eny discrimination �gainet ar�y employee or
applicant f'ar employment becauee of race, col�r, religion, sex, or national
origin, and (2) aff'irmative action will be taken to ensure that applicants axe
employed, and that employees are treated during employmertt without regaxd to

in part with flu�ds obtained pu�auarst to this Contract, the equal opportunity
clause which ie a paxt of the �abor stan�d.ard provisions attached hereto.
The Agency fl�rther agrees that it will be bound by the equal opportunity
cl�use and other provisions of 41 CFR Chapter 60 with respect to its own employ-
ment practices when it participates in federally assisted construction work:
Provided, That if the Agency ao participating is a State or local government,

primary responsibility for securing compliance.
The Agency f�ther agrees that it will refrain from entering into any
contract or contract �modification sub�ect to Executive Order 112�+6 of
September 24, 1965, with a contractor deY�axred from, or who has not demon-
strated eligibi,lity for, Government contracta anci federally assisted construc-
tion contracts pursuant to the Executive Order. In addition, the Agency
agrees that if it fails or reflzses to comply with these undertakings, the
City may take any or all of the following actions: Terminate or suspend in
whole or in part this Contract; refrain from extending ar�y flxrther assistance
to the Agency under the program with respect to which the failure or reflzsal
occurred until satisfactory assurance of f�.iture compliance has been received.

ate legal proceedings.
SEC. 108. Labor Standaxds. -- There ahall be incltu].ed in all construc-
tion contracts, made possible by or re�ulting from this Contract, with private
entities the applicable labor standaxds pravisions, if the work being carried
on is not otherwise sub�ect to provision of Federal law imposing labor
standaxds on federally assiated construction and in the case 'of residential
pro�ects if the pro�ect is designed for the resident�al use of eight or more
familie�
SEC. 109. Copyrights. -- If this Contract results in a book or other

SEC. 110. Patents. -- Ar�r discovery or inven�tion axieing out o� or
developed in the course of work aided by this Contract shall be proQnptly and

on such invention or discovery shall be sought arid how the rights in the in-
vention or discovery, including rights under ar�y patent issued thereon, shall
be disposed of and administered, in order to protect the public interest.
SEC. lll. Political Activity Prohibited. -- None of the ft�nds, materials,
property or services provided directly or indirect�y under this Contract shall
be used in tha performance. of this Contract for ar�y pa,rtisan political activity,
or to flzrther the election or defeat of ar�}r candidate for public office.
SEC. 112. Lobbying Prohibited. -- None oP the ftiinds provided under this
Contract shall be used for publicity or propaganda purposes designed to support
or defeat legislation pending before the Congress. .

LABOR STANDARDS PROVISIONS
l. OPPORTUNITIES FOR RESIDENTS
In a,ll work made possible or re�ulting from this Contract, affirmative
action will be taken to ensure that residents of the model neighborhood area
are given maximum opportunity for traini.ng and employment and that busin�ss
concerns lxated in or owned. in substantial part by residenta of the model
neighborhood are to the greatest extent feasible, awaxded contracts.
2. EQUAL OPPORTUNITY
A. During the performance of this Contract, the Contractor agrees as
follows:
(1) The Contractor will not discriminate ag.e,inst ar�y employee or
applicant for employment because of race, color, religion, sex, or national
origin. The Contract will take affirmative action to ensure tha.t applicants
axe employed, arid tha.t employees axe treated during employment without
regsrd to their race, color, religion, sex, or national origin. , Such action
sha11 include, but not be limited to the foTlawings Em�loyment, upgrading,
demotion, or transfer; recruitment or recruitment advertising; leyoff or

warkers with whieh he has a collective bargaining agreement or other contract

employees and agplicants for �mployment.
(4) The Contractor wil1. co�aply with all provisions oP Executive Order
11246 of September 24, 1965, and o� the rul.es, regulations, and relevant

(5) The Contractor will ftiirnish all iaformation and reports required by

purposes of investi�ation to ascertain compliance with such rules� regula-
tions, and orders.
(6) In the event of the Contractor's noncompliance with the nondis-
crimination clauses of this Contract or with ar�y of the said rules, regula-
tions, or orders, this Contract may be canceled, terminated, or suspended
in whole or in part and the Contractor may be declared ineligible for
flarther Government contracts or federal],y assisted construction contracts
in accordance with procedures authorized in Executive Order 11246 of September
24, 1965, and such other sanctions may be imposed a,nd remedies i.nvoked as
provided in Executive Order 11246 of September 24, 1965, or by rule, regula-
tion or order of the Secretary of Labor, or as otherwise provided by law.
(7) The Contractor will include the portion of the sentence im�ediately
preceding paxagraph (1) and the provisions of paxagraphs (1) through (7) above
and paregraph B below in ev�ry subcontract or purchase order unless exempted
by rules, regulations, or ordera of the Secretary of Labor issued pursuant to
section 204 of Executive Order 11246 of September 24, 1965, so that such
provisions will be binding upon each subcontractor or vendor. TYie Contractor
• will take such action with reapect to ar�y subcontract or purchase order as HUD
may direct as a meana of enforcing such provisions, includ.ing sanctions for
noncompliance: Provided, however, That in the event a Contractor becomes in-
volved in, or is threatened with, litigation with a subcontractor or vendor
as a result of such direction by HUD, the Contractor �nay request the United
States to enter into such litigation to protect the interests of the United
States.
B. Non-Segregated Fe.cilities. The Contractor certifies that he does not
ma.intain or provide for his employees any segregated facilities at ar�y of his
eatabliahments, and that he doea not pea�mit his employees to perform their
services at ar�y location, under his control, where segregated facilities axe
maintained. The Contractor covenants that he will not ma.intain or provide for
his employees ar�y segregated facilities at any of his establishments, and that
he will not permit his employees to perform their services at ar�y location,
under his control, where segregated facilities axe maintained. As used in this
paragre,ph the term "segregated facilities" means any waiting rooms, work areas,
restrooms and washrooms, restaurants and other eating axeas, timeclocks, locker
rooms and other atorage or dressing axeas, parking lots, dxinking fountains,
recreation or entertainment areas, transportation, and housing facilities pro-
vided for employees which axe segregated by explicit directive or are in fact
segregated on the basis of race, creed, color, or national origin, because of
habit, local custom, or otherwise.
3• SPECIAL USE OF TERM
Notwithatanding Section 100 of the Grant Agreement and Section 100 of the
Supplementary General Conditions, the term "Contractor" may include an'bperating
Agenc�' as defined in the Grant Agreement and an"Agenc�'as defined in the
Supplementary General Conditions.

4. DAVIS-B�ACON ACT
(1) Minimum wages. (i) All mechanics and laborers employed or working
upon the site of the work will be paid unconditionally and not less often than
once a week, and without subsequent deduction or rebate on ar�y account (except
such payroll deductions as are permitted by regulations issued by the Secretary
of Labor under the Copeland Act (29 cFx Pa,rt 3)), the flill amounts due at time
of payment computed at wage rates not less than those contained in the wage
determination decision of the Secretary of Labor which is attached hereto and
made Q part hereof, regaxdless of ar�pr contractual relationship which may be
alleged to exiet between the Contractor and such laborers and mechanics; and
the wage determination decision shall be posted by the Contractor at the site
of the work in a prominent place where it can be e�sily seen by the workers.
For the purpose of this clause, contributions made or costs reasonably antici-
pated under section 1(b)(2) of the Davis-Bacon Act on behalf of laborers or
mechanics are considered wagee paid to such laborers or mechanics, sub�ect to
the provisions of 29 CFR 5.5(a)(1)(iv). Also for the purposes of this clause,
regular contributions me,de or costs incurred for more than a week�y period under
plans, fluZds, or programs, but covering the particulas weekly period, axe deemed
to be conetructively made or incurred during such week�y period:.
(ii) The Contracting Officer shall require that ar�}r class of laborers or
mechanica which is not listed in the wage determination and which is to be
employed, under the Contract, s3iall be classified or reclassified conformably
to the wage c�etermination, arid a report of the action taken shall be sent by
the Federal agency to the Secretary of Labor. In the event the interested
parties cartnot agree on the proper elassification or reclassification of a
particulax class of laborers and mechanics to be used, the question accompanied
by the reccamnendation of the Contracting Officer sha11 be referred to the
Secretary for final determina,tion.
(iii) The Contracting Of"Picer shall require, whenever the minimum wage rate
preacribed in the Contract for a class of laborers or mechanics includes a fringe
benefit whieh is not expressed as an hour],y wage rate and the Contractor is
obligated to psy a cash equive�lent of such a fringe benefit, an hour],y cash
equivalent thereof to be e�tablished. In the event the interested paxties cannot
agree upon a cash equivalent of the t'ringe benefit, the question, accompanied by
the recomumendation of the Contracting Officer, shall be referred to the Secretary
of Labor Por determina.tion.
(iv) If the Contractor does not make peyments to a trust�ee or other third
person, he may consider as part of the wages of ar�y laborer or m�chanic the
a.mount of e�r.�r costs reasonab]y anticipated in providing benefits under a plan
or program of a type expressly listed in the wage determination decision of
the Secretary of Iabor which ie a pe�.rt of this Contract: Provided., however,
the Seeretary of Labor has four.�d, upon the written request of the Contractor,
that the applicuble atandards of the Davis-Bacon Act have been met. The
Secrete,ry of Labor may require the Contractor to set aside in a separate
account assets for the meeting of obligations un�der the plan or program.

(2) Withholding. HUD ma,y withhold or cause to be withheld f`rom the
Contractor so much of the accrued payments or advances as may be considered
necessary to pay laborers and mechanics employed by the Contractor or ar�y
subcontractor on the work the full amount of wages required by the Contract.
In the event of failure to pay an�r laborer or mechanic employed or working on
the site of the work, HU'D may, after written notice to the Contractor, ta.ke
such action as mi�y be necessary to ce,use the auapension of ar�y flxrther payment,
ad.vance, or guarantee of fluida until such vi�olations have ceased.
(3) Payrolls a.nd basic records. (i) Payrolls and basic xecords relating
thereto will be maintained during the course of the work and preserved for a
period of three years thereafter for all laborers and mechanics working at the
site of the work. Such records will contain the r�tne and ad.dress of each such
employee, hi� correct classification, rates of pay (including rates of contribu-
tions or costs anticipated of the types described in section 1(b)(2) of the
Davis-Bacon Act), dail,y and week]y number of hours worked, deductions made and
actual wages paid. Whenever the Secretary of Labor has found under 29 CFR
5•5(a)(1)(iv) th�t the wages of ar�y laborer or mechanic include the amount of
ar�}r costs reasonably anticipated in providing benefits under a plan or program
described in section 1(b)(2)(B) of the Davis-Bacon Act, the Contractor shall
maintain records which show that the commitment to provide such benefits is
enforceable, that the plan or program is financially responsible, and that the
plan or program has been communicated in writing to the laborers or mechanics
affected, and records which show the costs anticipated or the actual cost
incurred in providing such benefits.
(ii) The Contractor will submit week]y a copy of all payrolls to the City
if the City ia a party to the Contract, but if the City is not such a paxty the
Contractor will submit the payrolls to the Agency for tranamission to the City,
for transmission to HU'D. The copy shall be accompanied by a statement signed
by the emplayer or his agent indicating that the payrolls are correct and com-
plete, that the wage rates contained. therein axe not less than those determined
� by the Secretary of Labor and that the classifications set forth for each laborer
or mechanic conform with the work he performed. A submission of a "Week�y
Statemer�t of Compliance" which is required under this Contract and the Copeland
reguletions of the Secretary of Labor (29 CFR, Part 3) and the filing with the
initial pa�yroll or ax�y subsequent payroll of a copy of ar�y findings by the
Secretary of Labor under 29 CFR 5•5(a)(1)(iv) shall satiaf�r this requirement.
The prime Contractor shall be responsible for the submission of copies of pay-
rolls for a11 subcontractors. The Contractor will make the records required
under the labor standards clauses of the Contract available for inspection by
authorized repreaentatives of HUD, the City �r the Agenc� and the Department of
Labor, and will permit such representatives to interview employees during work-
ing houre on the �ob.
(�F) Apprentices. Apprenticea will be permitted to work as such on1,y when
they are registered, individual]y, under a bona fide apprenticeship program
regiatered with a State apprenticeship agency which is recognized by the Bureau

of Apprenticeship and Training, United States Department of Labor; or, if
no such recognized agency exists in a State, under a program registered. with
the Bureau of Apprenticeship and Training, United States Depaxtment of Labor.
Z'he allowable ratio of apprentices to �ourneymen in ar�y craft classification
shall not be greater than the ratio permitted to the Contractor as to his
entire work force under the registered program. Ar�y employee listed on a
payroll at an apprentice wage rate, who is not registered a� above, shall be
paid the wage rate determined by the Secretary of Labor Por the classifica-
tion of work he actua,ll�y performed. The Corrtractor or subcontractor will be
required to t1u nish to the Contracting Officer written evidence of the
regietration of his program an�d apprentices as well as of the appropriate
ratios and wege ra,tea, for �he axea of construction prior to using ar�y
apprenticee on the contract work.
(5) C liance with C eland Re ations 2 CFR Paxt 3 . The
Contractor ehall comp]�y with the Copeland Regulations 29 CFR Part 3) of the
3ecretary of Labor which are herein incorporated by reference.
(6) Subcontracts. The Contractor will insert in any subcontracts the
clauses contained in 29 c�x 5.5(a)(1) through (5) and (7) and such other
clauses as HUD ma�y by appropriate instructions require, and also a clause
requiring the subcontractors to include these clauses in ar�y lawer tier sub-
contracts which they m�y enter into, together with a clause requiring this
insertion in ar�y fl�rther subcontracts that me�y in turn be made.
(7) Contract termination; debarment. A breach of clauses (1) through
(6) may be graunda for termination of the contract, and for debaxment as pro-
vided in 29 CFR 5.6.
5• CONTRACT WORK HOURS STANDARDS ACT
(1) Overtime requirements. No Contractor or subcontractor contracting
for ar�y part of the contract work which may require or involve the employment
of laborers or mechanics shall require or permit ar�pr laborer or mechanic in
ar�y workweek in which he is employed on such work to work in excess of eight
hours in ar�}r calendax day or in excess of forty hours in such workweek unless
such laborer or mechanic receives compensation at a rate not less than one
and one-half timee his basic rate of pay for e11 hours worked in excess of
eight houra in ar�y calendax day or in excess of forty hours in such workweek,
as the case may be.
(2) Violation• liabilit for un aid w es• li uidated d es. In the
event of ar�y violation of the clause set forth in subpaxagraph 1 , the Con-
tractor and an�y subcontractor responsible therefor shall be liable to ar�y
affected emplayee for his uripaid wages. In addition, such Contractor and sub-
contractor ahall be liable to the United Statee (in the case of work done
under contract for the Diatrict of Columbia or a territory, to such District

or to such territory), for liquidated. damagea. Such liquidated damages shall
be coa�puted with respect to each individua.l laborer or mechanic employed in
violation of the clause set forth in subparagraph (1) in the sum of $10 for
each calende,r de�y on which such employee was required or permitted to work in
exceee oP eight ho�urs or in excesa of the stan�dard workweek of forty hours
without patiyment oF the o�vertime wages required by the clause set forth in sub-
paragraph (1).
(3) Withholding for unpa3d wages and liquidated dawages. HUD may with-
hold or cause to be witYiheld, Prom at�y moneys pe�ys,ble on account af work per-
formed by the Contre.ctor or subcontractor, such eums as may administrative�y
be determined to be necessary to satisfy �y liabilities of such Contractor or
subcontractor for unpaid wages and liquidated fla�mages as pravided in the clause
aet forth in subparagraph (2).
(�+) 9ubcontracts. The Contractor shall inaert in ar�y subcontracts the
clauses se�t'�n aubpaxegraphs (1), (2), and (3) of this paxagraph and also
a, clause requiring the subcontractors to include these clauses in arLy lower
