WHEREAS� The Council of the City of Saint Paul, by its
resolution, C. F. 253521 approved April 9, 1971, authorized
execution of Contract for Sale of La.nd between the City and the
Housing and Redevelopment Authority of the City of Saint Paul per-
taining to the purcha.se of land by the City for the proposed Martin
Luther King Center for the sum of $12,200.00; and
WHEREAS� The Housing and Redevelopment .Authority of the City
of Saint Paul, pursuant to the above-referenced Agreement, ha.s
tendered Quit Claim Deed running to the City of Saint Paul for the
land set forth in the said Contract Agreement; now� therefore� be
it
RESOLVED: Tha.t the Council of the City of Saint Paul does
hereby accept Quit Claim Deed conveying title to the City of Saint
Paul for the Housing and Redevelopment Authority of the City of
Saint Paul for the property as more fully described in the said
Deed, a copy of which is attached hereto and incorporated herein
by reference, and the Office of the Corporation Counsel is hereby
directed to record the said deed of conve"yanc� in the proper office
of recordation.

body corporate and politic organized and exiating under the laws of the State of
Minnesota, as party of the First Part, hereinafter referred to as the "Authority",

WHEREAS, the Authority, acting pursuant to the provisions of Public Law 171,
81st Congress of the United States of America, as amended, and pursuant to Chapter
487, Laws of Minnesota, 1947, as amended, duly sdopted the BEDSVELOPMENT PLAN FOR - - --_

Resolution Number 68-4/24-4, which PLAN was approved by the Council of the Ciey of

and is now lawfully in effect in said City and State providing for the acquisition � '
and sale of said Project Area for redevelopment in accordance with said PLAN; and
WHEREAS, in order to enable the Authority to achieve the objectives� of the
PLAN and more particularly to make the land included in the PLAN available for
redevelopment by private enterprise and in accordance with the uses specified in
the PIAN, both the Federal Government and the City of Saint Paul, Mi�nesota, have '
undertaken to provide, and have provided substantial aid and .assistance.to the • .

2. The Redeveloper agreee for itself and its successora and assigua to or of the
Property or any part thereof, hmreinbefore described, that the Redeveloper and auch
successors and sssigns ahall:
(a) Devote the Propert� to, aad only to in accordsnca With
� the uaee specifiad in the PI.AN as no�r in effect and as Che
san►e may hereafter be extended from time to time in the
manner provided by luw; and make no changee in the improve-
ments an eaid Property subsequent to cereificate of caapletion
not tn full conformance aith th� PI�AN.
(b) Not discriminate upon the b8ais of r�ce, color, religion,
sex, or national origin in the �ale, leaec, or rentaZ or in the
use or occupancq of the Yropetty or any i�pr�vements erected or
to be erected thereon, or any part thereof.

shall be running With the 2and, and that they ahall, in any event, snd without
regard ta technical cLsasification or designation, legal or oiherorise, end except

Authoritq, its succeasors and aseigns, the City of Saint Paul, Minnesota, and eny
successor in interest to the Property, or any part thereof; and the oi+ner of any

the land uae, ree�iremente aad restrictions of the PL�SA1, and the United States (in the
case of covenant in clauae (lz) her�of) againat the Redeveloper, its succesaors and
ae�igns, and every succesaor in interest to the Property, or any part thereof, or anq

ahall have title to, or an interest in, o� posaession or occugancq of, the Property
� or part thereof. The term 'bsea" specified in the PIAN and "Land Use" referxing to
provisions of the PLAN, or siailar language, ia this Deed shall faclude the Iand and
all buildinga, housing and other requireraents or restrictiona of the PI.AN pertaining
to such land. -
In amq�lification, and not in restriction of, the provisione of the preceding
section, it is intended and agreed that the AuChority and ita succeaeors and asaigns
shall be deemed beneficiaries of the agree�nts and covenanta pravided herein, and
the tMited Statee shall be deemed a beneficiary of th� cavenante in clause (b) hereof,
both for and in their oan right, 8ad also for the purposea of prot�cting the intrsrest
of the community and other partiea, pablic or private, in �hose favor or far whose
benefit these agree�aents snd covenants have been gsovided. Such agreements and

covenants shall run in favor of the Authority and the Unitdd Statea, for the entire
period dnring vhich euch agree�ants and coveaants shall be in force and effect,
without regard to whether the Authority or the United States has at any ti�e been, -
remaina, or ia an owner of any land or intereet therein to, or in.favor of, which
euch agreementa and covenanta relate. The Authority shall authorize in the e�ent
of any breach of any agree�ment or covenant, and the United States shall h�ve the rlght
in the event of any breach of the covenant in clauee (b) hereof, to exercise all the
_ righta and remedies� and to inaintain any actions or suits at laW or in equity or
other proper proceedings to enforce the curing of such breach of agreement or cove-
nant� to vhich tt or any other beneficiaries ot auch agreement or covenant may be -
entitled.
3. This conveyance fs made upon the condition subsequent that if, prior to co+epletion
of i�aproveaents by the Redevelopar in accordance aith the CONTRACT, and PLAN, as such
completion ahall be certified by the Authority:
(a) . The Sedeveloper (or succeesor in interest) shall default �.n or
violate ita obltgatiana with respnct to the consCruction of the
improvements (including the nature and the dates for the beginning
ard completion thereof), or shall abandon or subetantiall�r euspend

construction work, and any such default or violation, abandonment,
or auspenaian shall not be cured, ended or ren�edied within three
' (3) nonGha (six sonth� if the default ia with rsepect to the date

Authority so to do; or
(b) The Redevelaper (or successor in intereat) ehall fail to pay
real estate taxes or assessmente an the Property or sny part thereof
when due, or shall place thereo� �ny encumbrance or lien unauthorized
by the CONTRACT, or shall suffer any levp or attachment to be made,
or any naterialmen's or mechanic's lien or any other unauthorized
encu�brance or lien to attach. aad euch tsxea or assessments ehall
not have been paid, or the encumbrance or lien remaved or discharged,
� or provision satisfactary to the Authority made for such pa�reaent,
removal or discharge, Mithin aixty (60) days after written dem�tnd
� by the Authority �►o to do; or
(c) There is, in violation of the CONTRACT, any transfer of the
Property, or anq part thereof, snd �uch viAlation shall not be cured
aithin aixty (60) days after writt�en de�and by the Authority to the
Redeveloper;
then the Anthority shall have the right to re-�nter and take poeseasion of the
Property and to Cerminate and revest in the Authority th� estate conveyed herein
to the Redeveloper; provided, that sach conditfon subsequent and anq revesting of
Citle aa a reault thereof in the suthority:
(1) Shall alMaps be subject to and Zi�aited by, and shall not defeat,
render im�alid, or limit in any �ay (a) Che lien or any mortgage
authorizcd by thn CONTR/�CT, and (b) any ri$hts or interests provided -
in the CONTitACT for the protection of the holders of auch mort$�ges;
and
(2) Shall not apply to individua2 parts or perce2s o� the Propertq
(or, in the case of parts or parcels leased, t�e Ieasehold interest)
on �rhich there ere no defsults under the tenas of said CONTRACT; and
. (3) Shall not spply aft�r ttee iaapr�vementa hav� been cocapl�ted and
cer�tified to by the Authority.

4. Pro�nptly afCer coe�liance with the restrictions. and covenanta camtained,in
• Paragraph X and Paragraph 3 abova, the Authcrity rill furnish the Redeveloper aiCh
. an appropriate irstrumt�nt shawing compliance Cherewith. Snch inatrument shall be

of Deeda or of the Registrar of Titles, as the aas� �aty be, of Ramsey County,
Minnesota. Such instrum�nt by the AnChority ehall be a caaclusive deterncination of
the satisfactory tarrainaticm of the agreeeaent� and covenents of the COAIT�AG".0 above
referred to, except for apecific covenants set fortB� in thie Deed, and shall be a
canclusive detsz7eination of the satisfactory termination of the covenants in this

Redeveloper, its auccesaors amd •ssigns, the Authority shall, aithin ninetq (90) days
sfter vritten request by the Redeveloper, its succeasors or sesigns, pravide the
Redeveloper, its successors or aasigns, With a �ritt�n statement, indicating in
adequate detail in s�haC respect the Redeveloper, its succeasors or assigns, has failed
to comply With the provisions of the C4'NTRACT and of thia Deed or is otherwiae in
default, and What measures and acts aill be neceasary, in th� opinion of the Authority,
for the Redevelop�r, its�successoro or assi$ns, to take or pnrfors+ in order to obtain
snch instrw�ent.

thereunto belonging or in anyaise ap�ertaining to the Redeveloper, its succeasors and
aasigns, or in the csse of an individual, his h�ir�, representatives end asei�n�,
