Citiz�n Par�icipat:�on. (a) The OperaLing Agency shall " cooPera`e w�t z�1od�.� Ci�~�s Deaar�ment in informin� �he app-ro- priate Mo��el Cities Task Force of the activities of the Agency in carrying out the provisions of this Agreement. (b) Repres�ntatives of the Agency � sh.all attei�d meetin�s of the appro�riate Tas?c Forces ,apon the requ`st of the �1ode1 Cities D�par tmeni�. 8. Reduction of S�rvic��s , In the event Lhe �gency fails to fulfill t Z�er�ns a,:� �con�itlo:�s of this Agree�.ne�t in a sa.tis- factor_y m�.�zner as de�ermined by tlze rlodel Cities D�par�ment, the Model Cities Deparcm�nt reserve•s. Lhe right, as its sole option, �Te1111S and Cei�dii�ions) 3 . to reduce or diminish the services of the Agency and reduce the project budget in a ma.nner which reflects such reduction or diminution. . � 9. Assigna.bilit . The Agency shall not assign any interest in this Agreement an shall not transfer any interest in the same (whether by assignment or novation) without the prior written consent of the Model Citi�s Department thereto. 10. Subcontract and Other Agreements . The Agency shall not subcontract any portion of the services to be provided hereunder without the prior written consent of the Model Cities Department. A11 consultants ' contracts shall be approved by the Model Cities Department prior to the execution of any Agreement thereto. Any purchase of real estate shall also receive prior approval of the Model Cities Department. The Agency further agrees that prior to the execution of any contract or other legal instrument concerning the services to be provided hereunder, it wi11 submit said con- tract to the Model Cities Department for its prior written approva,l. 11. Restrictions on Disbursem�nts . No money under this Agreement shall be disbursed by the Agency ta any contractor except pursuant to a written contract which incorporates a11 Supplemental General Conditions to this Contract and unless the Agency agrees to compliance with HUll requirements with regard to accounting and fiscal matters to the extent that they are applicable. 12. Failure of Interna.l S stems . The Agency further agrees that shoul its au it, reports, or interna.Z system of control prove to be inadequate in the determination of the Model Cities Depart- men.t, the Model Cities Department reserves the right to enter upon � the Agency' s Premises and perform all acts necessary and relevant to the establishment of a proper system of internal� fiscal control. The Mode1 Cities Department shall have the right to place its per- sonnel, agents, or independent contractors upon the premises of the Agency and use Agency` s personnel to function in this area. The Model Cities Department agrees that at such time when the system or systems conform to satisfactory pract.ices, it will return jur- isdiction and control to the Agency. 13. Ope�a�tin__g_ �rocedures . The Model Citses Department re- serves the right to prescri e uniform operating procedures for the Agency at such times when the Model Cities Department deems it necessary. 14. Model Cities Identification in Pro 'ect Activities . (a) All buildings, o ices an aci its.es use y L- e gency to �ulfill (Terms and Conditions) 4. > � the obligations under this Agreement shall ideni�ify the CitT of Saint Paul Model Cities Department as a spo�zsor of the activity in a ma.nner to be approved by the Model Clties Department. (b) All si�ationer_y9 informa.tional releasess pamPhlets and brochures or other_ material prepared and/or dzstributed by the Agency sha11 identify tl�e City of Saint Paul Aiodel Cities D�pa.-rt- men� and the U. S . Department of Housing and Urban Development as sponsors of the activity, in a manner to be approved by the Tiodel Cities Department. 15. Displacement and Re7_ocation. The Agency shall imrnedi� ate13T noti�'y' t11e � o el C,lties epartiiient and its ReZocai:ion Officer if any of the Agency' s activities supported by the Model Cities Supplernental Funds or any oth�r public funds �aill result in the displacement and/or relocation o� families, individuals or � businesses within th.e Model iveighborhood. Such notification shall occur imm`diately upon lcno�,�ledge thai� the activity will cause such displacement and/or relocation that the A1ode1 Cities Department and the relocation of�ice can provide relocatian assistance pay�- ments . If relocation of displacees is infeasible, the Mode1 Cities Depar�ment may dixect the terminatzcn of the activities cat;.sing further displacement. 16• Main�enance of Ef_fort. St is agreed that any �'ur�ds r.�a.de available unc�fier' provzs:zo��s o�'�is Ag-r_eement shall be used to in- crease the total amount of services ,pro�Jided and the toi�al amount of funds spent in the Model I��eighborhbod by the .Agency. Under no circumstances shall funds being made available under this Agreement b� used to pay for activities already �being provided by the Agency in the Mode1 Neighborhood.
