Re: Application of Allan G. Goldberg for the
transfer of an off-sale liquor license.
Dear Mr. McLaughlin:
Enclosed please find the following which were requested by Mrs . Westerman
in conne ction with the above referenced application of Allan G. Goldberg for
the transfer of an off-sale liquor license.
1. Tax check by City Clerk's Office.
2. Receipt of City Clerk for the deposit on the Application for Transfer.
3. "Blue" copy of Application for "Off-Sale" Liquor License.
4. A letter of request to transfer from present �icensee to proposed
licensee.
As we have previously advised, Mr, and Mrs. Goldberg now own the corpora-
tion known as Square Deal Ziquor Store, Inc. Both Mr, and Mrs . Goldberg were
elected to the Board of Directors effective May 8, 1972. At that time, Mr, and
Mrs. Goldberg were elected President and Secretary-Treasurer of the corpora-
tion. The aforementioned documents properly request the transfer of the liquor
license from Square Deal Liquor Store, Inc. , a corporation, to Allan G. Goldberg
an individual.

You have inquired as to the procedure by which Mr, and Mrs. Goldberg became
officers and directors of Square Deal Liquor Store, Inc, instead of Mr. and Mrs.
Grobovsky. Relative to that matter, enclosed please find the following docu-
ments:
1. Minutes of joint Special Meeting of Shareholders and Directors -
of Square Deal Liquor Store, Inc. dated November 24, 1967.
Please note that at that meeting, the Goldbergs resigned as
officers and directors of the corporation and Mr, and Mrs. Gro-
bovsky were elected directors and officers.
2. Pledge Agreement. Note that pursuant to the Pledge Agreement,
240 shares of the outstanding stock of Square Deal Liquor Store,
Inc. in the name �of Ben and Ethel Grobovsky were pledged,
delivered and deposited with Allan Goldberg as security for Mr.
and Mrs. Grobovsky's promise to make payment pursuant to the
� Promissory Note. Note also that pursuant to paragraph 3, the
pledgors permit Mr. Goldberg as the holder of the stock to sell
same in the event that the pledgors default in any of the conditions
of the Promi s s ory No te.

,3. A copy of Certificate No. 5, Square Deal Liquor Store, Inc. Please
note that the certificate has been endorsed in blank by both Mr.
and Mrs. Grobovsky and that the certificate of s tock contains a
legend stating that the shares of stock represented thereby is
subject to the Pledge Agreement.
. 4. Promissory Note.
5. Letter dated April 6, 1972 from joseph Mast to Ethel Grobovsky
and the Square Deal Liquor Store, Inc. Please note thatin this
letter, Mr. Mast elects on behalf of his client. Mr. Goldberg to
retain all of the outstanding stock of Square Deal Liquor Store,
Inc. in full satisfaction of the obligation of Ben Grobovsky and
Ethel Grobovsky and the Square Deal Liquor Store, Inc, to Allan
G. Goldberg. Mr. Goldberg's election was pursuant to the Pledge
Agreement and pursuant to M.S.A. Section 336.9-505(2).
6. Resolutions of Sole Shareholder and Directors in Lieu of Joint
Special Meeting of Sole Shareholder and Directors of Square Deal
Liquor Store, Inc. Please note that effective May 8, 1972, Mr.
Goldberg, as the sole shareholder, elected Mrs. Goldberg and '
himself to the Board of Directors of the corporation and as Presi-
dent and Secretary-Treasurer. •

that a default has occurred in the terms of the promissory note by contacting
Mrs. Grobovsky or her attorney. You may also verify that there was no ,
