"City, " and GROVER DIMOND ASSOCIATES , INC. `_ __ ___, ,
hereinafter referred to as "Consu ltant, "
WITNESSETH:
WHEREAS, the City, ac.ting through its City Architect, does request
� Consultant to make a Farmers' Market site analysis which could result in the
suggested site and possible multiple use of structures and market area for park,
and recreation purposes;
WHEREAS, it is the intent of the parties hereto to incorporate in this
agreement all terms and conditions to carry out the above purpose;
NOW, THEREFORE, the City and Consultant, for the considerations
hereinafter set forth, mutually agree as follows:
The City acting throu�h its City.Architect requests the consultant to make
a Farmers ' Market site analysis for the relocation of. the City Farmers' Market
and the practicality of utilizing the new market shelters for park shelters. . The
site selected by the City is in the Riverview Industrial Project, R-26, and is
between Plato and the bluffs and west of Wabasha 5treet, and is designated by the
Housing and Redevelopment Authority as Parcels AA-3 and PP, The site analysis '
would include the following:
F�ecorrun�ndations of the suggested site for a City Market location ar.d a
joint use park location;
Recommendation as to the feasibility of utilizing market buildings or
shelters for recreational park use when not in use as a market. This
recommendation would be made after meetings with the Commissioner
of F'ublic Utilities and the Commissioner of Parks and Recreation, and
staff inembers from those departments;
Recomznendation as to the area of land necessary for the market and '
ii it is found feasible to combine market and park, recomrnend amount
of property necessary for both uses;
Recommend th� size of the market shelters based on current and
projected mar)cet usa�e;
Provide a schematic design study to indicate the suitability of the site •
for the desired uses;
Estimate of probable constructian cost based on the schematic design
presented.

It is expressly agreed by and between ttie parties hereto that consultant
shall perform only suc:h work as inay be authorized in �,vritin�;, or as provided
herein �vith the completed study not to exc.eed a cost of Five

Consultant shall furnish all personnel, equipment: and such materials I
as nZay be required to carry out the authorized services. All ori�inal drawings,

maps , surveys, plans, specifications, statements of data, analyses, estimates ''

and reports are to be the property of the City. ;
The City agrees to pay consultant for services rendered as herein "

� provided in the following manner: �
1. The wages of all professional, subprofessional, technical and �

clerical personnel employed by Consultant on said project shall be figured on an
hourly basis according to the schedule of wages marked "Exhibit A" and attached II

2. Consultant shall submit, monthly, itemized statements setting forth

the amounts due and owin� from the City, which statement shall be in form
approved by the City. All accounts and invoices and other records shall be open to the �

inspeetion of the City. The City shall remit payment monthly to consultant.

3. It is expressly agreed that Consultant shall defend and save the City �
• ;
of Saint Paul, its employees, agents and officers harmless from any claims, !
demands, actions or causes of action arising out of any act or out of any omission
on the part of Consultant, its employees, agents and officers in the performance of '

or with relation to any of the wark of Consultant provided for under this agreement.
Consultant shalT secure and maintain such insurance as will protect it
and its employees from clairris for bodily injury, death, or property damage which
may arise from perfot-mance of its services under this agreement.
It is agreed ttiat this agreernent shall not be assignable and shall
continue in force and effect until terminated in w1-iting by either party on thirty ;

Consultant shall file wi±h the City Architect all drawings and specifica- i

tions reyuired under the terins of this agreement within forty-five (45) days
after execution of this agreement. �
Consultant shall be deemed a contractor for the application of all
provisions hereof and laws against unlawful discrirnination on account of race,
creed, sex, religion, national origin or color hereunder.
Consultant agrees, in accordance with Chapter 238, Laws of the State
of I�Zinnesota for 1941, that in the hiring of cornmon or skilled labor for the
performance of any work under this contract or any sub-contract hereunder, no
contractor, material supplier, or vendor shall, by reason of race, creed or.
color, discriminate against any person who is a citizen of the United 5tates who
is qualified and available to perform the work to which such employment relates; �
_that no contractor, material supplier or vendor under this contract shall in
any manner discriminate against, or intimidate, .or prevent the employment of
any p�rson, or on being hired, prevent, or conspire to prevent, any person
irom the performance of work under this contract on account of race, creed or
color; and that this contract may b e cancelled or terminated by the City,
and all moneys due or to become due hereunder shall be forfeited for a second
or any subsequent violation of the terms or conditions- of this contract.
This contract is subject to Title VI of the Civil Rights Act of 1964
(P. L. 88-352, approved July 2, 19f�4) and the rules and regulations (24 CFR,

Subtitle _A, Part 1), issued by the Housing and Home Finance Agency pursuant
the reto.
For the purposes of this agreement, consultant shall be de�med to be
an independent contractor and not an employee of the Gity. Any and all employees
of Consultant or other persons, while engaged in the performance of any
v�,•ork or services required by the Consultant under this agreement, shall not
be considered employees of the City; and any and all claims that may or might
arise under the Workmen's Compensation Act of Minnesota on behalf of said
employees or other persons while so engaged, hospitalization insurance coverages,

social security and pension payments and benefits, other employee
obligations and benefits, and any and a11 claims made by any third
party as a consequence of any act or omission on the part of Con-
sultant, the employee or other persons while so engaged on any of
the �vork or services to be rendered, sha.11 in no �vay be the obliga-
tion or responsibility of the City. Consultant sha.11 pay as they
become due all just claims for work, tools, machinery, ski11,
materials, insurance premiums, equipment and supplies furnished,
rendered or performed in the execution of this agreement.
IN WITNESS WHEREOF, the parties hereto have executed
this agreement the day and year first above written.
