PAUL � : /�'j This Agreement, made and entered into by and between the Metropolitan / , Sewer Board (hereinafter called the Board), and the City of St. Paul (hereinafter called the Municipality): , WITNESSETH THAT, in the joint and mutual exercise of their powers and in consideration of the mutual covenants herein contained, the parties hereto recite and agree as follows; Section 1. Recitals. The Board has assumed the ownership of all � � interceptors and treatment works in the metropolitan area needed to implement the � � Metropolitan Council's comprehensiv'e plan for the collection, treatment and disposal ; r F of setvage in the metr.opolitan area, as determined by the Council. The Board has � not assumed the ownership of certain interceptors (or segments tl�ereof) which are �. fi jointly used by two municipalities but �vhich serve 75 acres or less in the upstream = � # municipality, includinb the interceptor (s) located in the Municipality and described t ► in E�ibit A, �vhich is joinl:ly used by the Village of Mendota Heights, City of West � . . �: 5t. Thus the municipalities E � k involved, unless other action is taken, will have to negotiate new contracts providing . � for such payments. The Board has determined that in order to avoid the necessi � tY of having inunicipalities negotiate such contracts, that in the case of a joint use interceptor not taken over by the Board it should enter into a contract with the downstream municipality whereby the Board would acquire capacity in the interceptor sufficient- to continue such joint use during 1971 and 1972 (and later years if the , •. .. ,� o ` contract is renewed) and would pay to the downstream municipality a rental charge. ' �The estimated daily flow included in Exhibit A will be deducted from � St. Paul's annual flow for Uilling purposes. � Section 2. Board Use of Interceptor. 2. 01 Use Permitted. Board Payment For Use. The Board hereby agrees to pay to the Municipality the total annual su•m of $12, 510. 00 for the use, operation and maintenance of the interceptor described in Exhibit A during the calendar years 1971 and 1972 and any subsequent year for �vhich this contract is renewed. 5uch amount shall be paid in one payment for the calendar year 1971 and in 4 equal quarterly inst:allments, April, July, October, 1972, and January 19�3 for the calendar year , 1972. The Municipality will suUmit one billing for 1971 and a quarterly billing to the Board equal to one-fourth of the i:otal sum shown in 5ection 3 for the calendar year 1972 and subsequent years if renewed. � -� Section 4. Rene�val of Eontract. On or before November 1 in any year, the Board may give the Municipality written notice of its intention to renew this contract for the following calendar year. Within 30 days after receipt of such notice the Municipality shall notify the Board in writing whether it will renew the contract. If the Municipality fails to give such notice within such period the contract shall be renewed for the following calendar year without modification, except by consent of both parties. If the Board fails to give the Municipality notice of its intention to renew by November 1, contract shall be renewed only by consent of both parties.
