RESOLVED� Tha.t the proper City officers are hereby
authorized to execute Agreement between the City of Saint Paul
and County of Ramsey, whereby the City will disburse funds as a
part of its Grant Agreement from the United States Department of
Labor (Emergency Employment Act of 1971 - Section S) and in
accordance with the terms and conditions thereof.

• A G R E E M E N T
THIS AGRE��IENT, Ma.de and entered into this day of
, 197`, by and between the CITY OF SAINT PAUL, a
municipal corporation of the State of Minnesota, hereinafter re-
� ferred to as "City", and the COUNTY OF RAMSEY, hereinafter referred � �
to as "Sub-Grantee";
WITNESSETH:
WHEREAS, City has received a grant from the U. S. Department
of Labor-Ma.npower Administration, pursu.a.nt to P. L. 92-54
(Emergency Employment Act of 1971), whereby City is Grantee and will
act as Sub-Grantor for the purpose of disbursing certain approved
funds pursuant to the terms of the Grant Contract; and
WHEREAS, It was contemplated in said Grant Agreement that a
third-party agreement would be entere�d into between City and Sub-
Grantee for the disbursement of Grant funds;
NOW, THEREFORE, City and Sub-Grantee do mutually agree as
follows:
I.
Sub-Grantee will employ persons to fill the positions at the
salaries applicable thereto as set forth in the attached schedule
(which schedule is marked Exhibit A) .
II .
Sub-Grantee does hereby agree to abide by all the terms and
conditions contained in the E*nergency Employment Act of 1971 P. L.

of the applicable policies, rules and regulations of the U. S.
Department of La.bor issued pursua.nt to said P. L. 92-54.

� All employees hired by Sub-Grantee pursuant to this Agreement �
shall be paid by the Sub-Grantee, and City will reimburse Sub-Grantee
in accordance with the pertinent Grant Agreement referred to above.
It is mutually agreed tha.t in no event will the City' s obligation
to reimburse Sub-Grantee exceed the amount of Federal funds received
by City for this project. A11 of the funds allocated to Sub-
Grantee, pursuant to this Agreement, must be used for paying wages
and employment benefits for participants only, and in accordance
with the attached schedule marked Exhibit A.
IV.
Sub-Grantee sha.11 submit itemized statements to City, in form
approved by the City' s Comptroller, and in accordance with all
applicable Federal, State and local regulations. City will ma.ke
payment to Sub-Grantee within 15 days after receipt, review and
approval thereof.
V.
For the purpose of this Agreement, any and all employees of Sub-
Grantee or of other persons, while engaged in the performance of
work or services required herein, shall not be considered employees
of the City; and any and all claims that may or might arise under
the Workmen' s Compensation Act of Minnesota on behalf of said em-
ployees, hospitalization insurance coverages, Social Security and

pension payments and benefits, and any and all claims ma.de by any
third party as a consequence of any act or omission on the part of
the Sub-Grantee, sha.11 in no way be the obligation or responsibility

� VI.
This Agree:nent shall continue and be coterminious to the Grant
Agreement between City and the U. S . Department of Labor-Manpower
Administration. City' s liability hereunder is limited to the
amount of Federal reimbursement to be received by City under said
Grant Agreement, and City ma.y terminate this Agreement if Sub-
Grantee shall violate any of the covena.nts, agreements or stipu-
lations of this Agreement, or if the U. S . Department of Labor
should suspend or termina.te its Grant Agreement with City.
VII.
City retains the right to monitor and modify Sub-Grantee' s
program, through procedures similar to those the Department of Labor
will use as per Paragraph 4 of the Grant Agreement Conditions .
VIII .
Sub-Grantee shall hold harmless, protect and defend City, its
officers, agents and employees, from l�iability of any nature or
kinds, including costs and expenses, for or on account of any or
all suits or damages sustained by any persons or property result-
ing in w'nole or in part, from the negligent perfor��nance or omission
of any employee, agent or representative of the Sub-Grantee.
