ARTICLE I- BACKGROUND AND OBJECTIVE
A. Background.
The Parties to this Grant Agreement (Agreement) for a proj ect in the Mississippi National
River and Recreation Area (MNRRA) are the NATIONAL PARK SERVICE (Service)
and the CITY OF ST. PAUL PARKS AND RECREATION DIVISION (City). The
City is a political subdivision of the State of Minnesota. "City" means the City of St.
Paul, its Mayor, its City Council, its Council Chair, the City Administrator or other City
Staff, as determined by the City.
This Agreement is entered into by authority of:
1. Federal:
16 U.S.C. Section 460zz-5, the Area's Enabling Legislation, and
Pub. L. 104-208, September 30, 1996, 110 Stat. 3009, which authorizes the
Service to transfer appropriated funds to State, local and tribal governments, other
public entities, educational institutions, and private nonprofit organizations for the
public purpose of carrying out Service programs.
2. City: �
Chapter 13, Section 13.02 of the St. Paul City Charter gives the City the power to
make any and every type of improvement not forbidden by the laws of the state.
B. Objective:
The principal objective of this Agreement is to conduct site surveys and develop
recommendations for clearing and replanting in ecologically sensitive areas on
land that is owned by the City of St. Paul and within the Mississippi National
River and Recreation Area (MNRI2A). - - _

ARTICLE II - STATEMENT OF WORK
The Service and the City will perform the functions specified below in accordance with the
provisions of this Agreement.
A. The Service a�ees to:
Provide to the City funds as specified under Article V, Award, Payment/Invoices,
below, for the City to perform the functions specified under Sections B and C of
this Article.
2. Provide staff and in-kind services as necessary to perform the functions specified
under Section A of this Article.
3. Provide technical assistance, as requested, on the project.
B. The City agrees to:
Provide matching funds, personnel, volunteer labor, and other in-kind resources
necessary to match federal contributions and to perform the functions specified
under Section B and C of this Article.
2. Manage the project, including supervising and carrying out all project site work in
cooperation with project partners.
C. The Service and the City , jointly, agree to:
Work together with project cooperators to coordinate project activities, track
proj ect progress and expenditures, and ensure consistency with the MNRRA
CMP.

ARTICLE III - TERM OF AGREEMENT
This Agreement will take effect when it has been signed by both Parties, on the date signed by
the last party. This Agreement will continue in force until September 1, 2002.

The City shall address any communication regarding this Agreement to the
Contracting/Assistance Officer with a copy to the Superintendent of the Area.
Communications that relate solely to routine operational matters described in the current
work plan may be sent only to the Superintendent.

D. Changes in Key Officials.
Neither the Service nor the City may make any change in a key official without written
notice to the other Party reasonably in advance of the proposed change. The notice shall
include a justification in sufficient detail to permit evaluation of the impact of such a
change on the scope of work specified within this Ageement. Any change in key
officials shall be made only by amendment to this A�
ARTICLE V - AWARD, PAYMENT/INVOICES
A. Work Plan, Budget, and Award of Funds.
A work plan and bud�et specifying the tasks the City will accomplish during the term of
this A�reement are attached to this Agreement.
The Service will award funds to the City on a reimbursable basis, based on the current
work plan and budget.
B. Request for Reimbursement.
The Service will reimburse the City upon presentation of a written request for
reimbursement, but no more frequently than monthly. The City shall submit each such
request on Standard Form 270 (SF270), Request for Advance or Reimbursement to the
Superintendent at the address specified in Article IV, Pazagraph A. The Superintendent
will promptly forward the request to the Contracting/Assistance Officer at the address
specified in Article IV, paragraph A.
C. Auditing, Accounting, and Cost Principles.
Awards and other activities under this Agreement will be subject to the auditing and
accounting policies and cost principles in the following Office of Mana�ement and
Budget Circulars and the procedures in the attached General Provisions for Grant
Agreements:

D. Chargeable Appropriation.
The chargeable appropriation for this Agreement is account number 6286 — NZZ for :
fiscal yeaz 2001, in the amonnt of $6,500. Nothing in this Ab eement shall be construed
as binding the Service to expend in any fiscal year any sum in excess of the appropriation
made by Congress for purposes of this Agreement in that fiscal year.
E. Pre-Award Costs.
The Service will construe costs incurred from (Month) 1, 2001, through the effective date
of this Agreement as allowable, provided they aze within the scope of this Agreement.

The City shall obtain the prior written approval of the Service for the items specified in OMB
Circular A-102, 43 CFR Part 12, Subparts A and C, and in OMB Circulaz A-87.
ARTICLE VII - REPORTS AND RECORDS
A. �Vhere to Submit.
In accordance with OMB Circular A-102, 43 CFR §§ 12.80, 12.81, and 12.90, the City
shall submit reports to the Service's Contracting Officer at the address specified in Article
N. The City also shall submit a copy of each report to the Superintendent of the Area at
the address specified in Article IV.
B. What and �Vhen to Submit.
The City shall submit to the Service the following reports at the specified times:
1. Financial Status Report. An SF-269, Financial Status Report, upon completion of
this Agreement.
Other information pertinent to this Agreement.
C. Recordkeeping.
The City shall keep records concerning this Agreement in accordance with the
requirements of the General Provisions appended hereto and all applicable Office
of Management and Budget Circulars.
D. Access to Records.
The City shall give the Service and the Comptroller General of the United States,
or any authorized representative, access to and the right to examine all records
related to this Agreement.
2. The Service shall give the City or any authorized representative the right to
examine any records related to this Agreement that otherwise would be available
to the City under the Freedom of Information Act, 5 U.S.C. § 552.

ARTICLE VIII - PROPERTY UTILIZATION AND DISPOSITION
A. City-Acquired Equipment.
Not applicable. The City will acquire no property or equipment with federal funds
for this project.
ARTICLE IX - AMENDMENT AND TERMINATION
A. Amendment.
The Parties may modify this Agreement at any time, including the execution of a work
plan and budget as specified in Article V, only by written amendment, signed and dated
by the Parties.
B. Termination.
Either Party may terminate this Agreement as specified in OMB Circular A-102.
ARTICLE X- GENERAL AND SPECIAL PROVISIONS
A. General Provisions.
The requirements of OMB Circular A-87 and OMB Circular A-102, 43 CFR Part 12,
Subpart C, are incorporated by reference into this Agreement.
B. Certi�cations.

Drinking Water Act of 1974, as amended (P.L. 93-523);
and, (h) protection of endangered species under the
Endangered Species Act of 1973, as amended (P.L. 93-
205).
12. Will comply with the Wild and Scenic Rivers Act of
1968 (16 U.S.C. §§1271 ei seq.) related to protecting
components or potential components of the national
wild and scenic rivers system.
