WHEREAS, the City of Saint Paul and the Saint Paul Police Department operate an Impound Lot that
disposes of abandoned vehicles and property, and
WHEREAS, the organization entitled Youth Express is a non-profit organization with a 501 (C) (3)
number of 41-1683427, and
WHEREAS, Youth Express has a significant mission of community service in working with inner city
youth to develop opportunities via educational and employment programs through their Express Bike
Shop which sells retooled property, and
WHEREAS, Youth Express requests to enter into an agreement with the Saint Paul Police Department
to annually pay $20,000.00 for said abandoned property, and
WHEREAS, Minn. State statue 471.195 and the Saint Paul Administrative Code, Chapter.8, Sec. 8.02,
provide the authority for the Saint Paul Police Departraent to enter into such an agreement, and
BE IT RESOLVED, that the City of Saint Paul Police Department is authorized to enter into the
attached agreement with Youth Express, a non-proTit organization, to sell abandoned property from the
St. Paul Police Department Impound Lot. A copy of this agreement is to be kept on �le in the Office of
Financial Services.

Create and approve a Council Resolution allowing the Saint Paul Polica Department to enter
into an agreement with Youth Express, a non-profit oxganization, whereby Youth Express can
receive abandoned property which can be retooled and sold for their purposes. This agree-
ment is permissible pursuant to MN. State Statute 471.195 and the City Administrative Code,
Chapter 8, Sec. 8.02.

Youth Express is a non-profit neighborhood organization; their non-profit 501(C)(3) number
is 41-1683427. They have a significant mission of community service in working with inner
city youth to develop opportunities via educational programs, employment programs and
neighborhood service programs. One of their programs is to accept surplus goods, rework
them and sell them through their Express Bike Shop. This program provides thorough school
in the disciplines of accounting, advertisinQ, merchandisinQ, sales, customer service and
Youth Express will have a reliable source of raw materials to use for helping inner city
youth maximize their potential. The City will have a steady amount of financial support,
independent of the fluctuations an auction might provide.

genuinely involved in all aspects of a business operation.

of more rewaiding employment opportunities later. The students gain the knowledge,
experience and self confidence to accept mare challenging and piofitable pursuits in
the future. Youth Express currently has an agreement to accept abandoned bicycles
from the Saint Paul Police Impound Lot. They are seeking to enter into another
agreement whereby they will purchase abandoned property, other than bicycles, in
lieu of the City auc[ioning said property. Youth Express will then recycle this
property through their shop.

Agreement
Between the City of Saint Paul and Youth Express
THIS AGREEMENT, made and entered into this lst. day ofMay, 2002, by and between
the City of Saint Paul, Minnesota, a municipal corporation under the laws of the State of
Minnesota, heremafter refetred to as "City," and Youth Express, a non-profit organization whose
address is 168 N. Griggs, Saint Paul, Minnesota., hereinafter referred to as Youth Ezpress.
The City and Youth E�press in consideration of the mutual terms and conditions,
promises, covenants, and payments heremafter set forth, agree as follows:
SECT'ION 1: Scope of Services.
The two parties mutually a ree to the following. The City agrees to give abandoned
�roperiy to Youth E�cpress as av�able. The City has property which has been declared as
abandoned" by the City of Saint Paul and may be auctioned. Youth Express has the ability to
use said "abandoned" property to stimulate economic development in poor and disadvantaged
areas of Saint Paul by reworkuig said "abandoned" property mto workable salable property to
further the public purpose of Youth Express. The City sees the aforesaid economic development
has public purpose and is for the benefit of the commumty as a whole. Therefore, Youth Express
may come t the Impound Lot in Saint Paul to take possession of the abandoned property
designated by the City, on an available basis at a time mutually agreeable to both parties. Each
parry shall exclusively control and be legaily responsible for their own employees or volunteers.
The City reserves rights to withhold any abandoned property which may be used by the City or
disposed in another way.
SEC'�ION 2: Time For Completion.
The services described in Section 1 above sha11 be commenced upon execution of the
Agreement. This will be an open ended, ongoing contract until further notice. No completion
date is specified at this time.
SEC7TON 3: Billings and Payment.
Payment in the amount of twenty thousand dollars ($ 20,000.00) will be provided by
Youth Express to the Saint Paul Police Ympound Lot Special Fund on an annual basis. Said
payment w�il be submitted to the City no later than the end of the calendaz year for which payment
is due
SECTION 4: Ownership of Property
All deliverable property that results from this A�.reement sha11 become the properiy of
Youth Ex�ress. All property given carries no ea�pressed or implied warranties and aze given and
received ` as is" as "abandoned".
SECTION 5: Compliance with Applicable Laws.
Youth Express agrees to comply wrth all Federal, State and Local laws or ordinances, and all
applicable rules, regulations and standazds established by any agency of such governmental units,
wluch are now or hereafter promulgated insofar as they relate to Youth Express' performance of
the provisions of tkus Agreement. It shall be the obligation of Youth Express to apply for, pay for
and obtain all permits and/or licenses required.
SECTION 6: Hold Harmless.
Youth Express shall indexnnify, saue, hold hazmless, protect, and defend the City, its
oflicers, agents, and employees from all claims, actions or suits of any character brought for or on
account of any claimed or alleged mjuries or damages received by any person or property,
including the City, resulting from any act or omission by any person employed by Youth E�;press
in carrymg out the terms of this Agreement.

SECTTON 7: Terminarion.
Each party to the Agreement may terminate it by giving no less than thirty (30) days
written notice of the intent to temvnate to the other pariy..
SECTION 8: Amendment or Changes to Agreement.
The City or Youth Express may request changes that would increase, decrease, or
otherwise modify the Scope of Services. Such changes must be authorized in writing m advance
by the City. Any alterations amendments, deletions, or waroers of the provisions of this ,
Agreement shall be valid on�y when reduced to writing and duly signed by the parties.
SECTION 9: Entire Agreement.
It is understood and agreed that the entire signed Agreement supercede all oral
agreements and negotiations between the parties relaUng to the sub�ect matter hereof. This
Agreement shall be inteipreted and construed according to the laws of the State of Minnesota.
