RESOLVED, that the Council of the City of Saint

Paul does hereby approve and authorize a Lease Agreement
between the City of Saint Paul and Instrument Flight
Training, Inc. , whereby the City will rent space for its
police west side office for the term of one year,
commencing November 1, 1973, with the option to renew
for four additiona.l years, at a monthly rental of $110.00,
and annual rental of $1,320.00, and the proper City
officers are hereby authorized to sign •the said Lease
Agreement on behalf of the City.

LEASE AGREEMENT
THIS LEASE AGREEMENT is made and entered into as of
the first day of November, 1973, by and between INSTRUMENT
FLIGHT TRAINING, INC. as Lessor and the CITY OF SAINT PAUL
as Lessee.
WITNESSETH:
Lessor, for and in consideration of th e rent and other
covenants hereinafter mentioned and contained, to be kept and
performed Uy Lessee, does hereby demise, lease, and let to
Lessee, and Lessee doe� hereby ,rent, hire, and take from
Lessor, in accordance with the covenants hereinafter se t forth,
the premises described in Exhibit "A:' hereto, which is attached
to and made a part of this Lease as fully as if hereinafter
set forth below.
1. TERM: The term of this lease shall commence on the
first day of November, 1973, and shall continue for one (1)
. year, ending on the thirty-first (31) day of October, 1974,
with option for renewal for four (4) additional periods of one
year, ending on the thirty-fi.rst (31) day of October, 1978.
Lessee shall give written notice by September lst of each year
of intentions to renew the lease for an additional year.

2. R�NTAL: The Lessee sha11 pay to the Lessor as
rent for said premises the sum of Thirteen Hundred and
Twenty Dollars ($1,320.00) in equal monthly installments of
One Hundred Ten Dollars ($110.00) each, in advance, on the
first day of eac►� month during the term hereof. ;
2A. PURPOSES: Police West Side Office.
3. PRIME LEASE: The Lessor herein is the Lessee of `
Hangar No. 2 at St. Paul Downtown Airport, Holman Field, '�
St. Pau1, Minnesota, of which the demised premises herein
constitutes a part, under a certain Lease Agreement dated
October 12, 1973 with the Minneapolis-St. Paul Metropolitan
Airports Commission (hereinafter sometimes referred to as
"MAC") , as Lessor. This Lease Agreement between Lessor
.herein and the MAC, together with the General Terms and
Conditions accompanying said Agreement (attached hereto as
Exhibit "B") , hereinafter collectively referred to as the
"Prime Lease", is ma.de a part of this Lease Agreement and
Lessee agrees to keep and perform all of the obligations,
conditions and covenants of the Lessee under the Prime Lease �
with respect to the demised premises herein, except as may
herein otherwise be provided; Lessor herein shall have all
rights held by the MAC under the Prime Lease and Lessee
herein agrees to such obligations, conditions and covenants
to Lessor herein as said Lessor has to the MAC under the
Prime Lease; Lessee shall be subject to the same conditions as

this Lessor is subject to under the Prime Lease as Lessee;
and Lessee agrees that its obligations, conditions and
covenants to Lessor herein are co-extensive with this Lessor' s �
obligations to the MAC under the terms of the Prime Lease.
It is also agreed and understood between the part�_es hereto
that Lessee obtains and is grant�ed no more rights and privi-
leges hereunder than the Lessor hereunder has as Lessee under .
said Prime Lease. Lessee understands that this L.ease is con-
tingent and conditioned upon Lessor obtaining the consent of the
MAC for said Lease. Lessor represents that it wi11 use its
best efforts to obtain the necessary consent from the MAC to
its entereing into this Lease with Lessee and will notify Lessee upon
the receipt of such con$ent. If such consent of the MAC is not
obtained within thirty (30) days after the date hereof, Lessor
shall have the option to terminate this Lease without liability
by the parties hereto except for the stated rental during the
period of actual occupancy. It is alsa understood and agreed
by Lessee that this Lease wi11 terminate upon the termination
of the Prime Lease between Lessor and the MAC, if such termi-
nation occurs prior to� the expiration of the term hereof.
4. CONDITION OF PREMISES: Lessee acknowledges the receipt
of the demised premises and the same to be in good and sanitary
condition, and in good repair, arnl the taking possession of
the demised premises by Lessee shall be conclusive evidence that
the demised premises, and all improvements thereon, were at

sanitary and tenantable conditiong ar�l in all respects
satisfactory and acceptable to Lessee.
5. MAINTENANCE: Lessee agrees to make, at its
own expense, all repairs and main.tenan.ce on the demised
premises and on and to the improvements thereto except as
otherwise provided herein. Lessee shall not be responsible ,
for any structural repairs unless same are needed as a
result of negligence or other acts on the part of Lessee,
its agents, employees, invitees, or customers.
6. LESSOR' S RIGHT CF ENTRY: Lessor, or Lesso.r_ ' s agent,
ma.y enter upon the premises at reasonable hours to examine
the same and to do anything required of Lessor hereunder or
which Lessor may reasorr'ably deem necessary for the good of
the premises. _ __

in writing by either party to the other, notice as required

port be curtailed or :e�porariiy cliscortinued for any reason includiny �
flcod , goverrTcn�a ! int��r�erence or restr•iction or if fcr any reason
beyond thc control of ti�e Co�:�iission (including, �ut �•+ithout in ar.y n�anner
limiting tne fore,oir.c� , ���ar strikes , riots , civil ca:�,,,�tion and the like)
the Co�:�:��ission shall f�.i 1 to proocr3y r�aintain, op�rate and r�nage said
airp�rt , such failure shall not opera�e as a breach of this l��s� or
render the Co�r�r�issio�� liable in dam�ges. This p�ragr�ph sliall not be con-
� strued to bind said Co��r�ission to o�crate an airpor`t tr�ffic control tcx�er
unless i.n the judc,r;°nt of saio Con��r,ission the operation thereof shall be
deemed necessary. .
Subject to the provisions of Article XI , where the operation of the
Airport is tem�orari ly disco,�tinued or curtai led so �s ta n:�l:e the sa�� - - -°-

sion notice in v�riting, the tenant shall be relieved of the obliyation to
