_ MINUTES OF SPECIAL MEETING
OF BOARD OF DIRECTORS OF
FAIRVIEW LIQUORS, INC.
�' A special meeting of the directors of Fairview Liquors , Inc.
was held on Thursday, July 25, 1968 at 60 West Fourth Street,
St. Paul, Minnesota
� Al1 directors were present. J. Thomas Sampair was also present.
The Vice President, Mrs. Georgette A. Sampair, indicated that
she had assigned her 245 shares of corporate stock to J. Thomas
Sampair on July 15, 1968. Mr. Sampair indicated he desired to
sell these same 24� shares of stock to Mr. Lynch. Mr. Lynch
concurred that he had reached an agreement with Mr. Sampair for
the purchase of these shares. Mr. Sampair then endorsed these
stock certificates covering the 245 shares issued to Georgette
A. Sampair and assigned to J. Thomas Sampair over to Mr. Lynch
and after further discussion it was moved, seconded and unani-
mously passed,
RESOLVED, That the President and Secretary of the
corporation acknowledge the assignment executed by
J. Thomas Sampair on the 245 shares of. stock of the
corporation owned by him and that new certificates
be issued to William J. Lynch for 245 shares.
Mrs. Georgette Sampair offered her resignation as Director and
Vice President of the corporation. Upon motion duly made,
seconded and unanimously passed it was,
RESOLVED, That the resignation of Georgette Sampair as
Director and Vice President of the said corporation �
be and is hereby in all respects accepted on behalf
of the corporation.
There being no further business , the meeting was duly adjourned.

was held at 60 West Fourth Street, Saint Paul, Minnesota, on
Friday, August 30, 1968 , at 2: 30 o' clock P.M. The foliowing

The meeting was called to order by Mr. Lynch w�o acted as
Chairman. _
The Chairman then reviewed the financial statement as provided
by Marvin H. Levine, Public Accountant, and a discussion ensued
concerning said report.
, The Chairman then stated that the next order of business was
the election of officers for the company. Thereupon t�:� follo�ving
persons were unanimously elected to the offices set forth opposite
their names, to serve until the next annual meeting of the Board
of Directors and thereafter until their successors are duly -
elected and qualify:
