RESOLVED, That pursuant to the authority contained in Minnesota
Statutes, Section 161 .36, the Council of the City of St. Paul does
hereby designate the Commissioner of Highways of the State of Minnesota
to act as agent on behalf of the City of St. Paul , a subdivision of the
State of Minnesota, for the purpose of receiving Federal Aid Urban (FAU)
Funds to construct and improve MARYLANO AVE. from Interstate 35E to
Westminster St. (City Projects No. P-0597, B-1041 , S-1519 and T-1059),
all in accordance with the terms and conditions set forth in Agreement
No. 57474 between the City of St. Paui , the St. Paul Board of Water
Commissioners and the Commissioner of Highways, a copy of which Agreement
is attached hereto.

THIS �T made and entered into by and betweea the St�ate of Minnesota, Depart-
ment ot Higtiwa�ts, hereinafter referred to as the "State", acting by a�d t+hrough ;ts
Commissioner of Hi.ghways, hereinafter referred to as the "Comani.ssioner", the City
of St. Paul, Minnesota, acting by and through its M�yor, hereinafter referred ta a.s
the "Cityt' and the City af St. Paul Board of Water Commissioners, hereip.after referred
to as the "Water Commission".
W2TNESSETH:
WHEREAS the City requested the State, parsuant to the provisions of Eng�neering
Technical Assistance Agreement No. 2054, to prepare detailed construction plans,
specifications and special provisions For the widening of East Maryland Avenue
between a point within the intersection of the Interstate Trunk Highway No. 35E on
and of� ramps (Ramps "A" and "B") on the west side of the i.nterstate roadways and
the intersection of Westminster Street, �he widening, an the north side, of Bridge
No. 6513 caxrying Ea.st Maryland Avenue over Interstate Trunk FLighw�y No. 35E, the

installation of permanent traffic signals at the entra.nce to "K-�Iart", the revision
of inplace traffic signal systems at the east and west interstate highwatiy ramps
a,nd all other construction aad relocations necessitated by said East Mazyland Avenue
and Bridge No. 6513 widening; and
WHEREAS the State ha.s prepared the aforesai.d plans, specifications and special pro-
visions and included therein the concrete deck repair, bitumi.nous surfacing an.d
steel superstructure painting of inplace Bridge No. 6513 and the removal and replace-
ment of curb, guard rail and sidewalk along the Interstate Trunk Highway No. 35E
roadwaqs under said Bridge No. 6513; and
WI�AS those portions of the aforesaid pla.ns, specifications and special provisions
for the �ridening of East Maryland Avenue and Bridge No. 6513 and all other related
traffic signals construction and revisions, storm se�rer revisions and encasement of
water main ha,s been designated as City Pro3ect No. 164-02fl-23, and the aforesaid
portion of said plans, specifications and special provisions for the reaeoval and
replacement of curb, guard rail and sidewalk along the roadways of Interstate Trunk
Highway No. 35E has been designated as State Pro3ect No. 62�-185 (T.H. 35�---�90); and
WHEREAS the Federal Aighway Administration has indicated that all of the construction
performed in accordance with the aforesaid plans, specifications and special provisions
excepting the painting of %nplace Bridge No. 6513 steel superstructure and the encase-
ment of water main is eligible for 50 percent Federal-aid paxticipation and said
eligible construetion has been designated in the records of the Federal Highway Admin-
istration as Federal Pro3ect No. M �oi6 (ooi); and
WI-�EAS the construction of said Gity Pro�ect No. 164-020-23 wi.11 necessitate that
,ftiirther protection for an inplace portion of Water Commission owned 20-inch water
ma3.n i.n the northwest qexatlrant of the Ea,st Maryland Avenue-interstate Ramps "C't and

'�Dn intersection be provided by extending the casing pipe 112 feet to the �rest from
the inplace structural plate pipe casing which will require the removal and replace-
ment of the 20-inch water main pipe to be so eacased. Also, a portion of inplace
Water Commission 20-inch cast iron water mai.n pipe not encased which is located in
the northeast quadrant of the Ea.st Maryland Avenue-interstate Ramps rfA�r �� *rgtr
intersection will require replacement with restrained 3oi.nt duct3le iron pipe; and
WHEF�EAS the Water Commission desires to perform xith its own forces the removal and
replacement of both portions of the aforesaid 20-inch water main, and the City has
iadicated its wiltingn.ess to reimburse the Water Com�ni.ssion the flZ7.l cost of said
water main removal and replacement construction �vhich construction is not eligible
for Federal-aid participation; a.nd
WI�REAS the City has requested the Commissioner to act as its agent and provide for
the State to accept bids and awaxd a contract for the aforesaid construction to be
performed under City Pro�ect No. 16k-020-z3 and State Pro3ect No. 6280-188 (T.H. 35E-
390), and the City will reimburse the State 100 percent of the costs of constructing
sai.d City Pro3ect No. 16k-020-23 not reimbursable by Federal-aid flznds excepting the
costs of all work performed on i.nplace Bridge No. b513 which will be 100 percent
State cost. The construction of water main caei.ng pipe (115-inch R.C. Fipe Arch
G�ilvert) a.nd the construction of a manhole structure on said casing pipe and the
xeconstruction of a manhole structure on the inplace water main ca.sing pipe will be
100 percent City cost as said consf,ruction is not eligible for Federal-aa.d participa-
tioa. All of the aforesaid construction under State Pro3ect No. 6280-188 (T.H. 35E=
390) will be 50 percent State cost and 50 percent Federal-sid participation; and
Wf�REAS Minnesota Statute 161.36 provides that the Commi.ssioner may accept federal
moneys and other moneys, either public or private, for and in behalf of the State of

Minnesota or any governmental subdivision thereof, for the comgtrtxction, impranement,
or maintenance of roads and bridges upon such terms anci conditions as are or may. be
prescribed by the laa�vs oP the United States and az�r rules or regulations made there-
under, aad is authorized to ac�t as an agent of any governmental subdivi.sion of the
State oS Minnesota upon the request of such subdivision in accepting the moneys in
its behalf for road or bridge purposes in acquiring right of wa�p therefor, and i.n
contracting for the construction, improveanen�, or maintenance of roads or bridges
financed either in whole or in part by Pederal moneys. The governing body of any
suck subdivision is authorized to designate the Commissioner as its ageat for such
purposes and to enter into an agreement with him prescribiag the terms and conditions
of the agency in accordance herewith and with federal laws, rules and regulations.

ARTICLE I - 1�PPI.ICABLE LAti�5 AND PROCIDURES
This Agreement is made in accordauce with aad pursuant to Policy and Procedure Me.mor-
�dum 3a4, dated February ].1+, 1969 and Policy and Procedure Manorandum 30-k.1, dated
Nove,mber 29, 1972, both issued by the Federal Highwa� Administration, t,ogether with
any supplemeats or revisions thereto, sub3ect, hawever, to the provisions of all appli-
cable Stat,e and Federal Laws and any other applicable laws or regulations. Said M�nor-
andums, including any supplesnents or revisions thereto, are as much a part of this
agreement as though fully set forth herein. �
ARTICLE II - AC�NCY APPUIN'�
Pursua.nt to Minnesota Statute 161.36, the City does hereby appoint the Commi.ssioner to
act as its agent to construct the widening of East Mazyland Avenue from E�g ineer Station

intersection) to Eagineer Station k0+72 (at the east side of the Westminster Street
intersection) including the N3.dening of Bridge No. 6513 carrying East Maryland
Avemie over Intersta.te Trunk Highxay No. 35E and all other facilities in connection
with said widening of East Maryland Avenue such as a revised lighting system, a
revised signal sqstem, a ne�r sigaal system, new stornn sew�er facilities, a relocated
storm sewer facility aud the extension ot' a protective casing Por water a�sin Pacil-
ities tirhich construction is to be performed in accordanee with approved plana,
specifications and special provisioas therefor designated as City Pro�ect No. 1b4-020-23.
Included in said city pro3ect plans, specigications and �pecial provisions is the re-
moval and replacement oP curb, guard rail and sidewalk to be performed along the road-
way� of Interstate Txuak Highway No, g5E under said Bridge No. 6513 which has been
designated by the State as State Pro�ect No. 6280-188 (T.H. 35E=390). The construc-
tion xork so desigaated as Sta,te Pro�ect No. 628U-188 as well as the painti.ng of the
steel superstructure oP inplace Bridge No. b513 and the concrete deck repair and
bituminous surfacing of said inplace Bridge No. 6513 shall aot be included as part
of the aforesaid agency construction.
Said plans, specificatioas and special provisions desigaated as City Pro�ect No.
161�-020-23 and State Pro3ect No. 62aaiss (2.H. 35E=390) which are on file ia the
office of the Commissioner of Highways at St. Paul, Minnesota, are made a part hereoP
by rePerence with the same force an.d effect as though ftzlly set forth herein. Further,
the City authari�es the Commissioner, acting as agent for the City, to accept Federal.-
aid f�nds designated for participation in the cost� of constructing said City Pro3ect
No. 164-020-23 aa.d to apply such Federal-aid f`unds to said Cit� pro�ect construction
and construction engineeriag costs.
The Commissioner hereby accepts the Poregoing agency appointment by the City.

ARTICLE III - RESPONSIBILITLF,S OF TF� COI�ff'�ISSIO1VEft
The Commissioner and/or his duly authori�ed representatives shall, on behalf og the
St,ate and as agent for the City, do aad perform the folloFr`nng:
(Item 1.) Duly advertise for bids and award a constructios contract to the lm�rest
responsible bidder for the constrnction of the aYoresaid City Pro3ect No. Z64-020-23
and State Pro3ect No. 6280-188 (T.H. 35E=390).
> (Item 2.) Supervise aad have charge of the construction aad construction engineering
oY the aforesaid City pro3ect and State pra�ect construction xork.
(Item 3.) Make such changes in plans or in the character of the w�ork Por said city
pro3ect construction as recoamiended b� the State�s engineer in charge of the wnrk
if he concurs in such recoamnendations or which in his awn 3udgement are reasonably
necessazy to cause said city pro�ect to be in a11 things constructed and completed
in a satisfactory manner, and to that ead a.nd as supplemental to any contract let
for the construction of said city pro3ect, to enter in.to Por and on behalP oP the
city any supplemental agreements with the Statets contractor for the performance
of any extra work or w�ork occasioned by any necessary, advaatageou� or desirable
change in plans. However, the Commissioner or his representative shall confer with
the Ci.ty Engineer before making any such change in plans or enterin.g into any supple-
ment to the construc�ion contraat relative to said city pro�ect construction work.
(Item k.) Do and perform on behalf of the City all other acts an.d functions necessary
to cause said city pro�ect construction work to be completed in a satisfactory manner.
ARTICLE IV - INSPECTION BY 3`i� CITY ]�TGII�R
The construction of the said city pro3ect shall be under the supervision and direction
of the State, hawever, said agency construction work may be inspected periodically by

the City Engineer or his authorized representatines. If the City, after the w�ork
has been completed, believes said agency constraction wbrk has not besn properly
constructed or that the work is defective, the City sha11 i.nform the District Engi-
neer of the Minnesota Department of Highways at Oakdale in. yrriting oP such defects.
Any recoaIInenda�ions made by the City .regarding the work performed under this a.�ree-
ment are not biading on the State, and the State sha11 have the exclusive right to
determine whether t,he work has been satisfactorily performed by the State�s cantractor.
All work covered under this agreement shall be performed in substantial accordance
with the aforesaid city project plans, specifications and special provisions.
ARTICLE V - B.ASIS OF PAYNIENT BY TF� CITY
Section A. Construction Costs
The City shall pay to the State, as the City's full share of the ageacy coastruct�on
work to be perYormed in accordance with the provisions of Article iI of PART I hereof
and including fi.he costs of any supplemental construction agreements which may be
necessary to complete said city pro�ect agency construction xork a.nd the costs of any
settlements of claims made with the Statefs contractor in connection with said cit�
pro3ect agency construction t�rork, an atnaunt ecLual to 100 nercent of the construction
costs not reimbursable by Federal-aid funds under Federal Pro�ect No. M 501b(001) af
all construction performed under City Pro3ect No. 164-020-23 eaccepting the painting
of the steel superstructure of inplace Bridge No. 6513 and the concrete deck repair
and bituminous surfacing of inplace Bridge No. 6513 , the construction of a water
main protection facility consisting of 112 feet o£ 115-inch Span R.C. Pipe-Arch Culvert,
Class IVA, a manhole structure over the westerly end of said pipe-arch culvert and the
reconstruction of a.n inplace manhole �tructure over the inplace structural plate pipe
ad3acent to the pipe-arch culvert, and all the aforesaid construction designated as
Sta,te Project No. 6280-188 (T.H. 35E 390); plus an amount equal to 100 t�ercent of

the costs of constructi.ng the aforesaid water main protection facility which con-
struction is aot, eligible for Federal-aid funds participation.
(NOTE: The State �hall pay 100 percent of the costs of painting the steel super-
structure of the inplace Bridge No. 6513. The Sta,te sha11 pay 100 percent of the
costs not reimbursable by Federal-aid funds for the concrete deck repa:ir and bitu-
minous surfacing of inplace Bridge No. 6513 and for al1 of the construction desig-
nated as State Pro3ect No. b280-188 (T.H. 35E=�90).
The aforesaid payment by the City sha11 be based on the final quantities of the
agency construction work iteais performed computed at the unit prices contained i.n
the State's construction contract let in accordance with Article IIZ of PART I hereof.
It is understood and agreed that an� and all supplemental construction a,greements
and/or settlements with the State's contractor relative to the aforesaid ageacy
construction work must be approved by the City in order for the City to be obligated
to pay the costs of any such supplemental constzuction agreements and/or se�tlements.
Attached hsreto, made a pa,rt hereof by reference and marked "Schedule I'� is a pre]3m-
inary construction cost estimate and divisian of costs form which sets forth in detail
a11 of the construction trork items and the construction engineering items and costs
relative to City Pro3ect No. 161�-020-23 and Sta.te Pro3ect No. 6280-188 (T.H. 35�-=390)•
Also attached hereto is a color coded plan sheet marked '�Fbrh3bit A" shaw3.ng in Green
color the aforesaid water mai.n protection facility a.nd in Red color the storm se�wer
facilities to be relocated under said city pro3ect.
Section B. Prorated Construction Costs
In addition, said payment by the City shall include the City's prorated shares of
Items No. 2021.501 "Mobilization't and Item No. 2051.541 "Maintenance and Restoration

of Haul Roads" as set forth in the attached preliminary cost estimate marked NSchedule
I". The Mobili.zation and Mai.ntenance and Restoration ot Haul Roads items are con-
sidered construction items. Said additional payment represents the City�s propor-
tionate share of the mobilization and maintenance and restoratioa oP haul roads costs
incurred by the Sta,te in connection with the said agency construction work to be
performed uader City Pro3ect No. lbk-02o-23.
Section C. Gonstruction .EnnineerinP Cost
In additioa to payment of the aforesaid canstruction costs inclu@ing the prorated
cost shares of "Mobilization" and 'tMai.ntenance and Restoration of Haul Road", the
City sha11 pay to the State an amount equal to 8 percent of the amaant coa�ted
as the City�s share oP said construction costs, it being understood that saa.d addi-
tional payment by the City is the City's gropartionate share of construction engi-
neerir�g costs incurred by the State in conriection with the said city pro3ect agency
construction wark.
Section D. Prorated Construction EnPineerin� Costs
Said payment by the City sha11 also include the City's prorated shares of the costs
oY Item No. 2031.501 "Field Office, Type D" and Item No. 2031.503 "Field Laboratory,
Type C" as set for#.h in said attached "Schedule I't. The Field Office and Field
Laboratory items are considered engineering items but are not included in the afore-
said 8 per�ent additioa.
ARTICLE QI - PA7dSEI� BY THE GITY �
Section A. Estir.mate and Advancement of the Cit4's Cost Share
Zt is estimated, for accounting purposes, that the City's costs of the agency con-
struction to be perfo�ed under Citq Pro3ect No. 161�-020-23 based on 50 percent
Federal-aid participation in a11 said agency construction costs eaccept the costs

of constructing the a�oresaid water main protection facility and including the City's
ahares of the prorated items oP 'Tiobilization", "��Saintenance and Restoration of Haul
Road.s", "Field Office" and"Field La,boratory" plus the 8 percent constrnction engi-
neering cost share is the sum ot' $290,375•92 as shown in the attached 'tSchedule I".
The Sta,te shall, when a construction contract is awarded which i.ncludes the Citq
project construction wark to be perfornied hereunder, prepare a revised "Schedule I'r
based on the constraction contract unit prices and submit a copy of said revised
"Schedule I" to the City. The City agrees to adnance to the Commissioner an amount
equal to the City�s total cost share as set forth in said revised "Schedule I" be
it more or less than said sum o� $290,375•92 forthwith upon the execution of this
agreement and upon receipt of a request from the State for such advancement of f�znds.
Section B. Final P vment bv the Citv
It is contemplated that a11 oP the construction work to be performed under City
Pro�ect No. 161+-oz0-23 is to be done by the Sta,te under a contract let on a nnit
pri.ce basis. Upon the completion and accept,aace of the work provided for in said
contract by the State and the preparation by the State of a final estimate computing
aud determi2]irig the amount due the contractor performing the work, the Commissioner
shall determine a.nd comp�ute the amount dus the Trunk Higlzway Fund of the Sta,te of
Minnesota from the City for the said city pro3ect construction xork as set forth
hereunder. After the Commissioner detern�i.nes the actnal. amount due from the City,
he sha11 apply on the pa�►ment thereof as much as may be neeessazy of the aforesaid
Punds advanced by the City. If the amount fbund due froan the City shall be less
than the amount of the funds adva.nced, then, and in that event, the balance of said
advanced funds shall be returned to the City without interest. IY the amount so
found due from the City shall exceed saa.d amount of fhnds advanced, the City agrees
to promptly pay to the State the difference between said amount fvund due and said
amount of Punds advas�ced.

Section C. AcceDtance of Citv's Final Cost Share ead oP Completed Construction
It is understood and agreed that the aforesa.id caraputatioa and determination by the
Comtnissioner af the amount due from the City hereunder sha11 be final, binding and
conclusive. It is f�rther agre�d that the acceptance bg the St,ate of the completed
construction pravided for in said plans designated as City Pra3ect No. lbk-020-23
and performed under contract let by the State shall be �inal, binding and conclusive
upon the City as to the satisfactory completion oP �aid Mrork.
ARTICLE VTI - GENERAL PROVISIONS
Section A. P1ans Chan�es
The City may by an administrative order of its Ma�yor request a chan.ge or changes in
t,he plan of w�ork to be performed under City Pro�ect No. 161�-020-23 in order �.o satis-
factorily complete the aforesaid agency construction and if the State determines that
said requested plans change or changes are necessary and/or desirable, the Sta,te aad
the City shall enter into a supplemental agreement providing for such chaage or
changes in plans azid the division of costs between the City and the St,ate.
Section B. Adiustment of Citv Owned Storm Sewer Structure Frame and Rin�,Castin�s
Ad.justments ta certain City owned frame and ring castings are to be mad.e by the State's
contractor. The City shall ttiirnish the State's eontractor with neMr parts thereof
xhen replacements are required, w3thout cost or expense to the Sta,te or the Statets
contractor, excepting replacement required of units broken or damaged by the State�s
contractor.
Section C. Permit for Storm Se�wer Facilities
The City shall obtain, prior to the co�anencement of the aforesaid constrtxction under
City Pro�ect No. 16k-020-23, from the District Engineer of the Miunesota Highway
Department at Oakdale a permit grantin.g the City the right to have placed aad/or
relocated and thereafter maintain all new and/or relocated City o�med storm se�wer -
facilities to be constructed under said city pro3ect upon the trunk highway right oP
w�y.

Section D, Oc�eration and Maa.ntenance
The City understands and agrees that, upon the satisfactary completion o� the traffic
signal system revisions to be perfozmed upon the inplace si.gnal systems at the
Interstate Trunk Highway No. 35E-East Maryland Avenue 'rEast Ramps" and t'West Ramps'f
and the installation oP a new tra�fic signal systean an East Marylanci Avenue at the
"g�lart'r entrance under said City Pz�a3ect No. 161�.-ozaz3, the City sha11 thereafter
operate and properly maintain said traffic sigaal syste�ns without cost or expense
to the State and accept fh7.l a.nd total responsibility and a11 obligations and lia-
bitities arising out of or by reasoa of the operation and/or maintenance of said
traPfic signal systems. Agreement No. 56722M dated March 17, 1971, between the State
and the City pravides for the aforesaid operation and maintenauce of the traffic
signal eystems at said "East Ramps" and"West Ramps", and said agreement remaias in
fu]1 force and effect relative to the opera.tion and maintenance of sai.d '�East Ra�aps"
and "West Ra�gs't traffic signal systems.
Section E. Terniina.tion of Coannissioner�s A�t�ointment as A�ent for the Citv
It is understood. and a�reed that, upon the completion of the constrnction of said
City Pro3ect No. I61�-020-23 and the acceptance oY the sarm� by the State� the payment
by the State to its coatractor of a11 moneys due under t.he construction contract and
any and all supplements thereto relative to said city pro3ect constrnction, the
receipt by .the Sta.te oP atl monegs due from the City as provided for herei.n and �.he
receipt by the State of all Federal-aid flznds participatir�.g in the constzuction costs
of said city pro�ect, the Ca�nissionerls appointment as ageat for the City as set
forth in Article II hereof shall be terininated and thereafter the City shall accept
f1i11 and total responsibility and all obligations and liabilities arising out of or
by reason of the use, maintenance and/or reconstruction of those portions of East
Maryland Anenue constructed hereunder which are easterlq and westerly of said Bridge
No. 6513.

City agrees to remave snaw, ice aad debris from the roadways an.d side�ralks of said
Bridge No. 6513 and apply sand or cinders and salt as necessary on said bridge
roa�ways a.nd sidewalk xithout cost or expense to the Sta,te.
Section F. Claims
{Item 1.) T2ze Cit�r inder�mifies, saves and holds harmless the 3tate and aIl of its
agents and employees of and from a�n:y and all claims, demands, actions or cuases of
action of whatsoever nature or character arising aut of or by reason of the execution
or performa.�ce of the maintenance work and/or services to be performed by the City

ARTICLE I - R��iOVAL ArID REPLACE�4�JT OF GIATER 24AIN BY THE WATER C01�iISSION
The Water Commission shall cause to be performed, on a force account basis, the
Pollawing removal and replacement construction of Water Co�.ission awned water main
facilities: (Attached hereto and marked "F.xhibit B" and '�Fxhibit C� are two color
coded pla.n sheets shawing the locations of the water main constr�ction work to be
performed hereunder by the Water Ca�r¢ni.ssion.)
(1} Removal of approximately 120 feet of inplace 20-inch cast iron pipe e�ctending
westerly from the w�est end of an inplace structural plate pipe ca.si.ng which
inplace 20-inch pipe is located from 90 feet left of East Maryland Avenue Engi.neer
Station 3k+68 to 71 feet Ieft of East Mazgland Avernxe Engineer Sta,tion 35+94;
(2) Install approxima,tely 122 feet of 20-inch ductile iron pipe i.ncluding two 45
degree 20-inch pipe bends and one 20-inch C.I. sleeve ca.sin.g pipe to replace the
aforesaid (Item 1 above) 20-inch cast iron pipe to be rem,�ved and to be placed on
creosoted wooden saddles within the 212 foot long 115-inch Span R.C. Fipe-Arch
Culvert to be constructed by the State�s contractor extending from the aforesaid
inplace strnctural plate pipe casing. The location of said 20-inch ductile iron
pipe is shcywn in Orange color and of said 115-inch pipe-arch culvert is shawn in
Green color on the attached "Exhibit B" and "F.x,hibit Cft;
(3} Removal of approxima,tel� 120 feet of inplace 20-inch cast iron pipe located
from�132 Peet left of East Maryland Avenue Engineer Station 31+95 to 110 feet left
of East Maryland Avenue Engineer Station 33+2,8;
(4) Install approximately 120 feet oP 20-inch ductile iron pipe including one 20-i.nch
C.I. sleeve to. replace the aforesaid (Item 3 above) cast iron pipe. The location of
of said 20-inch ductile iron pipe is shawn in Orange color on the attached '�'xhibit B"
and 'fF{xhibit C";

(5) Znstallation of two 20-i.nch butterf'ly gate tralves including with each instaLla-
tion one 6-inch valve box, one 20-inch C.I. sleeve and a 2 foot length of 20-inch
cast iron pipe �rhich butterfly gate valves are to be located so as to isolate the
area required for the aforesaid removal and replacement construction. The proposed
locations of sai.d butterfly gate valves axe shown on the attached "Eachibit B" and
"F.�chibit Cr'.

Tl:e aforesaid water main removal and replacement construction shall be under the
direction and suvervision of the Water Co�ission; however said water main constxuc-
tion ma,y be inspected at any time during the progress of said construction by the
Sta.te's Project Engineer or his authorized representatives a.nd by the C3ty Engineer
or his authorized representatives, It is hereUy understood asid agreed that the
State's Pro3ect Engineer shall provide liaison between the Sta,te�s contractor and
t,he Water Coa�i.ssion forces performing said water main construction aud sha11 co-
ordinat,e the construction activities of each said party.
ARTICLE III - �AIT i'0 FERFORM WORK UPON TRUNK HIGI�•lAY ?�I(�iT QF WAY
Prior to covanenci.ng the aforesaid water main removal and relocatian construction, the
Water Cou�.ission snall obtain from the District Engineer of the Mi.nn.esota.Highw�r
Department a permit to porform work on trunk highwa.q right of way.
ARTICLE IV - pAYMENT BY THE CITY TU THE �JATER COMMISSION
Upon the satisfactory completion of the water main removal aad replacement construc-
tion as set forth in Article I of PART II hereof, the Water Conanission shall submi.t
to the City six copies oY an item3.zed statenent of the actual costs incurred by the
Water Co�ission in the performance oP said water main construction accompanied bp
a eertification by a resp�nsible Water Coman.i.ssion official to the effect that saa.d

water main construction work has been satisfactorily perPormed in accordance with
the tezzns aad provi.sions of this agreement and that the aforesaid statement o�
costs is a listing of the actua7. costs incurred by the Water Co�ssion relative
to the performance of said water main construction. It has been estimated by the
Watar Coa�mission, for accounting purposes, that the total costs of said xater
main construction is the sum of $19,�18.90 as shown in the cost estimate form
attached hereto and marked f'Estimate lrr�
The costs i.ncurred by the Water Coagaission in the performance of the aforesa3.d
water main removal and replacement are sub3ect to exami.aation and audit b3r the City.
The records and accounts pertaining to said water main construction, and accaunting
therefor, shall be made avaa.lable to representativ�s of the City for in.spection at
the time of audit and for 8, mi ni mnm period of three years fr� the date of final
PaYment.
The City shall, upon reaoipt of said statement of costs and accam�panying certiYication
from the Water Co�.ission, pa�y to the Water Commission, sub3ect to an audit of said
costs if requested by the City, an amount equal to 100 percent oP the costs of said
wat,er main construction.
ARTIGLE V - M�rANCE
It is hereby understood and agreed that, upon the sat�sfactory completion of the
installation of the aforesaid replacement 20-i.nch ductile iron water mai.n pipe aad
of the water main protection facility consisting oP a 112 foot length of 115-�ch
Span R.C. Pipe-Arch Culvert casing, a manhole structure npon the west end of said
casing and a reconstructed manhole structure on the west end of the inplace struc-
tural plate pipe casing which are to be constructed by the Sta,te's contractor and

thereafter properly mai.ntain said replacement water main pipe and the water mai.n
protection facility at its sole cost and expense.
ARTICLE TII - CLAZMS
The Wa�er Commission indemnifies, saves and holds harmless and releases the State
anc3 the City and all o� their agents and �mpZoyees of and Prom any and a71 clauns,
demands, actions or causes cf action of whatsoever na,turs or ch�tracter aris3xig ait
of or by reason of the exeaution or performance bp the Wat,er Commi.ssion of the xork
aud/or services provided for herein, and further agrees to defend at its o�wn sole
cost and e�tpense any actian or proceediug commenced for the purpose of asserting ax�y
cl.aim of whatsoever character arising as a result of the work and/or services to be
performed hereunder by the Water Co�ni.ssion.
Tt is further agreed that any and alI ecnployees of the Water Commissian and all other

Transmitted herewith is a copy of a proposed tri-party cooperative con-
struction agreement between the City of St. Paul , the St. Paul Board of
Water Commissioners and the Minnesota Highway Department. PART I of this
agreanent provides for the State, acting as agent for the City, to award
a contract for the construction of the referenced City Project: The
widening of East Maryland Avenue between the west t�amps of Interstate 35E
and Westminster Street, the widening of Bridge No. 6513 carrying Maryland
Avenue over Interstate 35E and such other associated construction as the
revision of traffic signal systems at the interstate ramps, the installa-
tion of a new traffic signal system at the entrance to K-Mart� and the
construction of new storm sewer facilities and the adjustment, ranoval
and relocation of inplace storm sewer facilities.
PART I of the agreement additionally provides for payment by the City
to the State of l00 percent of all of the costs not rei�ursable by Fed-
eral Aid Funds (it is anticipated that there will be 50 percent Federal
Aid participation) of constructing said City Project, except the costs
of painting the inplace Bridge No. 6513 steel superstructure (said paint-
ing to be 100 percent State cost) and the costs of the concrete deck re-
pair and bituminous surfacing of inplace Bridge No. 6513 (said inplace

bridge repair and surfactng to be 50 pe�cent State and 50 percent Fed-
erai Aid participation) and the costs of co�structing a watermain pro-
tection facility. PART I additionally provides fo� the City to pay to
the State 100 percent of the cost of constructing said watermain protec-
tion faci� ity, which cost is not eligible for Federal Aid participation.
PART II of the agreement provides for the St. Paul Board of Water Com-
missioners to cause to be performed, on a force account basis, the re-
moval and replacement of certain po�tio�s of watermain pipe, and further,
provides for the City to pay to the Board of Water Conmissioners 100 per-
cent of the actual costs of said watermain pipe removal and replacement
which is required as a consequence of the widening of Maryland Avenue
under the referenced City Pro,ject.
As noted in my first letter dated June 14th, total cost to the City is
estimated as a sum of $290,400.00, in addition to total State and Fed-
eral participation estimated as a sum of $300,300.00. Attached for your
approval for submission to the Council is a proposed resolution authoriz-
ing the Cortmissioner of Highways of the State of Minnesota to act as agent
for the City of St. Paul in the receipt of the Federal Aid for this proj-
ect, pursua�t to Minnesota Statutes Section 161.36. Also attached for
your execution is a proposed administrative order authorizing the proper
City officers to execute this agreement. It is expected that the Board
of Water Commissioners will execute the agreements today, June 14th. If
you would, therefore, expeditiously consider these documents, the proposed
resolution could be placed on the Council agenda for Tuesday, June 19th,
and we could hopefully begin execution of the agreem�nt on that date.
City execution must be complete by Thursday, June 21st, in order to per-
mit the scheduled opening of bids on the project to occur next Friday,
June 22nd, to minimize the possibility of ,jeopardizing the anticipated
Federal Aid.

Dear Mr. M�rshall:
Transmitted herewith are two fully executed copies of the subject Agreement No. 57474
between the City of St. Paul, the City of St. Paul Board of Water Co�nissioners and
this department relative to the payment by the City to the State of the cost to con-
struct widening on East Maryland Avenue, including the widening of Bridge No. 65I3
carrying East Maryland over Interstate Trunk Highway No. 35E and other associated
faci2ities included in Article II of the enclosed agreement.
Said �ayrnent by the City shall be made in accordance with Articles V and Viof the
enclosed Agreement N0. 57474 which bases said City payment on final quantities of
City cost participation work performed computeci at the unit prices contained in the
State�s construction contract, Article VI, Section A. of the agreement provides for
the City to advance to the State the CityTS estimated total cost share of the afore-
said City cost participation construction based on the estimated quantities and
contract unit prices. The City�s total cost share is the sum of $372,693.87. An
invoice in the amount of $372,b93.87 will be sent to the City shortly and it is re-
q�ested that said advance payment be made accordingly.
The enclosed agreement copies may be retained for the City's use.
