City, for the consideration hzreinafter set forth, does . hereby let unto Lessee, for driveway purposes only, that certain land ?ocated within the City of Saint Paul, Ramsey County, Minnesota, descr�bed as the Easterly fifteen (E' ly I5) feet of Lot eleven (11) , "Rosen .�ddition" St. Paul, Minn. , for a term of five (5} years com- mencing on the lst day of November, 1972, and terminating on the 31st day of October, 1977. 2. Lessee may request an extension of this Lease for a fur�her term of five (5) years, which requ�st shall be trans- mitted to City on ar before the lst day of September, 1977. Such written notice shall be delivered to the office of the City Clerk. If City consents to the extension requested, writte� approval shall be transmitted to Lessee on .or before the 30th day of September, 1977. Rent for the period of extension shall be subject to agreement by and between the parties as evidenced by addendum to this Lease Agreement. 3. As consideration for the use of the demised premises, L�ssee shall pay, in advance, the sum of Seventy-Five Dollars ($75.00) per year, payable at the office of the Department of Finance and Management Services in the City Hall and Court House, Saint Paul, Minnesota. 4. The Lessee, in addition to the above-stipulated rental, shall prompt3y pay when dua all taxes, general or special, all public rates, dues and special assessments of every kind which shali become due and payable upon said real estate or improvements th�reon during the term of this Lease. It is further agreed that in the case of nonpayme�t or failure by the Lessee to pay and dis- charg� any taxes, assessments, rates, charges or levies as herein provided, then the City may, at its option, terminate this Lease Agreement by giving Lessee ninety (90j days' written notice, and 2 . , Less��� shall peacefully give up the possession of the prenises and res��ore th� property to its original condition. Nothing herein shall prahibit Lessee from reasonably contesting thz lew of any such tax. 5. Lessee shall have the right to terminate this Lease in the event that (a) all or a substantial part of the leased premises are taken by the right of eminent domain, or (b} Lessee is de�rived of access to the leased �remises. In the event of such termination, Lessee shall restore the premises to its original con- dition. 6. The City reserves the right to use the demised premises for access to adjacent property owned by the City and used for floodwall protection. Lessee shall maintain the property so as to permit City access at all times. 7. Lessee shall construct any permanent structures on the demis�d premises. 8. No change in- the existing grade will be permitted; and any construction or improvements made within the demised area will first require the written approval of the head of the Department of Public Works. 9. The demised premises were acquired by the City for flood- wall purposes, and the driveway shall be under the strict scrutiny of the Department of Public Works so as to insure that the driveway will in no way interfere with the function and maintenance of the floodti,rall. 3 � , . � � • . , ' 10. Before any improvement or chang�s to improvements ma1 b� made by Lessee, they shaZl submit plans and modifications to the City. City will submit said plans to the District Engineer, U.S . Corps of Engineers. r7'o improvements or modifications shall be made without first obtaining the approval of the Corps of Engineers, 11. This Lease Agreement may be terminated by City at any time and for any reason whatsoever, and in that event written notice of termination shall be mailed to Lessee by City no less �chan 90 days prior to the effective date of termination. Upon termination of this Lease the demised premises shall be restored to i-ts original condition by Lessee and at no expense to City. 12. Lessee shall not create nor maintain a nuisance on the demised premises. 13 . Lessee shall obey all applicable ordinances, State and Federal laws, and be in cornpliance with all rules and regulations im�osed by the City or any State or Federal agency. I4. Lessee does hereby expressly agree and undertake to fully indemnify, hold harnaless and defend the City of Saint Paul, its agents, officers and employees from any and aIl damages, claims, Iosses, judgments, suits, expenses, actions or causes of action in whatsoever manner arising out of or occasioned by the occupation or use of the demised premises by Lessee. 4 - . � 15. Less�e agre�s ta furnish and maintain, during the term oi this Lease, public Ziability insurance, which shall pro�tect the City and tr.e L�ssee from claims or danages for � personal injury, including accidental death, which may arise out of the occupation or us� of the demised premises by the Lessee, which nublic liability insurance shal]. be in an amount of not less than One Hundred Thousand Dollars ($10�, OQ0.00) per person for injuries, including accidental death, and subject to the same limitations for each person in an amount of not less than Three �iundred 'I`housand Dollars ($300,000.00) on account of any single accident or incident, and further include coverage for property damage in an amount not less than Three Hundred 'Irhousand Dollars ($30�, 000.00) arising out af a singls occurrence, which policies of insurance or certificates shall state that thirty (30} days' written notice shall b� given to the City before said insurance is changed or cancelled. Cvpies of said insurance policies or . certificates shall be- filed with the City' s Department of Finance and Management Services. 16. At all times during the term of this Lease, City shall have the right, by its agents and employees, to enter into and upon the demised premises and improvements thereon during reasonable business hours for the purpose of examining and inspecting the same and determining whether th� Lessee shall have complied with its obligations hereunder in respect of the care and maintenance and 5 . , - •use of the premises and the repair or rebuilding of th� improvements thpr�on when necessary. 17 . The Lessee shall not erect, affix or display any sign on the d�mises premises. 18. The Lessee shall not sell or assign this Lease or sublet said pre:nises or any part thereof without first obtaining the written consent and approval of the Council of the City of Saint P�ul; evidenced by its resolution duly adopted and enacted. Any such assignment or subletting without the approval of City shall be void, and shall, at the option of the City, terminate this Lease. This Lease shall not, nor any part of interest thereof, be assignable as to the interest of I,essee, by operation of law, without the written consent of City.
