1 BE IT RESOLVED, that, upon the peution of the City of Saint Paul, as documented in Real Estate
2 Division File Number 1999-16 public properties hereinafter described are hereby vacated and
discontinued as public property:

8 Northeast of said Northeasterly line of Chestnut Street and Hill Street lying Northeasterly
9 of the Northeasterly line of Chestnut Street to 300 feet Northeast of said Northeasterly line
10 of Chestnut Street (Reference Attached E�ibit "A").

12 This vacation shall be subject to the terms and condition of Chapter 130, codified March 1, 1981, of the
13 Saint Paul Legislauve Code as amended, and to the following condiuons:

That a permanent utility easement shall be retained on, over, under and across the vacated Ryan
Avenue on behalf of the City of Saint Paul, Department of Public Works to reserve the right of
the City to maintain and operate any sewer in or upon said easement and to enter upon said
easement or any portion thereof at any time and from time to time, for the purposes of future
construction, reconstruction, inspecting, maintaining or repairing the same or any part thereof.
Said utility easement sha11 be subject to the following conditions:
a. No buildings, structures, trees or any temporary structure, material storage, fixture, or any
other objects that will prohibit normal access to uulity facilities for maintenance purposes
will be permitted within the easement area.
b. Improvements in or upon the above described easement that do not prohibit the City from
exercising its reserved rights may be allowed by obtaining written permission from the
Department of Public Works Sewer Division with the understanding that the restoration
and costs of such improvements shall be the sole responsibility of the peutioner, its
successors and assigns in the event the City exercises its reserved easement rights.
c. No change from the existing grade within the easement area will be permitted without
written permission from the Department of Public Works.

2. That an access easement shall be granted to the Saint Paul Regional Water Services, as
acknowledged in Exhibit "B" dated May i, 2002, so that access will be maintained to its
faciliues in the Hill Street water tunnel, said access to the tunnel is approximately in the
intersection of Washington Street, Kellogg Boulevard and Hill Street

resolution, file with the City Clerk an acceptance in writing of the conditions of this resolution and
shall, within the period(s) specified in the terms and conditions of this resolution, comply in all
respects with these terms and conditions.

The Department of Public Works has completed a review of the abov��re��nced vacation
proposal. There is an existing sanitary sewer main in Ryan Street along wi`th a new storm main.
Therefore we have no objections to the vacation subjection to the following:
1. A full width sewer easement shall be retained in Ryan Street. The usual easement restrictions
shall apply. See attached sewer records.
2. I didn't see a legal descriptio the area to be vacated. Once you have a legal description
please allow us to review it. �
3. The petitioner's shall replat the new science museum site and dedicate any new streets and
easements as required by the City of Saint Paul, Department of Public Works.

Re: Board of Water Commissioners Easement for Hill Street Tunnel
Dear Mr. Bullert:
The purpose of this letter is for both the City of Saint Paul (the "City") and the RiverCentre
Authority ("RCA") to acknowledge and guarantee that the Board of Water Commissioners/Saint
Paul Regional Water Services (the ' Boazd") shall have both present and future access to the
Board's water tunnel entrance and facilities that are located in the vicinity of vacated Hill Street,
all as described in the enciosed form of easement attached as Exhibit "A" and as shown in the
depiction attached as Exhibit B.
As you know, the Board released its original entrance and access to this water tunnel as part of
the Hill Street vacation in 1999 (City Council File no. 1999-16). In doing so, the Board agreed to
aiso release its easement interest in the original entrance after the City gave it a new enuance and
corresponding easement. The Board now has its new entrance, but has not yet obtained the
conesponding easement. Because the City is currenfly registering and re-platting the
RiverCentre property, which includes the area subject to the Board's easement interest, the City
has requested that the Board release its current easement by approving and executing the appropriate
Certificate of Intended Non-Use. In return, the City will execute and record the permanent access
easement for the new entrance in the form attached as Exhibit "A" immediately following the
registration and re-platting of the RiverCentre property. The easement will have all the terms and
conditions as set forth in attached Exhibit "A", and will correspond to the property on the map
attached as Exhibit'B". The City will provide legal descriptions and a fully executed easement and
that no other terms will be changed unless agreed to in writing by the City and the Board.

Furthermore, until such time as the registration and re-platting is completed (and the Board's easement
is again recorded), this letter shouid serve as evidence that the City and RCA will grant the Board
reasonable, non-exclusive access for ingress and egress to its water tunnel facilities via the RiverCenfre
below-grade tumaround. The City and RCA will also grant the Board unrestricted access and use of
its water tunnel entrance and facilities. That access shall include the following, as shown on attached
Exhibit "A"; items A), B) and C) shall be exclusive and item D) non-exclusive.
A) 40' x ZO' staging area in front of the tunnel access passageway.
B) A tunnel access passageway between the staging area and the Board's tunnel drift.
C) Fenced parking area approximately 45' x 9' within close proximity of the staging area.
D) Direct access from Eagle Street right-of-way to the tunnel entrance.
