A G R E E M E N T THIS AGREEMENT, Made and entered into this day of , 1974, by and between the CITY OF SAINT PAUL, a municipal corporation, organized and existing under the laws of the State of Minnesota, hereinafter called "City", and RAMON L. STAVE AND ASSOCIATES, a single proprietorship, hereinafter referred to as "Consultant"; WITNESSETH: WHEREAS, The City is desirous of providing its management and personnel with training so tha.t they may better perform their duties and responsibilities; and WHEREAS, The City is in the process of developing such train- ing programs and requires the assistance of G�nsultant for the purpose of the development and implementation of such training programs ; and WHER�AS, Consultant is willing to advise the City on such matters in accordance with the terms and conditions set forth be low; NOW, THEREFORE, In consideration of the mutual agreements herein contained, the parties agree as follows : 1 . The City hereby employs and engages Consultant for the purpose of assisting the City in the development and implementation of employee training programs , and, more specifically, such duties shall include, but not be limited to, the offering of advice and consultation on the following: .` , . " � 2�3��6 . a. Team building and process consultation with the top ma.nagement term and other key management teams in the City of Saint Paul. It is anticipated tha.t Consultant will participate in a minimum o� 15 hours per month meeting with the City management teams ; b. The planning and development of management training in leadership, motivation, communication, man- agement by objectives, conducting performa.nce review, coaching and development, job clarification, planning, problem solving and decision ma.king and other appropri- ate management topics to City ma.nagement and staff employees; - c. Organizational development planning and organ- izational restructuring as appropriate; d. The design and implementation of an integrated � mana.gement development system for the City of Saint Paul; e . The other phases of ma.nagement and organization development as required; f. Consultant agrees to provide a minimum of 80 hours of service per month for the duration of this agreement; and g. Consultant's activities under this agreement shall be under the direct supervision of the City Administrator. 2. � � � , 2,6���o � i 2. The term of this agreement shall commence June 1, 1974 and shall terminate December 31, 1974; provided, however, that this agreement ma.y be cancelled or terminated by either pa.rty upon thirty (30) days' written notice to the other party without . giving of any reason therefor. City reserved the right to ter- mina.te this contract at any time for cause. Upon receipt of notice of termination for cause, no claims for payment will be � allowed beyond the date of notification of intent to so terminate. 3 . As compensation for such consulting services as rendered in the perform�.nce of this agreement, Consultant shall be paid at the rate of Two Thousand Bollars ($2,000. 00) per month. In addition to this monthly compensation, City shall reimburse Con- sultanfi for out-of-town travel expenses, educational and audio- visua.l materials, and other expenses incurred in the performance of this agreement. Before incurring any expenses in addition to the monthly compens�.tion set f orth above, Consultant shall receive the written approval thereof from the City Administrator. The manthly compensation and reimbursable expenses shall be paid by City to Consultant on a monthly basis upon submission in triplicate of the Consultant' s statement of professional services for each month of service rendered, or part thereof, in accordance with the City' s general payment procedures . The form of said statement shall be approved by the City' s Director of the Department of _ Finance and Management Services . 3. , . • ���5�� 4. Consultant sha.11 be deemed an independent contractor. for the purpose of this agreement and shall not be subject to any existing Civil Service provisions, protections or benefits ac- corded regular City employees; and Consultant hereby expressly waives all rights to benefits accorded present City employees; and hereby acknowledges that it is entitled to make no claim against the City except for compensation for services rendered as herein provided. 5 . Consultant and its employees shall not be considered employee� of the City and sha.11 not be entitled to receive the benefits usually accorded a regular City employee, including, but not limited to, such items as severance pay, health and welfare insurance benefits, retirement credits, Workmen' s Compensation coverage, or other benefits norma.11y considered to be employee fringe benefits for any regular City employee. 6 . Consultant agrees that in the hiring of all labor for the performance of any work under this agreement, that it will not by reason of race, creed, color, sex, na.tional origin or dis- ability, discriminate against any person who is a citizen of the United States and who is qualified and available to perform the work to which such employment relates . Consultant agrees that this agreement may be cancelled or terminated by the City, and all sums due and to become due hereunder shall be forfeited for a second or any subsequent violation of the terms and conditions herein contained. � . 4. This agreement supersedes all prior agreements and un- derstandings between the parties hereto and may not be modified or termina.ted orally. Further, the parties agree that there were no inducements or representations leading to the execution hereof except as herein contained.
