WHEREAS, The Council of the City of Saint Paul, by its Final
Order, C. F. 262494, approved the reconstruction of the present
White Bear Avenue Bridge in the vicinity of Case Avenue and
Jessamine; and
WHEREAS, The reconstruction of this bridge will necessitate
the acquisition of an additional Highway easement from the Chicago
and North T�iestern Transportation Company; and
WHEREAS� The Chicago and North Western Transportation Company
ha.s agreed to convey the necessary additional Highway easements to
the City for the sum of $4,000.00 and temporary construction ease-
ments for a rental of $135.00 per year, which purcha.se price and
rental ha.s been concurred in as being fair and reasona.ble by the
City Valuation Engineer; and
WHEREAS, The City and the Chicago and North Western Trans-
portation Company cannot agree as to the division of costs between
themselves for the reconstruction and ma.intenance of the new bridge;
and
WHEREAS, The Minnesota State Public Service Commission, in
accordance with Minnesota Statutes� Section 219.40, is authorized
upon petition of the City to determine the division of costs for
the construction of railway-street grade separations including
bridges; now, therefore, be it
RESOLVED, Tha.t the Council of the City of Saint Paul does
hereby authorize the City Attorney� on beha.lf of the City of Saint
Paul, to file a petition to the Minnesota State Public Service
Commission requesting the order of the said Public Service Com-
mission directing tha.t the existing bridge separating the grade
crossing of White Bear Avenue and the tracks of the Chicago and

AGFEEMENT ������
THIS AGREEMEN'C, Made and entered into this day of
, 1974, by and between the CITY OF SAINT PAUL, a
municipal corporation, hereinafter referred to as "City", and the
CHICAGO AND NORTH WESTERN TRANSPORTATION COMPANY, hereinafter
referred to as '°Company" ;
WITNESSETH:
IT IS AGREED By and between the City and Company as follows :
l. The City and Company agree that the ,existing bridge carry-
ing trafiic on White Bear t�venue over the right-of-way and tracks
oL- Con�ny is in r�ced of i�nediate replacement d�u.e �o deterioration
and age; however, Company asserts that any replacement of the
bridge is for the exclusive benefit of City and users of WhitP Bear
Avenue and not for t.he benefit of Company to any extent wha.tever;
but Company is willing to cooperate with City in the betterment or
replacement of the bridge to the extezzt herei`n provided.
2. City and Company being unable to agree between themselves
as to the division of costs of the construction and ma.intenance of
the bridge, City shall petition the Minn�sota Public Service Com-
mission under Section 219 .40, Minnesota Statutes, and other applic-
able laws and to the extent applicable, for a division of the costs
of the project; but, City asserting that there is immediate need
for the beginning and progress of the project, it is understood

that the same need not await the fina.l determina.tion of the C������
mission respecting the division of reconstruction and maintena.nce
costs .
3. Tlie City and Company agree as to the proposed location of
the replacement bridge and also as to the prelimina.ry plans for
such bridge, a copy of which is attached hereto.
4. The Company shall, by separate document, grant to the City
highway easements as more fully described in attached Exhibits "A",
"B1" and "B2" for a total consideration of $4,000.00. The Company
hereby grants to the City temporary easements to use the areas shown
colored blue on Exhibit "Bl" f or construction purposes at a rental
rate of $135 .00 per year, said temporary easements to termina.te upon
completion of the construction, or January 1, 1976, whichever occurs
f irst.
5. The City sha.11 prepare all necessary plans and specifications
for the recor_struction of the present bridge, shall award contracts
for the reconstruction and sha.11 supervise the reconstruction work
in accordance with plans and specifications, which plans and speci-
fications shall be submitted to Company for their review and
approval. The replacement bridge shall be constructed in accordance
with the approved plans and specifications and in accordance with
the d.eterminations made by the Minnesota Publ.ic Service Commission.
6. The City agrees that, in any contract it shall let covering
the reconstruction of the replacement bridge, it shall include in
' the contract and specifications the following special requirements

a. The contractor will furnish a separate railroad
protective liability insurance policy to the Company in
accordance with the provisions of Paragraph 1708 .2 "Liabil-
ity Insurance", Minnesota Department of Highways,
"Standard Specifications f or Highway Construction", dated
January 1, 1972 .
b. The contractor sha.11 perf orm any work on the
. Company' s right=of-way in accordance with the provisions
of "1708 Railroad-Highway Provisions" and "1708 . 1 General
Requirements" Minnesota Department of Highways "Standard
Specifications for Highway Construction", dated January 1,
1972, except that the contractor shall make his own arrange-
ments and secure all necessary easements to permit hauling
of ma.terials or equipment across the tracks of the rail-
roads over private crossings or for storage of material or
equipment, except for those easements which the Company
will grant to the City.
c. The contractor shall arrange for protective
services and devices and provide a special bond, in the
amount of $5,000.00, to the Company in accordance with
the provisions of "1708 .3 Protectiv� Services and Devices"
and "1708 .4 Special Bond Requirements" Minnesota Department
of Highways "Standard Specifications for Highway Construc-
tion", dated January 1, 1972 .

d. The City, or its contractor, shall give the
Chief Engineer of the Company, or his designated repre-
sentative, at least ten (10) days ' notice in writing of
its intentions to order the contractor to enter onto the
premises and right-of-way of the Company for the construc-
tion of the bridge.
e. The City, or its contractor, shall be required
to clean up the right-of-way disturbed by the construc-
tion work to a condition satisfactory to the Chief
Engineer of the Company.
7 . The Compa.ny will allow the City to drain storm water from
the area bounded by the West property line of White Bear Avenue,
the East property line of Breen Street, the South property line of
Jessamine Avenue, and the Northwest right-of-way line of the Com-
pany into the ditch on the Northwest side of their right-of-way;
such storm water to be carried in the ditch bet�een White Bear
Avenue ann the creek at approxima.tely'Kingsford.
8. The City will ma.ke no assessment against any of the prop-
erty of the Company arising from this project, it being understood
, that the benefit, i£ any, to the Ccmpany and its property from the
project will be included and adjusted in any allocation of costs
ma.de by the Public Service Commission.
9 . The City will reimburse the Compa.ny for lOQ% of railroad
force account wark totaling $13,410.00, which i� set forth in

detailed cost estimate marked Exhibit "C", attached hereto and
made a part hereof.
10. The City and Company will contribute to the cost of
reconstruction and maintenance of the new bridge carrying White
Bear Avenue over Company' s right-of-way in accordance with the
fina.l order ma.de by the Public 5ervice Commiss�ion, subject, however,
to both the City and Company retaining their right to appeal such
finding and order of the Public Service Commission in accordance
with Minnesota Statutes .
IN WITNESS WHEREOF, The parties have caused this Agreement to

GRANT OF EASEMENTS
WHEREAS, the City of Saint Paul, a municipal corporation
of the St.ate of Minnesota, hereinafter referred to as "City",
desires to relocate a 12-inch water ma.in and to reconstruct and
replace the present brid.ge extending White Bear Avenue across the
right-of-way of the Chicag.o and North Western Transportation
Compa.ny (f ormerly the Chicago, St. Paul, Minneapolis and Omaha
Railway Company, and the Chicago and North Western Ra.ilway Company),
_hereinafter referred to as "Company" ; and
WHEREAS, the Compa.ny is willing to grant to the City the
necessary street and bridge easements , slope easements and an ease-
ment for an underground water ma.in;
NOW, THEREFORE, in consideration of the premises, the
mutua.l benefits derived from the bridge construction and the sum .
of $4,000.00, the Company does hereby grant to the City the ease-
ments described below for the purposes set forth, all located in
the City of Saint Paul, County of Ramsey, State of Minnesotaa
1. A permanent easement for highway and bridge
purposes over and across that la-�� shown in
green on the attached plan which is marked
Exhibit "B110 and incorporated herein by
reference and descri_bed as fo�.lows:
All those parts of Chicago and North Western
Transportation Company right-of-way in the
Nartheast quarter, Sec. 27-'r29N-R22W in the
Northwest quarter, Sec. 2�-T29N-R22W, Westerly
of a line 50 feet east of and parallel to the
center line of White Bear Avenue extended and
Easterly of a line 50 feet wes� of and parallel
to the center line of White Bear Avenue extended.
Saving and excepting therefrom a11 the land,
property and space extending infinitely

the City at its own sole cost and expense, and shall be placed at
least 5 ft.-6 inches below the base of the ra�� of the CompanyTs
tracks. Where said :aater main passes under t� tracks of the
Company, the water main shall be placed 3.nside a 2� inch steel
casing tube �vhich caill be installed by jackin��. The City will
fill in any excavatior� required for the instal�tion of the ti•.ater
main and restore the surface of the ground to S�s previous con-
dition. Plans and specifications for any work �o be done in
proximity to the tracks of the Company shall b� first submitted

Dear Sir:
I have reviewed the proposed Council Resolution concerning the con-
veya.nce of highway and temporary construction easements by the Chicago
North Western Transportation Company to the City for reconstruction
of the White Bear Avenue Bridge, and concur in the sum of $4,000.00
for highway easements and $135•� per year for temporary construction
easements, said amounts being a fair and reasonable value for cited
easements.
