WHEREAS, the City Couneil by its prior Resolution, Couneil ,
File No. 265526, approved an agreement between the City of
Saint Pau 1 and the Hous ing and Redevel opment Auth ori ty of
the City of Saint Paul whereby the City of Saint Paul would
reeeive services from the Housing and Redevelopment Authority
in the area of economic development of the City of Saint Paul;
and
WHEREAS, that agreement, dated the 2'7th day of June , 1975,
terminates on the 31st day of December, 1975; and
WHEREAS, tYie City of Saint PauT has determined that it is
in the best interests of the City of Saint Pa�l to enter into
an agreement with the Housing and $edevelopment Auth ority in
substantially the form as approved by C. F. No. .265526, now,
therefore , be it

E. As directed by the City, to administer guidelines,
regulations and legislation involving the implementation of policies
c�overning the use, operation, maintenance, repair and replacement of
public facilities in the development districts.
1.02 Public Development
HRA shall review and make a recommendation to the Mayor
and the City Council of the City as to the appropriateness of all
development activi�ies proposed to be undertaken by public bodies
within the City of Saint Paul, including development activities
proposed by HRA, Port Authority of the City of Saint Paul, County
of Ramsey, State of Minnesota, Independent School District No. 625,
any and all duly created independent watershed districts and other
similar public bodies created pursuant to state law. Such review
. and recommendation will relate to the feasibility, consistent with
City plans and policies, of the uses to be developed through proposed
public action by these bodies, and the method of public finanee `pro-
posed to be used to bring nl�0ut or aid in the development proposed.
1.03 Private Development
HRA shall review requests from private developers for
public assistance in undertaking private development. HRA shall
review and report to the Mayor and the City Council of the City as
to the desirability or nondesirability of providing public assistance

Compensation: Method of Pavment
2.01 HRA agrees that it wil.i perform all� of the work aMd ser-,
vices contemplated by and specified .in this agreement ('including re-
imbursable costs) for an amount not to exceed Sixty-five Thousand
Dollars ($65,000) for the term�of this contract. HRA and the City.
agree that the payment for the provision of work and serv�:ces here-
under up to the above maximwn amount shall be based directly on the
hours of project work perfonaed by employees of HRA as follows :

employees and hereby acknowledges that HRA is entitled to make no
claim against the City except for compensation for se=v3ces rendered
as herein provided.
VII.
Amendment to Contract
The provisions of this contract may be changed by mutual agree-
ment of the City and HRA. Such amendment shall be made only by
written amendment signed by validly authorized representatives of
both parties to this contract.
VIII.
Indemnification
HRA agrees to indemnify, save and hold harmless the City, its
agents and employees from any and all claims, demands, actions or
causes of action of whatsoever nature or character, arising out of
or by reason of work to be performed by HRA �hereunder. HRA further
agrees to defend, at its own cost and expense, any action or pro-
ceeding commenced for the purpose of asserting any such claim, of
whatsoever character, arising as a result of the action taken here-
under by F�tA.
