01-974Council File # O\ q�i y RESOLUTION CITY OF SAINT PAUL, MINNESOTA r��nt�a Referred To Green Sheet # 1 b 35CI�p Committce Date IS RESOLUTION... 1 WHEREAS, the City of Saiut Paul produces live and taped programming for the Ciry of Saint Paul and Ramsey 2 County; and 3 WHEREAS, the City has an interest in and need for this progranuning to be viewed by cable television subscribers; 4 and 5 WHEREAS, the City has entered into a Government Playback Services Agreement with Cable Access-St. Paul, Inc., 6 d/b/a the Saurt Paul Neighborhood Network (SPNN), to provide the playback and switching of this progranm�iug and 7 the distribution of printed monthly schedules to promote this programmvig; and 8 Wf�REAS, the Government Playback Services Agreement expized June 30, 2001 and was extended until September 9 30, 2001; and 10 WHEREAS, the City has a continued need for this service and wishes to renew the CTOVernment Playback Services 11 Agreement with SPNN; now, therefore, be it 12 RESOLVED, the proper City officials aze hereby authorized to execute the Government Playback Services Agreement 13 between SPNN and the City of Saint Paul, a copy of which is attached and incorporated herein by reference, and to 14 pay SPNN per the contract a total of $12,000. Wf�REAS THE CTI'Y has a need for service of the cablecasting of live aad the playback of taped programming on the cable subscriber sysYem for the City Channel 18; and WI�REAS SPNN warrants that it has sta� expertise, equipment and other resources as needed to provide tlus service; and WHEREAS it is deemed in the best irnerests of TI� CITY to contracY for this service; NOW Tf�REFORE, TT IS MC3TUALLY AGREEA by and between Tf�, CITY and SPNN as follows: 1. That services provided by SPNN shall include the following: a. Conduct live and taped playback of all City programming on Channel 18 at a schedule and in formats established by Tf� CITY; b. Print, or arrange for printing, and distribute monthiy schedules of programs cablecast on Chaunel 18. At least 2,000 schedules will he distributed each month. c. Provide to the City's Cable Communications Officer written monthly program log reports due ten (10) days afer month end, stating the following; Totai hours of Channel 18 playback for the month. u. Hours of supervised playback. iri. FIours of unsugervised playback. iv. Playback problems and resolutions. v. Equipment maintenance performed, routine and other. O 1- q� � 2. Thai THE CITY reserves the right. to inspeck at any time, the condition of equipment --' bein�usedtoplaybackChanne118; 3. That SPNN shall not proceed with any unscheduled programs without specific direction ` from the Vdeo Production Supervisor, or other authorized staff of the Cable .uo � ..s� •:. 4. That SPNN wiIl norify the Office of Cable Communications of any playback problem upon discovery or as soon thereafter as poss�le; That �'HE CTf Y will provide in a timely mannPr playhack schedules and tapes to SPNN, andwill exercise reasonable care in the preparation of tapes for playback; 6 That total monies paid to SPNN under this contract shall not exceed $12,000 annually, to he billed in quarterly installments, with the first installment being payable upon the approval of this contract and quarteriy thereafter. BiIling shall be sent to: Office of Cable Communications, 68 City I3all 15 W. Kellogg Blvd., Saint Paul, Mmnesota 55102 7. That TI� CTtY and SPNN agree that the total monies paid to SPNN include all expenses incurred by SPNN for performing the services specified in this conuact; That this agreement shall commence October 1, 2001 and e�ire September 30, 2002 ; 9. That nothing in this agreement shall be construed as limiting the right of SPNN or T� CTI'Y for the a.ffiIiation or contracting with other institution, agency, or person for like work or services while this agreement is in effect; 10. That SPNN shall hold TFIE CITY harmless from any claim arising out of the cablecasting of a live program or playback of a taped program; 11. That at all times, SPNN is an independent contractor. That neither SPNN nor its agents or its employees are employees of the City and are enrided to none of the rights, privileges, and benefits granted regulaz City employees; 12. That this agreement may be terminated by TE� CTTY with or without cause upon thirty (30) days written notice.
