WHEREAS, The City of St. Paul owris the right-of-way
under the Earl Street Bridge where it crosses the Northern
Paci:Eic Railway Company and East Seventh Street, described
as follows:
That portion of Section 28, Range 22 West,
Township 29 North, beginning at a point on
the east property line of Earl Street, 251
feet south of the centerline of York Street,
thence westerly on a line parallel to the
centerline of York Street to a point 52 feet
west of the east property line of Earl Street;
thence 61 feet southerly on a line parallel to
Earl Street; thence easterly 15.4 feet on a
line parallel to York Street; thence 119.5
feet southerly on a line parallel to Earl Street;
thence north 74°02'30" East, a distance of 27.7
feet; thence 10 feet easterly on a line parallel
to York to the east property line of Earl Street;
thence northerly on the east property line of
Earl Street to the point of beginning;
and
WHEREAS, the property under the bridge is not used by the
City except for bridge support and maintenance; and
WHEREAS, the described property is adjacent to land used
by Foley Bros. , Inc. , which company has requested permission to
store non-combustible ma.terial under said bridge for its
convenience and has offered to enter into a lease with the

City Attorney; and
WHEREAS, it appears that the proposed use by Foley
Bros. , Inc. , is not improper nor a burden on the City' s
use of said property, it is, therefore
RESOLVED, That the proper City officials are authorized
to enter into a lease for a term of five years with Foley
Bros. , Inc. providing annual rental of $550.00 and provided
further that Foley Bros. , Inc. provide� a liability insurance
contract in which the City of St. Paul is also named insured,
the limits of which are to be no less than the general
statutory liability for a municipality as limited by Minnesota
Statutes.

A G R E E M E N T
THIS INDE;�TTURE, Ma.de this day of ,
1975, by and bettc�een the City of Saint Pau1, Minnesota, here-
inafter called the Lessor, acting by and through the Dega�tment
of Public Works, and Foley Brothers, Inc. , hereinafter ealled
the Lessee, .
WITNESSETH, That Lessor, for and �in considerat ion of the
covenants and agreements hereinafter contained and made on
the part of .Lessee, does hereby demise and lease to Lessee,

for use by Lessee, the premises described as follows, to-wit:
That portio� of Section 28, Range 22 West, '
Township 29 North, beginning at a point on
the east property line of Earl Street, 251
feet south of the centerline of York Street,
thence westerly on a line parallel to the _

situate in the County of Ramsey and State of Minnesota, for the
purpose of storir�g non-combustible material and for na other
purposes whatsoever.
To have and to hold the same for and dur�ng the term com-
mencing on the lst day of January, 1976, and expiring on the

The lease may be terminated. by the Lessor on ninet�
(90) days' notice should the terms of this agreement not be
complied with by the Lessee, whenever the demised property
shall be necessary .or useful to the Lessor in the performance
of public duties or public interest or convenience shall
require such termination. �
The lease ma.y be terminated on the part of the Lessee,
upon the giving of ninety (9�) days' notice to the Lessor.
In consideration of said demise and of the covenants and
agreements hereinafter expressed, it is covenanted and agreett
as follows: �
1. Lessee shall pay as rent for said premises the sum of
Five Hundred Fifty Dollars ($550.00) per annw-n, payable monthly
or annually durir_g the term hereof at the off�ce af the Lessor
in the City Hall.
2., Less2e shall keep �aid premises in a clean and orderly
manner in conformity with any local, county or state laws.
3. Permission is granted to Foley Brothers, Inc. to con- -
struct a fence around and store construction equipment and -
materials of a non-combustible nature on tha.t portion of City
property herein demised, subject to compliance with the �
following conditions: -
(a) Lessee shall perform all such described work at its
own expense under the supervision and to the satisfaction of
the Director of Public Works .

(b) Lessee shall pay the cost of engineering and in-
spection of such ��Tork and pay the costs of publication of
any resolution or ordinance passed in relation to this lease,
and any permits rel�ting to the work contemplated.
(c) Lessee shall properly protect all storage areas
in relation hereto in or on Earl Street both day ancl night,
so as to avoid all dama.ge or injury to person or property.
(d) Lessee shall not store materials within three (3)
feet of all vertical faces of walls, columns or piers of said
bridge or within four (4) feet of the bottom of aIl deck beams,
stringers, girders or concrete slabs of said bridge. ,
� (e) Lessee shall permit employees of the City of St. Paul
or of persons having contracts with the City of St. Paul ready .
access �to the premises for inspection or ma.in�enance work on
said bridge. �
4. Lessee has examined said premises and agrees to be
responsible for. any damages that may occur during the terrn of
this lease and as a result of the condition of the fence, �
structures or bui.ldings relating thereto.
5. Changes or alterations upon the prem�_ses ma.de by the
12ssee as may be necessary or desirable in adapting the area to use
as a storage area, upon the expiration of the term hereby
created or any extension thereof, Lessee shalZ restore the
premises to its ariginal condition and to the satisfaction of
the City of St. Paul.

6 . Lessee agrees that it will protect and save and
keep the Lessor, forever, harmless and indemnified against and
from any penalty or dar�a.ge or charges imposed for any violation
of any laws or ordinances, whether occasioned by the neglect
of Lessee or those holding under Lessee, and that Lessee will
at all times protect, indemnify and save and keep harmless the
Lessor against and from any and all loss, cost, damage or.
expense arising out of or from any accident or other occurrence
on ar about said premises causing injury to any person or
property whomsoever or whatsoever, and will protect and indemnify
and save and keep harmless the Lessor against and from any and
all claims and against and from any and all loss, cost, dama.ge
or expense arising out of any failure of the Zessee in any
respect to cor:lpZy with and perform all the requirements and
provisions hereof.
7 . That the Lessee will include in any insurance ,covering ,
the use of sai�l premises or the operatian of Lessee's business,
a policy in which the Lessor is a named insured, and the limits
thereof ma.y be no less than required by Minnesota Statutes
466.04.
8. Lessee, in addition to the above stipulated rental,
shall promptly pay when due all taxes, general or special,
all public rates, dues and -special assessments of ever�r kind
which shall become due and pa.yable upon said� real estate or
improvements thereon during the term of the lease. It is
further agreed that in the case of nonpayment or failure by

the Lessee to pay and discharge any taxes, assessments, .
rates, charges or levies as herein provided, then the
.
Lessor may, at its option, terminate this Lease Agreement
by giving Lessee ninety days written notice, and Lessee
shall peacefully give up the possession of the premises _
and restore the property to its original condztion. - _
Nothing herein shall prohibit Lessee from reasonably con- -
testing the levy of any such tax.
9. �The Lessee shall not erect, affix or display any
sign on the premises without in each instance first securing
the written consent of the chief engineer of the Department �
of Public Works . �
10. In the event this Lease Agreement or any part thereof �
is determined by any Court decision to be contrary to any
existing law, this Lease Agreement shall be term.inated,. �.nd th.e
premises restored to its origina.l condition to the satis�actzon
of the Lessor, all at the sele cost and expense of the Le;�see.
In the event of such termina.tion, �it is expressly agreed upon
by and between the parties hereto that Lessor shall in no way
be liable for any damages caused or incurred by Lessee. .
� 11. Lessee shall not assign this lease.

The lease may be terminated. by the Lessor on ninety
(90) days' notice should the terms of this agreement not be
complied with by the Lessee, whenever the demised property
shall be necessary or useful to the Lessor in the performance
of public duties or public interest or convenience shall
require such termination. '
The lease may be terminated on the part of tYie Lessee,
upon the giving of ninety (90) days' notice to th e Lessor.
In consideration of said demise and of the covenants and
� agreements hereinafter expressed, it is covenanted and agreeti
as follows:
1. Lessee shall pay as rent for said premises the sum of
Five Hundred Fifty Dollars ($550.00) per annum, payable monthly
or annually during the term hereof at the off ice of the Lessor
in the City Hall.
2. Lessee shall keep said premises in a clean and orderly
manner in conformity with any local, county or state laws .
3. Permission is granted to Foley Brothers, Inc. to con-
� struct a fence around and store construction equipment and
materials of a non-combustible nature on that portion of City
property herein demised, subject to compliance with the
following conditions:
(a) Lessee shall perform all such described work at its
own expense under the supervision and to the satisfaction of
the Director of Public Works .

(b) Lessee shall pay the cost of engineering and in-
spection of such work and pay the costs of publication of
any resolution or ordinance passed in relation to th is lease,
and any permits rel�ting to the work contemplated.
(c) Lessee shall properly protect all storage areas
in relation hereto in or on Earl Street both day and night,
so as to avoid all damage or injury to person or property.
(d) Lessee shall not store materials within three (3)
feet of all vertical faces of walls, columns or piers of said
bridge or within four (4) feet of the bottom of all deck beams,
stringers, girders or concrete slabs of .said bridge. ,
(e) Lessee shall permit employees of the City of St. Paul
or of persons having contraets with the City of St. P_aul ready
access to the premises for inspection or mainLenance work on
said bridge. �
4. Lessee has examined said premises and agrees to be
responsible for any dama.ges that may occur during the term of
this lease and as a result of the condition of the fence,
structures or buildings relating thereto.
S. Changes �r alterations upon the premises made by the �
lessee as ma.y be necessary or desirable in adapting the area to use
as a storage area, upon the expiration of the term hereby
created or any extension thereof, Lessee shall restore the
premises to its eriginal condition and to the satisfaction o£
the Ci�y of St. Paul.

6. Lessee agrees that it will protect and save and
keep the Lessor, forever, harmless and indemnified against and
from any penalty or damage or charges imposed for any violation
of any laws or ordinances, whether occasioned by the neglect
of Lessee or those holding under Lessee, and that Lessee will
at all times protect, indemnify and save and keep harmless the
Lessor against and from any and all loss, cost, dama.ge or
expense arising out of or from any accident or other occurrence
on or about said premises causing injury to any person or
property whomsoever or whatsoever, and will protect and indemnify
and save and keep harmless the Lessor against and from any and
all claims and against and from any and all loss, cost, dama.ge
or expense arising out of any failure of the lessee in any
respect to coraply with and perform all the requirements and
provisions hereof.
7 . That the Lessee will include in any insurance covering
the use of said premises or the operation of Lessee' s business,
a policy in which the Lessor is a named insured, and the limits
thereof may be no less than required by Minnesota Statutes
466 .04.
8. Lessee, in addition to the above stipulated rental,
shall promptly pay when due all taxes, general or special,
all public rates, dues and special assessments of every kind
which shall become due and payable upon said real estate or
improvements thereon during the term of the lease. It is
further agreed that in the case of nonpayment or failure by

the Lessee to pay and discharge any taxes, assessments,
rates, charges or levies as herein provided, then the
Lessor ma.y, at its option, terminate this Lease Agreement
by giving Lessee ninety days written notice, and Lessee
shall peacefully g�ve up the possession of the premises
and restore the property to its original condition.
Nothing herein shall prohibit Lessee from reasonably con-
�esting the levy of any such tax.
9. The Lessee shall not erect, affix or display any
sign on the premises without in each instance f irst securing
the written consent o£ the chief engineer of the Department ,
of Public Works.
10. In the event this Lease Agreement or any part thereof
is determined by any Court decision to be contrary to any
existing law, this Lease Agreement shall be terminated, and the
premises restored to its original condition to the satisfaction
of the Lessor, all at the sole cost and expense of the Lessee.
In the event of such termina.tion, it is expressly agreed upon
by and between tre parties hereto that Lessor shall in no way
be liable for any damages caused or incurred by Lessee.
11. Lessee shall not assign this lease.
