They suggested that "the Medical Educati�n and Research Foundatiun corr�nit itself to explore the desirability of and feasibility of relocating the Medical Education and Research Foundation functions to the third floor �f the new construction or �ther renovated space on the Saint Paul-Ramsey site". This modification of the pr�posed constructi�n program made by the Metr�p�litan Health Board was subsequently considered and acted upon by the Ramsey County H�spital and Sanitarium C�mmission and the B�ard uf Ramsey County C�mmissi�ner.;5. The Medical Educatiun and Research F�undation agreed to relocate the �ffices on the third flo�r of the new addition and to develop plans for research facilities in renovated space. In its May 13, 1975 meeting, the Building Cummittee c�nsidered a proposal made by the Medical Education and Research Foundation for such renovations and recommended to the Ramsey Cuunty Hospital and Sanitarium Commission and the Medical Education and Research Foundation B�ar,d of Trustees that they approve in principle the renovation of the third and fourth fl�ors �f the Education Building for Research with the c�sts to be financed entirely by the Foundation. B�th Boards approved the recommendation in principle and requested that the H�spital and the Fuundation draw up a pr�p�sed agreement oudining the basis for such planning and renovati�n by the Foundation and the financial responsibilities Medical Education and Research Foundation assumes f�r the completion �f this project. III Foundation agrees to secure all necessary permits and approvals required for the Pro�ect at its sole expense. The Foundation shall award all contracts for the Project and further agrees to comply with the provisions of Section �71.3�+5 of the Minnesota Statutes in conjunc- tion with the awarding of said contracts . N A. Foundation agrees to defend, save harmless and indemriify the City of Saint Paul, County of Ramsey and Commission from any and all claims of any nature whatever arising out of the Project, -2- specifically including, but not limited to, any mechanic� s liens filed against the praperty arising out of the Pro�ect . B. Foundation shall be liable in damages for any breach of this agreement and shall also be subject to an action for specific performance of this agreement at the option of the City of Saint Paul, County of Ramsey or Commission without limiting the Founda- tion� s liability for damages . V A. Foundation hereby agrees to present the architect' s preli.minary drawings and specifications to the Commission for its approval, and if such approval is not secured, the Fotmdation agrees to require the architect to modify his proposals to meet the approval of the Commission; or to terminate further activity an the Project. _ B. Upon �completion of the construction documents, the Founda- tion hereby agrees to present the complete construct_ion documents to the Commission for its approval, and if such approval �is not secured, the Foundation shall require the architect to modify the construc�ion docuni�nts so as to meet the approval of the Commission; or to terminate further activity on the Project. C. Upon approval of the construction documen�s by the Commis- sion, the Foundation may proceed with the Pro�ect in accordance with the terms of this agreement . D. All contracts relating to the pro,ject shall contain a pro- vision, in language acceptable to the Saint Paul City Attorney and , the Ramsey County Attorney that neither the City of Saint Paul, nor the County of Ramsey, nor the Commission shall have any liability or responsibility for payment of the contract p rice, and th�,t the con- tracting party specifically waives and relinquishes any right it may have to make any claim against the City of Saint Paul, County -3- of Ramsey or Commission by reason of the contract or the work done and materials furnished for the project . VI In order to assist the Foundation in its planning and comple- tion of the Pro�ect, a Remodeling Advisory Committee shall be �ormed consisting of s� (6) members, three (3) of whom shall be appointed by the Commission and of which two (2) shall be members of the Commission and one (1) a member of the Hospital administra- tive staff. The Foundation shall appoint three (3) members . The purpose of the Committee shall be to review and advise the Foundation and its staff in connection with the planning, scope and detail of the Pro�ect. The Committee shall adopt such reasonable rules and procedures as may be necessary or desirable in connection with its mission. VII The parties hereby agree that upon the furnishing, annexation or incorporation of goods, materials, labor or services in the Project, such goods, materials, labor ��r serv3.ces shall become and be an unrestricted gift from the Foundation to the Commis- sion, the County of Ramsey and the City of Saint Paul. By the execution of this agreement on behalf of the Commission, County of Ramsey and City of Saint Paul, said unrestricted gifts shall be deemed formally accepted.
