RESOLVED= That the Council of the City of Saint Paul does
hereby approve Agreement between the City and the Metropolitan
Waste Control Commission providing for the City granting permanent
and temporary sewer easements to the Metropolitan Waste Control
Commission over a portion of City land located in Phalen Park, and
providing for the City to receive compensation totaling $305,000.00,
and the Mayor, City Clerk and Director of the Department of Fina.nce
and Management Services are hereby authorized to execute the neces-
sary easement Agreement as provided for in the Purcha.se Agreement
referred to above.

1975, by and between THE CITY OF SAINT PAUL, a municipal corporation
organized and existing under the laws of the State of Minnesota,
party of the first part, and the METROPOLITAN WASTE CONTROL COMMIS-
SION, a duly constituted agency of the Metropolitan Council, party
of the second part; '
WITNESSETH, That the said party of the first part, in consid-
eration of One Dollar and other good and valuable consideration, to
it in hand paid by the said pa.rty of the second part, the receipt
whereof is hereby acknowledged, does hereby Grant, Bgrgain, Sell,
Convey and Warranty to said party of the second part the permanent
non-exclusive easements for sanitary sewer purposes, including but
not limited to the right to construct, reconstruct, ma.intain, oper-
ate and repair underground sewer mains, pipes and appurtenances, and
� the right of ingress and egress for such purposes, situa.te in Ramsey
County, Minnesota, described on Exhibit A attached hereto and ma.de a
part hereof.

Easement 1
A 20 foot permanent easement for sanitary sewer purposes over, under,
and across vacated Lots 15 and 16, Block 3, and vacated Lots 8 through 14 and
22, Block 4, KIEFFER PARK, according to the plat thereof on file in the Office
of the Register of Deeds, in and for Ramsey County, Minnesota, located in the-
Northwest Quarter of the Northwest Quarter (NW1/4 of NW1/4) of Section 27,
Township 29 North, Range 22 West, Ramsey County, Minnesota. The centerline
of said easement is described as follows:
Commencing at the northwest corner of said Section 27; thence south
along the west line of said Section 27 a distance o£ 809.21 feet; thence
southeasterly, def lecting to the left 67 degrees 23 minutes 55 seconds, a
distance of 87.23 feet; thence southerly, deflecting to the right 46 degrees
40 minutes 00 seconds, a distance of 5.56 feet to the easterly right of way
line of the Burlingtan Northern, Inc. railroad right of way and the point of
beginning of the centerline to be described; thence continuing southerly,
on the prolongation of the last descri:bed line, 107.64 feet; thence south-
easterly, deflecting to the. left 29 degrees 16 minutes 20 seconds, a distance
of 351.89 feet and said centerline there terminating.
Together with a temporary construction easemenz over, under, and
across that part of the Northwest Quarter of the Northwest Quarter (NW1/4 of NW1/4)

and across that part of the north 957.20 feet of the Northeast Quarter of Section
28, Townahip 29 North, Range 22 West, Ramsey County, Minnesota, lying east of

Commencing at the northeast corner of said Section 28; thence
west along the north line of said Section 28 a distance of 529.14 feet to the
point of beginning of the centerline to be described; thence southerly,
defle�ting to the left 98 degrees 17 minutes 00 seconds, a distance of 578.50
feeC; thence southeasterly,. deflecting to the left 41 degrees 33 minutes 55
seconds, a distance of 355.00 feet; thence easterly, deflecting to the lefC

Ramsey County, Minnesota. The centerline of said easement is described as

west along the south line of said Section 21 a distance of 529.14 feet;
thence northerly, deflecting to the right 81 degrees 43 minutes 00 seconds,
a distance of 33.35 feet to the point of beginning of the centerline to be

50 seconds, a distance of 618.32 feet; thence northwesterly a distance of

PURCHASE AGREII�IENT
THIS AGREII�IENT Made and entered into this day of ,
1975, by and between THE CITY OF SAINT PAUL, a municipal corporation under
the lawa of the State of Minnesota (hereinafter called "City"), and the
METROPOLITAN WASTE CONTROL COI�IISSION, a duly constituted agency of the
Metropolitan Counci� (hereinafter called "Commission").
WITNESSETH:
WHEREAS, the Commission wishes to acquire permanent easements and
certain temporary construction easements over, under, on and across certain
real property owned by the City, and situated in Ramsey County, Minnesota, as
described upon Exhibit A attached hereto and hereby made a part hereof
(hereinafter called "Easementa"); and
WHEREAS, the City ie willing to grant such Easements to the
Commisaion upon the terms and conditiona hereinafter aet forth.
� NOW THEREFORE, In consideration of the mutual covenants and
agreements herein contained, it is agreed by and between the parties hereto
as followa:
1. Grant. The City hereby agreea to grant, bargain and sell the
Easements to the Commission, and the Commiasion hereby agrees to purchase
and take the Easementa from the City.
2. Purchase Price. As and for the purchase price for the
Easemente, and in consideration of the grant thereof, the Commiesion agrees
to pay to the City:
a. $120,000.00 in cash, for all temporary and permanent
easements required for the construction
of the Pro�ect between the approximate
Project Stations 0 + 00 and 119 + 00,
as shown on the detailed plans and
specifications for the Project presented
to the City for its approval;
b. $45.000.00 in cash, as compensation for damage to
vegetation of all types upon land owned
by the City which is subject to and
ad3oins the Easements;

c. $65,000.00 in cash, by paying to the City the entire
(approximately) cost of resurfacing that portion of the
West Shore Drive which will remain on its
present alignment� as described on Exhibit
B attached hereto and hereby made a part
hereof, as determined in accordance with
the City's contract for this work;
d. $15,000.00 in cash, to compensate the City for topsoil,
. grading and aeeding work to be completed by .
the City under its contract for grading the
golf course through which the Easements paes;
e. $15,000.00� by providing for the rough grading of that
portion of the road bed for West Shore Drive
which is to be located within the area
occupied by the temporary construction
Easemants in the Commisaion's construction
- conCract; and
f. $45,000.00 by providing for the drops and service con-
nections described in Exhibit C attached
hereto and hereby made a part hereof in the
Commiaeion's construct3on contract.
3. Cancellation Right. The City acknowledges that this Purchase
� Agreement has been entered into prior to the opening of bida for the Beltline
Interceptor, Commission Pro�ect No. 71-22 (herein called "Project"), on the
assumption Chat after construction bids are received, the Commission will
determine to construct the Project over the easement granted herein, by
exclusive use of the so-called "open Crench" method of construction. However,
after construction bids are received tt►e Commission may determine, in accordance
with the opCions reserved to it in the bidding documents, to construct a part of
the Pro�ect over or in otrier property owned by the City by use of the so-called
"tunnel" method of construction. If the Commiasion determines to award a con-
tract for conatruction of a portion of the Pro3ect over or in property owned by
the City other than the property included in the Easements granted herein, the
Commieaion may, aC iCe option, terminate this Purchase Agreement by giving I
written notice to th� City, and upon receipt of a written release from the '
Commiseion of all of its righta hereundar, the City shall deliver to the
. Comniseion a written release of all of its rights hereunder. In the event of

termination of thie Purchase Agreement, the parties agree to enter into '
negotiationa for Che acquisition of other temporary and parmanent easements
needed by the Commieaion for the conatruct3on of the Project on City properCy,
on terma similar to Choae provided in this Agreement. �,

4. Entry. The City hereby immediately grants to the Commiasion
the right to enter upon the land covered by the Easementa for the purpose of
making such inspections, tests and surveys thereof, as it may desire, and
for the purpose of commencing construction of aewer lines, pipes and
appurtenancea thereon, and agrees at any time, upon receipt of a written .
request from the Commission to execute a formal written easement document
in recordable form as described in paragraph 7 hereof. �
5. Title. The City agrees to render such aid and assistance as
may be reasonably necessary for the Commission to establish marketable title
to the land covered by said Easements. If said land ia encumbered, the City
agrees to execute all documents and to render all aid or asaistance requested
• by the Commission in its efforts to obtain consent to such Easements from
any encumbrancer.
6. Restistered Land. If the title to the land covered by said
Easements has been registered pursuant to Minn. Stat. Chapter 508, the
undersigned agreea to deliver the Owner's Duplicate Certificate of Title
to the Commissaion upon receipt of a written request to enable said Easements
to be recorded.
7. Written Easement. The written Easementa to be granted shall be
prepared by the Co�nission at its own expense and shall include the perpetual
right of said Commisaion, its successors or asaigne, to construct, maintain,
operate and repair underground sewer mains, pipes and appurtenances over and
across the land deacribed in Exhibit A, together with whatever temporary
easements are therein described, and together with a perpetual easement for
ingress and egreae for such purposes, all without additional compensation.
8. Termination. If title to said land is not marketable and cannot
be made marketable within one hundred eighty (180) daya after the date hereof,
or if any encumbrancer shall refuse or fail to �oin in said Easements, then
at its option the Commission may terminate this Purchase Agreement by written
notice to the City and all •moneys paid hereunder ahall be refunded to the
Commission. The undersigned acknowledge that the total price for such
Easementa, as above�provided, is the va�ue of the intereste of all persona
and parties therein.

9. Pavment. The date for completion of payment of all elements of �
� the purchaee price for the Easementa shall be one (1) year from the date
. hereof or at any date prior thereto� which the Commieaion at its option
may designate.
10. Notice. All notices required or permitted shall be deemed properly
aerved or delivered when depoaited in the United States mail, registered
or certified, postage prepaid, return receipt requested, addressed as follows:
