AGREEMENT
This agreement, dated this 11'� dav of 7une . 2001 , by and between the CITY of
SAINT PAUL, a municipal corporation under the laws of the State of Minnesota, hereafter "City"
and East Side Ne��hborhood Develoomen Compan�� , a Minnesota non-profit Company ,�vith the
address of 900 Pavne Avenue , St Paul , M\ SS 101, hereafter "Contractor";
�VHEREAS, Contractor's business has developed the need for police seroices in the City of
Saint Paul; and
`��REAS, Contractor wishes to ease the burden to the Saint Paul Police DepaRment of providin�
normai patrol services to this specific area during the agreed upon time period;
I�TOW THEREFORE, it is mutually a�reed by and between the City and Contractor as follows:
Scope of Services. That for the consideration stated hereafter, the City will provide
on-duty police o�ticers to the area identified, located in the City of Saint Paul, in the
number a�ic' manner recuested by the �'o�tractor to perform the following tasks;

3. To provide overall safety for both citizens and crew in the affected
area.
C. Cri»te St�pl�ression. ; To include but not limited to:
1. Patrol of streets and parking lots in proxiinity of the beat area .
2. Police intervention into criminal activity, •
D. Liadson. With the East Side Neighborhood Developmenf Company
manager or desi�nate.
E. One officer . Mondav thru Saturdav 5 hour s'nift June

2. Equipment: That assigned police oft'icers will be provided wi[h police radios,
complete uniform, and required uniform accessories necessary to perform the tasks
identified within this agreement.
Time for Completion: The services rendered by the City shall be commenced upon
execution of the agreement and will be completed in accordance �vith the schedule
agreed upon with the Coi�trlctor, but no longer than one year. ,
4 Pavment: That the Contractor will pay to the Cit��, through its police department, an
hourly fee of:
Forty-four dollars and ninety-five cents ($44.95) for the patrol officer

during the time each officer is assigned durin� the term of this Agreement ,
not to exceed a total of $9,000.00 . The City will match this contribution up
to �9,000.00 . A minimum shift of five (5) hours is required. Contractor to
be billed on a one-time basis for all services to be provided within one (1)
month of completion of service and Contractor to remit payment no more
than thirty (30) days from date of invoice. lf in the event the assi�ned
officer/s/ are called away by the city pursuant to Section 5, Contractor will
be reimbursed for services paid on a pro-rated basis.
Emereencv Recall: Each officer will remain under the city's direction.and control, and
will be subject to serious police emergency calls for service and/or activation of any
Tactical Alert throu�hout the city if the need arises. Officers may be called away from
the Primary Service Area for duties not related to, or as a result of, activities of said
establishment and its patronsivlsitors

Assi�nment: The �zty and the Contractor each binds itself and its successors, legal
representaiives and assi�ns of such ot',ner party, with respect to all covenants of th�
A�reement, anci neit�er the Cfity nor the ContracYor will assign or transfer their
interest in this A�reement without the written consent of the other
8. Hold Harmless: The Contractor shall indemnify, save and hold harmless, the City and
its police officers assi�ned under this Agreement from alleged damages or injuries
arisin� directly or indirectly from the Contractor's acts or omissions while performinj
the work und�r this Agreement, except with respect to any damages or injuries
resulting from the gross negligence or willful misconduct of the City.

10. Termination: This agceement will continue in full force and effect until completion of
the project as described herein unless it is terminated at an earlier date by either party.
Either party to this agreement may terminate it by giving no less than 30 days written
notice of the intent to terminate to the other party. In the event of termination, the
Contractor will pay the City for all se�vices actually, timely and faithfully rendered up
to receipt of the notice of termination and thereafter until the date of termination. The
Contractor agrees to give at least 24 hour notice to the City of cancellation of
scheduled police services. Failure to give 24 hour notice will result in a 4 hour
"cancellation" charge to the Contractor.
11. Chan�es in Scooe of Services: Cit� or Contractor may request changes that would
increase, decrease or otherwise modify the Scope of Services. Such changes and
method of compensation must be authorized in writina in advance by the City.

12. Records and Dissemination of Information: The Contractor a�rees not to release,
transmit, or otherwise disseminate information generated as a result ofthis project
�vithout prior knowled�e and written consent of the City.
The Contractor a�rees to maintain all books, documents, papers, account records,
and other evidences peRainina to work performed under this Agreement in such a
manner as will readily conform to the terms of this Agreement and to make such
material available at its office at all reasonable times during the Ajreement period and
for si:c (6) years from the date of the final payment under the contract for audit or
inspection by the City or other duly authorized representative.
In like manner, if the entire Agreement is terminated, all remainin� documents on file
with Coiitr:�ctor shali also, upon request, be made available to City
13. Equal O000rtunitv Emplovment: Contractor a�rees that it will not discriminate
against any employee or applicant for employment for work under this Agreement
because of race, color, rellgion, sex, age, or national origin and will take affirmative
steps to ensure that apolicants are employed and employees are treated during
employment without re�ard to race, color, religion, sex, a�e or national origm.
This provision shall include, but not be limited to the followin; employment,
upgradin�, demotion, or transfer; recruitment advertising, layoff or termination; zates
of pay or their forms of compensation; and selection for training, includina
apprenticeship.
14. Conflict of Interest: Contractor a�rees that it will not contract for or accept
employment for the performance of any work or services with any individual, business,
corporation, or government unit that would create a conflict of interest in the
performance of its obli�ations pursuant to this A�reement with the City.
15. Entire A,reement: It is understood and agreed that the entire A�reement supersedes
all oral agreements and negotiations between the parties relatin� to the subject matters
hereof.
16 Rec�uirement of a Vlritin,: Any altemations, amendments, deletions, or waivers of the
provisions of this Agreement shall be valid only when reduced to writin� and duly
signed by the parties.
17. Amendment of Aereement. This Agreement may be amended by fiirther mutual
written agreement of the parties thereto.

AGREEMENT
This agreement, dated this 11'� dav of 7une . 2001 , by and between the CITY of
SAINT PAUL, a municipal corporation under the laws of the State of Minnesota, hereafter "City"
and East Side Ne��hborhood Develoomen Compan�� , a Minnesota non-profit Company ,�vith the
address of 900 Pavne Avenue , St Paul , M\ SS 101, hereafter "Contractor";
�VHEREAS, Contractor's business has developed the need for police seroices in the City of
Saint Paul; and
`��REAS, Contractor wishes to ease the burden to the Saint Paul Police DepaRment of providin�
normai patrol services to this specific area during the agreed upon time period;
I�TOW THEREFORE, it is mutually a�reed by and between the City and Contractor as follows:
Scope of Services. That for the consideration stated hereafter, the City will provide
on-duty police o�ticers to the area identified, located in the City of Saint Paul, in the
number a�ic' manner recuested by the �'o�tractor to perform the following tasks;

1. Patrol of streets and parking lots in proxiinity of the beat area .
2. Police intervention into criminal activity, •

2. Equipment: That assigned police oft'icers will be provided wi[h police radios,
complete uniform, and required uniform accessories necessary to perform the tasks
identified within this agreement.
Time for Completion: The services rendered by the City shall be commenced upon
execution of the agreement and will be completed in accordance �vith the schedule
agreed upon with the Coi�trlctor, but no longer than one year. ,
4 Pavment: That the Contractor will pay to the Cit��, through its police department, an
hourly fee of:
Forty-four dollars and ninety-five cents ($44.95) for the patrol officer

Fifty=one dolSars and eighty-two cents ($51.82) for the sergeant-.
during the time each officer is assigned durin� the term of this Agreement ,
not to exceed a total of $9,000.00 . The City will match this contribution up
to �9,000.00 . A minimum shift of five (5) hours is required. Contractor to
be billed on a one-time basis for all services to be provided within one (1)
month of completion of service and Contractor to remit payment no more
than thirty (30) days from date of invoice. lf in the event the assi�ned
officer/s/ are called away by the city pursuant to Section 5, Contractor will
be reimbursed for services paid on a pro-rated basis.
Emereencv Recall: Each officer will remain under the city's direction.and control, and
will be subject to serious police emergency calls for service and/or activation of any
Tactical Alert throu�hout the city if the need arises. Officers may be called away from
the Primary Service Area for duties not related to, or as a result of, activities of said
establishment and its patronsivlsitors

Assi�nment: The �zty and the Contractor each binds itself and its successors, legal
representaiives and assi�ns of such ot',ner party, with respect to all covenants of th�
A�reement, anci neit�er the Cfity nor the ContracYor will assign or transfer their
interest in this A�reement without the written consent of the other
8. Hold Harmless: The Contractor shall indemnify, save and hold harmless, the City and
its police officers assi�ned under this Agreement from alleged damages or injuries
arisin� directly or indirectly from the Contractor's acts or omissions while performinj
the work und�r this Agreement, except with respect to any damages or injuries
resulting from the gross negligence or willful misconduct of the City.

10. Termination: This agceement will continue in full force and effect until completion of
the project as described herein unless it is terminated at an earlier date by either party.
Either party to this agreement may terminate it by giving no less than 30 days written
notice of the intent to terminate to the other party. In the event of termination, the
Contractor will pay the City for all se�vices actually, timely and faithfully rendered up
to receipt of the notice of termination and thereafter until the date of termination. The
Contractor agrees to give at least 24 hour notice to the City of cancellation of
scheduled police services. Failure to give 24 hour notice will result in a 4 hour
"cancellation" charge to the Contractor.
11. Chan�es in Scooe of Services: Cit� or Contractor may request changes that would
increase, decrease or otherwise modify the Scope of Services. Such changes and
method of compensation must be authorized in writina in advance by the City.

12. Records and Dissemination of Information: The Contractor a�rees not to release,
transmit, or otherwise disseminate information generated as a result ofthis project
�vithout prior knowled�e and written consent of the City.
The Contractor a�rees to maintain all books, documents, papers, account records,
and other evidences peRainina to work performed under this Agreement in such a
manner as will readily conform to the terms of this Agreement and to make such
material available at its office at all reasonable times during the Ajreement period and
for si:c (6) years from the date of the final payment under the contract for audit or
inspection by the City or other duly authorized representative.
In like manner, if the entire Agreement is terminated, all remainin� documents on file
with Coiitr:�ctor shali also, upon request, be made available to City
13. Equal O000rtunitv Emplovment: Contractor a�rees that it will not discriminate
against any employee or applicant for employment for work under this Agreement
because of race, color, rellgion, sex, age, or national origin and will take affirmative
steps to ensure that apolicants are employed and employees are treated during
employment without re�ard to race, color, religion, sex, a�e or national origm.
This provision shall include, but not be limited to the followin; employment,
upgradin�, demotion, or transfer; recruitment advertising, layoff or termination; zates
of pay or their forms of compensation; and selection for training, includina
apprenticeship.
14. Conflict of Interest: Contractor a�rees that it will not contract for or accept
employment for the performance of any work or services with any individual, business,
corporation, or government unit that would create a conflict of interest in the
performance of its obli�ations pursuant to this A�reement with the City.
15. Entire A,reement: It is understood and agreed that the entire A�reement supersedes
all oral agreements and negotiations between the parties relatin� to the subject matters
hereof.
16 Rec�uirement of a Vlritin,: Any altemations, amendments, deletions, or waivers of the
provisions of this Agreement shall be valid only when reduced to writin� and duly
signed by the parties.
17. Amendment of Aereement. This Agreement may be amended by fiirther mutual
written agreement of the parties thereto.
