The Council of the City of Saint Paul did by �tesolution authorize the issuance and sale of $25,890,000 General Obligation Refunding Bonds of 1976, Series A, B, C, D and E and delegate to the Mayor, City Clerk and Director of Finance and �Ianagement Services the authority to consider and accept on � behalf of the City the most favorable bid on each such Series of bonds . j .- B. No bids were received on or before 12 :00 noon on June 8, 1976, in accordance with the notice of sale for said bonds duly published in accordance with law. C. The City Council by Resolution adopted June 10, 1976, authorized the Director of Finance and Management Services and Springsted Incorporated, the City's fiscal consultant in connection with the aforesaid issue, to receive and discuss any ioffers complying with the aforesaid notice of sale that wer� received in accordance with Minnesota Statutes , Section 47�.60, and to report any such offers when received to this Council. The bids listed in Exhibit A attached hereto were received by the Director of Finance and Management Services and Springsted Incorporated and reported to the City Council which by Resolutions dated June 22, 1976 did accept said bids and� award the sale of the following Series of said bonds : -� l. The negotiable coupon general obligation Refund- ing Bonds of the City shall be da�ed July l, 1976 and shall be issued forthwith. Said bonds shall be in the denomination of $5, 000 each and shall mature on February 1 in the years and amounts set forth in paragraph 3 . 5. At the option of the City the Refunding Bonds, Series A, B and D maturing on or after February l, 1987 shall be subject to redemption prior to maturity in inverse order of serial numbers on February l, 1986 and any interest pay- ment date thereafter, at a price of par and accrued interest. Published notice of redemption shall in each case be given in accordance with law, and at least thirty days prior mailed notice of redemption shall be given to the bank where said bonds are payable and to any registered holders, provided that published notice alone shall be effective without mailed notice. The proceeds of the sale of each Series of Refunding Bonds less any accrued interest and premium received thereon, plus an amount from the sinking fund account or accounts established by resolution of the City Council for the Refunded Bonds to be refunded by said Series of Refunding Bonds not to exceed accrued interest on said Refunded Bonds from their last interest pay- men� date to the date of delivery of and payment for said Series of Refunding Bonds, as may be required to adequately fund each separate Escrow Account for the purposes set forth in subparagraph (a) below, are hereby pledged and appropriated and shall be credited to each separate Escrow Account . � � (a) Each Escrow Account shall be deposited in escrow with the Northwestern National Bank of Saint Paul, in St. Paul, Minnesota, a suitable banking institutian wi�hin f the State, whose deposits are insured by the Federal Deposit Insurance Corporation and whose combined capital and surplus is not less than $500,000, and shall be in- vested in securities maturing or callable at the option of the holder on such dates and bearing interest at such rates as shall be required to provide sufficient funds, together with any cash or other funds retained in said Escrow Account , to pay when due the interest to accrue on the corresponding Refunded Bond to its maturity or to the date on which it is called for redemption as herein provided and to pay the principal amount of each such obligation at maturity or on the date on which it has been called for redemption and to pay any premium required for redemption on such date, and the monies in each Escrow Account shall be used solely for the purposes herein set forth and for no other purpose, except that if any balance shall remain in -15- � � . - r `�`��,��� �, ' any Escrow Account after all of principal, interest and premium (if any) has been paid on the corres- , ponding Refunded Bonds pursuant to this resolution, I then such balance shall be transferred to the ' sinking fund account or accounts previously estab- lished for said Refunded Bonds all in accordance with the terms and conditions of an Escrow Agreement a form of which is on file in the offiee of the City Clerk. (b) There have heretofore been created pursuant to resolutions of the City Council separate sinking funds or a special account in the Regu.lar Sinking Fund of the City for the payment of principal, interest and premium, if any, on the Refunded Bonds, Series A and D. Until retirement of each of such Series of Re- funded Bonds, all provisions theretofore made for I the security thereof sha�l be observed by the City � and all of its officers and agents . However, the � City Council hereby finds, determines and certifies to the County Auditor of Ramsey County �hat the proceeds of the sale of each .Series of Refunding Bonds to be used to refund said corresponding Series of Refunded Bonds, together with other funds available and appro- , _ priated �to the respective Escrow Accounts for said purpose, will be sufficient, together with the earnings on the investment of such funds in said Escrow Accounts, to pay when due or called all' of the principal of and interest and premium, if any, on each such Series of Refunded Bonds payable from said Escrow Account .
