PW2001-05 Attachments Exhibit "A" Cost Participation Summary Estimated Cost Ramsey County $60,913.50 THIS AGREEMENT, made and entered into by and between the County of Ramsey, Department of Public Works, hereinafter referred to as the "County," and the City of St Paul hereinafter referred to as the "City" for the installation and maintenance of a traffic control signal system with street lights, sib s and emergency vehicle pre-emption at the intersection of Randolph Avenue and Hamline Avenue; WITNESSETH: WHEREAS, the County has determined that there is justification and it is in the public's best interest to install new traffic control signals with street lights, signs, and EVP at the intersection of Randolph Avenue and Hamline Avenue; and WHEREAS, the County and the City will participate in the construction costs, maintenance and operation of said traffic control signals with streetlights, signs, interconnect and EVP system as hereinafter set forth. NOW, THEREFORE, TI' IS AGREED AS FOLLOWS: 1. The City shall prepare the necessary plans, specifications and proposal and shall perform the engineering and inspection required to complete the items of work hereinafter set forth. Such work as described immediately above shall constitute "Engineering and Inspection" and shall be so referred to hereinafter. 2. The contract cost of the work, or if the work is not contracted, the cost of all labor, materials and equipment rental required to complete the work, except the cost of providing the power supply to the service pole or pad shall constitute the actual "Construction Cost" and shall be so referred to hereinafter. 3. The City shall install or cause the instailation of the traffic control signal with streetlights, signs, and EVP System in accordance with the plans and specifications for State Aid Project No. 62-638-03 and 164-145-37 at Randolph Avenue and Hamline Avenue. The County and City will participate in the construction cost based on the attached participation cost summary sheet (Exhibit "A") and as follows: PW2001-OS 1 OF 4 Y O��S�� a). The traffic control signal system with streetlights shall be paid 50% County and 50% City. b). The overhead mast arm mounted signs shall be paid 50% County, and 50% City. 4. The City shail install or cause the installation of an adequate electric power supply to the service pad including any necessary extensions of power lines. Upon complerion of the traffic control signals with streetlights, signs, and EVP system installation, necessary electrical power for their operation shall be at the cost and expense of the City. In accordance with the Policy for Lighting County Roadways, County Board Resolution 78-1394, the City shall maintain and pay energy costs of the integral streetlights. 5. Upon completion of the traffic control signal, the City shall maintain and keep in repair the traffic control signal, lamping, and signs at the County's expense. The County shall reimburse the City for maintenance cost in accordance with the Joint Powers Agreement between the City of Saint Paul and Ramsey County, County Board Resolution No. 93-643. The City shall clean and paint the traffic control signals at its cost and expense. 6. Upon execution of this agreement and a request in writing by the City, the County shall advance to the City an amount equal to their portion of the project costs based on the actual bid price plus twenty-two percent (22%) of such amount for the cost of engineering and inspection. 7. Upon final payment to the contractor and computation of the County share for the work provided for herein, that amount of the funds advanced by the County in excess of the final share wili be returned to the County without interest and the County agrees to pay the City that amount of its final share which is in excess of the amount of the funds advanced by the County. 8. Except for the negligent acts of the County, its agents and employees engaged in the maintenance work, the City shall assume all liability for, and save the County, its agents and employees, hannless from any and all claims for damages, actions or causes of action arising out of the continuing uses by the City including but not limited to the operations, use and existence of the equipment for the EVP System. 9. Any and all persons engaged in the maintenance work to performed by the County shall not be considered employees of the City, and any and all claims that may arise under the Worker's Compensation Act of this State on behalf of those employees so engaged, and any and all claims made by any third party as a consequence of any negligent act or omission on the part of those employees so engaged on any of the work contemplated herein shall not be the obligation and responsibility of the City. 10. The County and City agree to defend, indemnify and hold each other harmless from any claims, demands, actions or causes of action, arising out of any act or omission by the party, its subcontractor, partners or with relation to any of the work or services to be performed or furnished by PW2001-OS 20F4 o � - sst the party, its subcontractors, partners, or independent contractors or any of their agents, or employees, under the terms of this a�eement. PW2001-05 Attachments Exhibit "A" Cost Participation Summary Estimated Cost Ramsey County $60,913.50 THIS AGREEMENT, made and entered into by and between the County of Ramsey, Department of Public Works, hereinafter referred to as the "County," and the City of St Paul hereinafter referred to as the "City" for the installation and maintenance of a traffic control signal system with street lights, sib s and emergency vehicle pre-emption at the intersection of Randolph Avenue and Hamline Avenue; WITNESSETH: WHEREAS, the County has determined that there is justification and it is in the public's best interest to install new traffic control signals with street lights, signs, and EVP at the intersection of Randolph Avenue and Hamline Avenue; and WHEREAS, the County and the City will participate in the construction costs, maintenance and operation of said traffic control signals with streetlights, signs, interconnect and EVP system as hereinafter set forth. NOW, THEREFORE, TI' IS AGREED AS FOLLOWS: 1. The City shall prepare the necessary plans, specifications and proposal and shall perform the engineering and inspection required to complete the items of work hereinafter set forth. Such work as described immediately above shall constitute "Engineering and Inspection" and shall be so referred to hereinafter. 2. The contract cost of the work, or if the work is not contracted, the cost of all labor, materials and equipment rental required to complete the work, except the cost of providing the power supply to the service pole or pad shall constitute the actual "Construction Cost" and shall be so referred to hereinafter. 3. The City shall install or cause the instailation of the traffic control signal with streetlights, signs, and EVP System in accordance with the plans and specifications for State Aid Project No. 62-638-03 and 164-145-37 at Randolph Avenue and Hamline Avenue. The County and City will participate in the construction cost based on the attached participation cost summary sheet (Exhibit "A") and as follows: PW2001-OS 1 OF 4 Y O��S�� a). The traffic control signal system with streetlights shall be paid 50% County and 50% City. b). The overhead mast arm mounted signs shall be paid 50% County, and 50% City. 4. The City shail install or cause the installation of an adequate electric power supply to the service pad including any necessary extensions of power lines. Upon complerion of the traffic control signals with streetlights, signs, and EVP system installation, necessary electrical power for their operation shall be at the cost and expense of the City. In accordance with the Policy for Lighting County Roadways, County Board Resolution 78-1394, the City shall maintain and pay energy costs of the integral streetlights. 5. Upon completion of the traffic control signal, the City shall maintain and keep in repair the traffic control signal, lamping, and signs at the County's expense. The County shall reimburse the City for maintenance cost in accordance with the Joint Powers Agreement between the City of Saint Paul and Ramsey County, County Board Resolution No. 93-643. The City shall clean and paint the traffic control signals at its cost and expense. 6. Upon execution of this agreement and a request in writing by the City, the County shall advance to the City an amount equal to their portion of the project costs based on the actual bid price plus twenty-two percent (22%) of such amount for the cost of engineering and inspection. 7. Upon final payment to the contractor and computation of the County share for the work provided for herein, that amount of the funds advanced by the County in excess of the final share wili be returned to the County without interest and the County agrees to pay the City that amount of its final share which is in excess of the amount of the funds advanced by the County. 8. Except for the negligent acts of the County, its agents and employees engaged in the maintenance work, the City shall assume all liability for, and save the County, its agents and employees, hannless from any and all claims for damages, actions or causes of action arising out of the continuing uses by the City including but not limited to the operations, use and existence of the equipment for the EVP System. 9. Any and all persons engaged in the maintenance work to performed by the County shall not be considered employees of the City, and any and all claims that may arise under the Worker's Compensation Act of this State on behalf of those employees so engaged, and any and all claims made by any third party as a consequence of any negligent act or omission on the part of those employees so engaged on any of the work contemplated herein shall not be the obligation and responsibility of the City. 10. The County and City agree to defend, indemnify and hold each other harmless from any claims, demands, actions or causes of action, arising out of any act or omission by the party, its subcontractor, partners or with relation to any of the work or services to be performed or furnished by PW2001-OS 20F4 o � - sst the party, its subcontractors, partners, or independent contractors or any of their agents, or employees, under the terms of this a�eement.
