Dear Mr. Sylvester:
Attached is the Resolution appointing Mrs. Rosalie
Butler a member of the HELP Development Corporation
Board. We are returning it signed, but with a few
explanatory rema.rks that ma.y be useful to the Council.
There are some facets of the relationship between the
City Council and the HELP Dea�elopment Corporation
Board which ma.y, conceivably, give rise to non-financial
conflicts of interest under the Code of Ethics.
(Chapter A-6, St. Paul Administrative Code) .
This office issued an opinion dated July 1, 1976 (a -
copy of which is also attached) in which we stated that
the creation or existence of any conflict of interest
is a question of fact for the individual official and
council member to resolve under all the facts and
circumstances. This opinion is applicable here as well.
Parenthetically, it appears that an employee in the
classified service, designated by the Mayor, now sits
on the HELP Development Corporation Board. To the
extent that the Code of Ethics might apply to persons
in the classified service, a similar issue would be
presented.

Just as broadly cast is the definition of "differing
interests" in the Code of Professional Responsibility,
which, if written for th is case , would read as follows :
" rDiffering interests � include every interest
that will adversely a��ect either the judgment
or loyalty of (an of�icial) to (his or her
duty) , whether it be a conflicting, incon-
sistent, diverse or other interest. "

Conflict o� interest in regard to officials or employees
o� the City of Saint Paul is in some cases confined to �
personal financial interest. Minn. Stat. � 47.1.87
forbids an official from having a "personal financial
interest" in contracts such official had a pa rt in .
making. Section 17.04 of the City' Charter is similar
to the statute in its application only to interests
which are financial.
� Chapter A-6 of the Saint Paul Administrative Code estab-
lishes a Code of Ethics (hereafter "Ethics Code" ) which
is applicable to:
��. . . all elected and appointed officials
and employees in the unclassified service,
and all members of the appointed committees,
boards or commissions , whether paid or unpaid
. . . . �� � 1, Ethics Code.
All those covered are referred to as "officials" in
the remainder of the Ethics Code .
The pertinent provisions of the Ethics Code, howe ver,
are not restricted to financial benefit, bu� are writ-
ten in terms of "personal advantage , " 'private bene�it,
either direct or indirect, " and "personal gain. " For
example, Sections 2(b) , 2(c ) and 2(d) , provide :
��2(b) Officials shall refrain from using .�-
their influence as a member of a governing
body in attempts to secure contracts, re-
zoning, or other favorable municipal actions
for personal advantage. �

'�2(c) Officials shall refrain from par-
ticipating in any action of the governing
body in which some private benefit , either
direct or indirect, may come by this action.
��2(d) Of�icials shall reYrain from advis-
ing or assisting anyone in any action that
is adverse to the City of Saint Paul. "
Section 3 of the Ethics Code provides:
"Any public official experiericing a conflict
. of interest should publicly fully,.disclose
any sueh interest and beneYit, as soon as �
it becomes apparent, and should abstain
from voting on the matter should he have
a vote. He should not enter inta any dis- �
cussion on the matter privately with any
fellow of�icial.
�'An offieial may not be forced to become
a second-class citizen and denied the
rights of other citizens if a matter arises
in which he has an interest. He should re-
move himself from the governing body and
appear as any other citizen to explain and
argue his interest openly and without expec-
tation of special favor.
"No official shall hold a position in addi-
tion to his public position that will in
any way interfere with the proper discharge
of his pubLic duties.
"No oYficial shall use any information, '
obtained as a result of his public office, :
for personal gain. �
"No oY�icial shall solieit anyone for gifts
or favors.

"No official shall hold investments which
tend to inter�ere with the proper diseharge
of his public duty. Nor shail he enter
into any contracts or other conduct of

business for prof it in which as a public
employee he can influence . "
It should be noted that both you, as an ele cted
official , and your legislative aide, as an appointed �
employee in the unclassified service, are within the
definition of "official" to which the Ethics Code
applies, and, as such, the prohibitions and guide-
lines contained in that Code apply to you and your
aide.
The� Administrative Code makes no mention of penalty
or punishment for violation of any of its provisions. .
Nor� does the Ethics Code in Chapter A-6 contain a
penalty for the violation of any of its prohibitions.
Whether in any given situation there exists a conflict
of interest or violation of the Ethics Code is a ques-
tion of fact to be determined on the basis of all the
facts and circumstanees surrounding it. A part of
that determination should also include an assessment
of the appearances involved, since Section 4 of the
Ethics Code counsels that ". . . even the appearance
or possibility of wrongdoing should be firmly avoided. ��
Since the official involved will normally have access
to all or most of the relevant inf ormation concerning
a potential conflict of interest, that of�icial will
in each case make the determination. Whether any other
` official or body can make an independent determination
of such facts is unclear in view �of the lack of enforce-
ment machinery in the Ethics Cod,e. (Section 17.04 of
the Charter, and Minn. Stat. § 471.87, in dealing witY�
��personal financial benefit, " provide for loss of
of�ice and criminal prosecution. )
In the fact situation raised by your question, it is
di�ficult to see any pe rsonal gain or advantage to you
in employing an aide who is suing the Authority. In
the absence of some additional factual matter, such
as adverse advice or assistance (Section 2(d) of the �,
Ethics Code) , it does not appear that the mere employ-
ment relationship described would be violative of the
Ethics Code. Should it become necessary for you ta
consider, discuss or vote on the law suit involved
here as a commissioner of the Authority, the situation

would certainly justify an inquiry and fact determina-
tion by you as to whether the Ethies Code is violated.
The same should probably be done when considering or
voting on the personnel or employment practices which
are at issue in the law suit.
In the event a con�lict of interest is determined to
exist, the procedures in Section 3 of the Ethies Code
should be followed where appropriate , including public
disclosure of the conflict, and abstention from any
discussion or voting on the subject matter of the
con�lict. �
Because your legislative aide also is subject to the
Ethies Code, and the conclusion of "personal advantage"
or "private benefit" will in view of the facts be more �
readily reached, the caution exercised should be the
greater. The question nonetheless remains a fact
questi n for the official involved.
