i WIIEREAS, the City of Saint Paul has an agreement with the Saint Paul Saints Baseball
2 Team to play their 2001 home games at the City's Midway Stadium; and
4 WHEREAS, the City of Saint Paul operates the parking at the Midway Stadium, where
5 the Saint Paul Saints will play up to fifty (50) home games during the 2001 Northem League
6 season as well as schedule other events; and

8 WHEREAS, the Saints may schedule other events at the Stadium; and

l0 WHEREAS, the Ciry receives income from the parking of vehicles at these events, and

WHEREAS, the Midway Stadium site lacks a sufficient number of parking spaces to
house all visitors for Saint Paul Saints events; and
WHEREAS, the 1930 E.P.D. Corporation owns the property located at 1930 Energy Pazk
Drive which has a parking lot located within walking distance of the Midway Stadium; and

18 WHEREAS, the 1930 E.P.D. Corporation is willing to allow the City to use its parking
19 lot for overflow parking for Saint Paul Saints home games during the 2001 Northern Leagues
2 0 season as well as other events scheduled by the Saints and agreed to by the City, but on the
21 condition that it be indemnified and held hannless from damages and claims arising out of the
2 2 use of the parking lot for that purpose; now therefor be it

RESOLVED that the Council of the City of Saint Paul hereby finds that the
indemnification of 1930 E.P.D. Corporation for the use of its parking lot at 1930 Energy Park
Drive serves a valid and legitunate public purpose; and be it
2 8 FURTHER RESOLVED, that the Council of the City of Saint Paul hereby agrees to
2 9 defend, indemnify and hold the 1930 E.P.D. Corparation harxnless from any and all damages it
3 o may be required to pay as a result of suits, claims, actions or judgements asising out of the use of
31 the 1930 Energy Park Drive parking lot as a parking site far the Saint Paul Saints home games
3 2 and approved events during the 2001 season; and let it be

3 7 FURTHER RESOLVED, that the foregoing defense and indemnification does not cover
3 8 1) any occurrences or events which do not take place during the use of the 1930 Energy Pazk
3 9 Drive parking lot for a Saint Paul Saints home game or approved event; or 2) injuries or damages
4 0 arising from hidden traps ar dangerous conditions of the 1930 Energy Park Drive pazking lot as
41 to which the 1930 E.P.D. Corporation had actual or constructive notice; and be it

43 FURTHER RESOLVED, that nothing in the foregoing provisions sha11 be construed as a
waiver of the municipal tort liability lnnits set forth in Mimi. Stat.§466 et seq.
