Respecting inclusion of the word "Minnesota" in the Agency title, when
new stationery is ordered make the correction ar.d presently order a
corrected seal.

Respecting C:ommissioner West's subsequent term commencement date,
the proper date is 5eptember 2, 1978 , fixed by the commencement and
expiration date of his initial terrn(fixed by the date af mQyoral
approval of the Council Resolution confirming appointment}: All
subequent terms will_ end on September lst of the_ appropriate year
and successor_. erms_ commence,_, ep e er 2nd of the appropriate year.

Under Article I, Section 3 of the Agency By-Laws provides that the
Agency office shall be at such place as the Agency may from time to
time by resolution determine. It is its principal place of business
by common understanding. The date of Board action aithorizing the
Bremer Building location should be noed as a change of address and
date and nature of change in the seal can be noted. /--=
ZJhile it presently is nat a problem the paragraph 4 listing respecting
beginning and ending of terms of office need only relate to the current
yea-r term. Cwmulative listing of past terms of office will get
cumbersome as time passes and the terms multiply.

SUB.:L-CT PREPARATION OF UP-UATED GE;vERAL CERTIFICATE
With the reepointment of Grant West and election of officers for the coming year, we
obviously need a curreut General CertiflcaCe. However, several questins have cou►e
to c,ind on the subject, and Z have attempted a version whicti I would very mueh appre-
ciate your reviewing. Perhaps it would help if I listed sosne of my questions as they
. appear on a►y .a.ttached version.
The first obvious changz is the removal of the "Minnesota" from the corporate title.
In doing that for the letterhead and the corporate nnme, what effect does the inclusion
of "tfinnesota" on the official seal have? Should we be cakir.g a new seal? Would that
taice Board action?
Regarding Grant Weat's reppointment, I followed the reasonig that the date of
confirmationtby Council of the appointinent is the beginning of the term of office,
wliich otherwise would have been September 2. Asn I ribtit in ttsumin Grant West's
reappointment was effective on August 29 when Council approved the reappointment?
Then under Section 8 I found myself raising the usual questions: (n) I assume
"Agncy" office holds et any locution so therefore needs no particular notation.
But (g) raises the usual question we have on every move and r have to say I have
forbotten the customary answer. Is "office" the capacity or the phyeical location
of the Agency? (h) would be answered by the paragraph above.
Thanks fr any help you can give me on this before ae huve an emergency need for a
new Certificate.
