RESOLUTION AUTHORIZING SUBMISSION OF APPLICATION
TO THE DEPARTMENT OF TRADE AND ECONOMIC DEVELOPMENT'S
CONTAMINATION CLEAN-UP PROGRAM
WHEREAS, the "Johnson Liquar Site" as known by the Dayton's Bluff neighborhood is located at
the northwest corner of Old Hudson Road and Jolwson Parkway consisting of approximately 7.5
acres adjacent to approximately 2 acres of City owned property that has never been improved other
than to remain as deteriorated asphalt; and

WHEREAS, this site is one of the larger underutilized tracts of land in the City that has remained
largely vacant and conrinues to deteriorate due to the conditions affecting the site; and
WIIEREAS, a Phase I Environmental Site Assessment, Phase II Environmental survey and market
study have been completed on this site; and
WHEREAS, Parkway Place Senior Housang, LLC is proposing to build a$12.5 million rental senior
housing complex providing 114 units of new housing, the M�e1d Market Study indicates that 75-
90 people in the neighborhood will be moving to these units, making available additional housing
units for sale and the developer is working on an agreement with a realty firm in developing a
marketing strategy to purchase properties of the seniors that would be moving to the new units and
work with Dayton's Bluff Neighborhood Housing Services, Inc. in combination with selling the
units with rehabilitation assistance if needed; and
WI�EREAS, the St. Paul Comprehensive P1an which was approved by the City Council and includes
an approved Housing Plan direcfly idenrifies the need for to expand efforts to enhance the city's
traditional neighborhood design and public spaces, meet new market demand and by encouraging
production of 300-400 housing units a year; and
WT3EREAS, Parkway Place Senior Housing , LLC has submitted a proposal to the I3RA to develop
the Old Johnson Liquor Site consistent with the City's desires and goals pursuant to the City's
Comprehensive Plan; and
WFIEREAS, Parkway Place Senior Housing, LLC's proposal is not feasible unless assistance is
secured from DTED to clean up environxnental hazards identified on the Old Johnson Liquor Site;

WHEREAS, the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (HILA)
approved by Resolution 2001-3/28-4 to supportlsubmit an application under the Department of o � _
Trade and Economic Development's Contamivation Cleanup Grant Program.
NOW THEREFORE BE IT RESOLVED BY the City of 5aint Paul, Minnesota supports and
authorizes the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (the
"I�A") to act as the legal sponsor for the project contained in the Contamination Cleanup Grant
Application to be submitted on May 1, 2001, and that the I�2A is hereby authorized to apply to the
Department of Trade and Economic Development for funding of this project .
BE IT FURTHER RESOLVED that City of St. PauUHousing and Redevelopment Authority of the
City of Saint Paul has the legal authority to apply for finaucial assistance, and the institutional,
managerial, and financial capability to ensure adequate project admiuistration.
BE IT FURTHER RESOLVED that the sources and amounts of the local match idenfified in the
application aze committed the project identified.
BE IT FURTHER RESOLVED that City of St. PauUHousing and Redevelopment Authority of the
City of Saint Paul has not violated any Federal, State or local laws pertaining to fraud, bribery, graft,
kickbacks, collusion, conflict of interest or other unlawful or corrupt practice.
BE IT FURTHER RESOLVED that upon approval of its application by the state, City of Saint
Paul/Housing and Redevelopment Authority of the City of Saint Paul, Minnesota may enter into an
agreement with the State of Minnesota for the above-referenced project, and that Housing and
Redevelopment Authority of the City of Saint Paul, Minnesota certified that it will comply with all
applicable laws and regulation as stated in all contract agreements.
NOW THEREFORE, BE IT RESOLVED that the Executive Directar of the Housing and
Redevelopment Authority of the City of Saint Paul, Minnesota is hereby authorized to execute such
agreements as aze necessary to implement the project on behalf of the applicant.

1 WHEREAS, the '7ohnson Liquor Site" as known by the Dayton's Bluff neighborhood is located
2 at the northwest corner of Old Hudson Road and Johnson Parkway consisting of approximately
3 7.5 acres adjacent to approximately 2 acres of City owned property that has never been improved
4 other than to remain as deter3orated asphalt; and

6 WHEREAS, this site is one of the larger underutilized tracts of land in the City that has remained
7 largely vacant and continues to deteriorate due to the conditions affecting the site; and
9 WHEREAS, a Phase I Environmental Site Assessment, a Phase II Environmental Survey and
10 market study have been completed on this site to determine and clearly define the extent of soil
ll contamination issues as the result of City action taken in the early 1960's with the filiing of a
12 ravine on this site with demolition debris and trees and the southeast part of the site as the City of
13 St. Paul Hastang's dump noted as being closed in November, 1939 which is part of this overall
14 site; and.

WHEREAS, on April l 14, 1999, a staff report was presented to the HRA Board concerning a
preliminary proposal received from Gerald Frisch and Dave Engfer about the potentiai
development of the Old Johnson Liquor site, which outlined a neighborhood process that would
be followed to solicit neighborhood input for potential future development options of this site;
and.
WHEREAS, over the next eight months,the developers took action to secure an Option to
Purchase the Old Johnson Liquor site for $575,OOQ consisting of 7.5 acres, worked with
neighborhood organizations/residents to determine the potential reuse of the site
WHEREAS, on December 18, 1999, HRA approved financing assistance to Parkway Place
Senior Housing, LLC (owned by Geraid Frisch and Dave Engfer) in the amount of $635,000 to
be used for the purchase of the Old Johnson Liquor Site in the amount of $575,000 and $60,000
altocated to assist in the completion of a Phase II Environmental study; and .

WHEREAS, over the last year, Parkway Place Senior Housing has undertaken and completed a
number of actions in order to move forwazd the development of 114 units of senior housing and
are noted as follows:
� Concluded the purchase of the Old Johnson Liquor Site;
� Secured options and has purchased one of the remaining four privately held parcels at
the northeast corner of Frank and Old Hudson Road;
� Completed soil boring tests, Phase I and II Environmental surveys;
• Completed surveying, building location and design;
• Reached an agreement with Governmental and Educational Assistance Corporation
(GEAC) a non-profit corporation whose mission is to develop housing and who will act
as the General Partner in the in requesting and processing SOlc(3) Housing Revenue
Bonds;
• Developed a financing arrangement with Miller Johnson Steichen Kinnard and Anchor
Bank;
• Completed construction cost estimates for the development which identifies the
financing assistance needed;
• Completed with Peer Environmental the Environmental Response Action Plan which
has been submitted to the Minnesota Poilution Control Action for review and which
will be submitted May 1, 2001 to Minnesota Department of Trade and Economic
Development for funding under Contamination Clean-up Grant Fund (request for
$393,750); and
WHEREAS, based on the information and timeline provided, Parkway Place Senior Housing,
LLC will be prepazed to start remediation work and subsequent construction this summer/fal]
2001.
WHEREAS, in order to be in a position to move this process along, the developer is requesting
consideration and approval from the Housing and Redevelopment Authority.
WITEREAS, the St. Paul Comprehensive Plan which was approved by the City Council and
includes an approved Housing Plan directly identifies the need for to expand efforts to enhance
the city's traditional neighborhood design and pubiic sgaces, meet new market demand and by
encouraging production of 300-400 housing units a year.
NOW THEREFORE BE IT RESOLVED BY the Housing and Redevelopment Authority of the
City of 5aint Paul, Minnesota (HRA), that the foilowing terms and conditions are hereby
approved:
That HRA supports Pazkway Place Senior Housing, LLC submission of an
Application to DTED for Contamination Clean-up Grant Program as a high
prioriTy for the May 1, 2001 in the amount of $393,750.

79 2. That HRA authorizes staff to apply to Ramsey County Housing Endowment Fund
80 to request additional funding to meet fhe HRA1City's objective of 20% affordable
81 housing on this project and encourages Ramsey County to fund this request as a

3. That HRA authorizes staff to initiate the process to develop a Redevelopment
Plan for the Old Johnson Liquor Site together with a Tax Tncrement Financing
Plan to support the development of 114 units of rental senior housing to provide
up to a$1.7 million in financing assistance to be provided under a"pay as you go"
note, and which will allow repayment to HRA of the initial $575,000..
4. That HRA agrees to act as the conduit agency in issuing $10,140,000 of SOlc(3)
Housing Revenue Bonds.
That the existing HRA Development/Loan Agreement executed in December
2000 is hereby approved to be amended in accordance with the terms and
conditions in accordance with the completion of actiotts under items 1 through 4
identified above, such approval includes approval of such additional details,
modifications, and related agreements as may be necessary and appzopriate, and
approved by the City Attorney, counsel and appropriate HRA staff; and said City
Attorney, counsel, and HRA staff are hereby authorized to approve said changes
and related instruments on behalf of the HRA upon determ3nation by them that
such changes and related instruments are consistent with this Resolution and
necessary or desirable to effectuate the purposes hereo£ The authorization hereby
given shall be fiuther construed as authorization for execution and delivery of
such certificates and related items as may be required to demonstrate compliance
with the agreement and the terms of this Resolution.
That amendments and authority to approve, execute and deliver future
amendments to the Development Agreement in connection with the transactions
contemplated thereby is hereby delegated to the Executive Director, provided that
such amendments do not materially adversely affect the interest of the HRA and
are acceptable in form and substance to the Saint Paul City Attorney, or other
counsel retained by the HRA to review such documents.

WHEREAS, based on the information and timeline provided, Parkway Place Senior Housing,
LLC will be prepazed to start remediation work and subsequent construction this summer/fal]
2001.
WHEREAS, in order to be in a position to move this process along, the developer is requesting
consideration and approval from the Housing and Redevelopment Authority.
WITEREAS, the St. Paul Comprehensive Plan which was approved by the City Council and
includes an approved Housing Plan directly identifies the need for to expand efforts to enhance
the city's traditional neighborhood design and pubiic sgaces, meet new market demand and by
encouraging production of 300-400 housing units a year.
NOW THEREFORE BE IT RESOLVED BY the Housing and Redevelopment Authority of the
City of 5aint Paul, Minnesota (HRA), that the foilowing terms and conditions are hereby
approved:
That HRA supports Pazkway Place Senior Housing, LLC submission of an
Application to DTED for Contamination Clean-up Grant Program as a high
prioriTy for the May 1, 2001 in the amount of $393,750.

3. That HRA authorizes staff to initiate the process to develop a Redevelopment
Plan for the Old Johnson Liquor Site together with a Tax Tncrement Financing
Plan to support the development of 114 units of rental senior housing to provide
up to a$1.7 million in financing assistance to be provided under a"pay as you go"
note, and which will allow repayment to HRA of the initial $575,000..
4. That HRA agrees to act as the conduit agency in issuing $10,140,000 of SOlc(3)
Housing Revenue Bonds.
That the existing HRA Development/Loan Agreement executed in December
2000 is hereby approved to be amended in accordance with the terms and
conditions in accordance with the completion of actiotts under items 1 through 4
identified above, such approval includes approval of such additional details,
modifications, and related agreements as may be necessary and appzopriate, and
approved by the City Attorney, counsel and appropriate HRA staff; and said City
Attorney, counsel, and HRA staff are hereby authorized to approve said changes
and related instruments on behalf of the HRA upon determ3nation by them that
such changes and related instruments are consistent with this Resolution and
necessary or desirable to effectuate the purposes hereo£ The authorization hereby
given shall be fiuther construed as authorization for execution and delivery of
such certificates and related items as may be required to demonstrate compliance
with the agreement and the terms of this Resolution.
That amendments and authority to approve, execute and deliver future
amendments to the Development Agreement in connection with the transactions

WHEREAS, the "Johnson Liquar Site" as known by the Dayton's Bluff neighborhood is located at
the northwest corner of Old Hudson Road and Jolwson Parkway consisting of approximately 7.5
acres adjacent to approximately 2 acres of City owned property that has never been improved other
than to remain as deteriorated asphalt; and

WHEREAS, this site is one of the larger underutilized tracts of land in the City that has remained
largely vacant and conrinues to deteriorate due to the conditions affecting the site; and
WIIEREAS, a Phase I Environmental Site Assessment, Phase II Environmental survey and market
study have been completed on this site; and
WHEREAS, Parkway Place Senior Housang, LLC is proposing to build a$12.5 million rental senior
housing complex providing 114 units of new housing, the M�e1d Market Study indicates that 75-
90 people in the neighborhood will be moving to these units, making available additional housing
units for sale and the developer is working on an agreement with a realty firm in developing a
marketing strategy to purchase properties of the seniors that would be moving to the new units and
work with Dayton's Bluff Neighborhood Housing Services, Inc. in combination with selling the
units with rehabilitation assistance if needed; and
WI�EREAS, the St. Paul Comprehensive P1an which was approved by the City Council and includes
an approved Housing Plan direcfly idenrifies the need for to expand efforts to enhance the city's
traditional neighborhood design and public spaces, meet new market demand and by encouraging
production of 300-400 housing units a year; and
WT3EREAS, Parkway Place Senior Housing , LLC has submitted a proposal to the I3RA to develop
the Old Johnson Liquor Site consistent with the City's desires and goals pursuant to the City's
Comprehensive Plan; and
WFIEREAS, Parkway Place Senior Housing, LLC's proposal is not feasible unless assistance is
secured from DTED to clean up environxnental hazards identified on the Old Johnson Liquor Site;

WHEREAS, the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (HILA)
approved by Resolution 2001-3/28-4 to supportlsubmit an application under the Department of o � _
Trade and Economic Development's Contamivation Cleanup Grant Program.
NOW THEREFORE BE IT RESOLVED BY the City of 5aint Paul, Minnesota supports and
authorizes the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (the
"I�A") to act as the legal sponsor for the project contained in the Contamination Cleanup Grant
Application to be submitted on May 1, 2001, and that the I�2A is hereby authorized to apply to the
Department of Trade and Economic Development for funding of this project .
BE IT FURTHER RESOLVED that City of St. PauUHousing and Redevelopment Authority of the
City of Saint Paul has the legal authority to apply for finaucial assistance, and the institutional,
managerial, and financial capability to ensure adequate project admiuistration.
BE IT FURTHER RESOLVED that the sources and amounts of the local match idenfified in the
application aze committed the project identified.
BE IT FURTHER RESOLVED that City of St. PauUHousing and Redevelopment Authority of the
City of Saint Paul has not violated any Federal, State or local laws pertaining to fraud, bribery, graft,
kickbacks, collusion, conflict of interest or other unlawful or corrupt practice.
BE IT FURTHER RESOLVED that upon approval of its application by the state, City of Saint
Paul/Housing and Redevelopment Authority of the City of Saint Paul, Minnesota may enter into an
agreement with the State of Minnesota for the above-referenced project, and that Housing and
Redevelopment Authority of the City of Saint Paul, Minnesota certified that it will comply with all
applicable laws and regulation as stated in all contract agreements.
NOW THEREFORE, BE IT RESOLVED that the Executive Directar of the Housing and
Redevelopment Authority of the City of Saint Paul, Minnesota is hereby authorized to execute such

WHEREAS, on April l 14, 1999, a staff report was presented to the HRA Board concerning a
preliminary proposal received from Gerald Frisch and Dave Engfer about the potentiai
development of the Old Johnson Liquor site, which outlined a neighborhood process that would
be followed to solicit neighborhood input for potential future development options of this site;
and.
WHEREAS, over the next eight months,the developers took action to secure an Option to
Purchase the Old Johnson Liquor site for $575,OOQ consisting of 7.5 acres, worked with
neighborhood organizations/residents to determine the potential reuse of the site
WHEREAS, on December 18, 1999, HRA approved financing assistance to Parkway Place
Senior Housing, LLC (owned by Geraid Frisch and Dave Engfer) in the amount of $635,000 to
be used for the purchase of the Old Johnson Liquor Site in the amount of $575,000 and $60,000
altocated to assist in the completion of a Phase II Environmental study; and .
