AMENDMENT TO
CENTRAL CERTIFICATION COLLABORATIVE
AGREEMENT BETWEEN RAMSEY COUNTY AND
THE CITY OF SAINT PAUL
WFIEREAS, since 1998, the jurisdictions of Ramsey County, City of Saint Paul, Hennepin
County, City of Minueapolis, and the Saint Paul Public Schools (collectively "the
Collaborative") have joindy operated a centralized program for certification of businesses m the
Collaborative members' respective small business, minority-owned business, or women-owned
business enterprise programs (hereinafter referred to as the "Program"); and
WHEREAS, following issuance of a Request for Proposals in 1998 on behalf of the
Collaborative, IMPACT, Inc. was selected to provide Program services on behalf of the
Collaborative members; and
WHEREAS, in 1998, pursuant to the authority granted to them under Minnesota Statutes Section
471.59, each jurisdiction executed a Central Certification Collaborative Agreement with Ratnsey
County which authorized Ramsey County to enter into an agreement with IMPACT, Inc., for
Program services on the jurisdiction's behalf, as a member of the Collaborative; and
WHEREAS, pursuant to the authorities granted it by the members of the Collaborative, Ramsey
County entered into a contract with IMPACT, Inc., which expires on Mazch 31, 2001; and
WHEREAS, the members of the Collabarative, having concluded that it is in their best interests
continue the Program, wish to extend their grants of authority to Ramsey County to enter into
contracts on their behalf for Program services on and after April 1, 2001;
NOW, THEREFORE, the parties agree to amend the Agreement as follows:
1. Saint Paul authorizes Ramsey to enter into one or more contracts for the provision of
Program services to the City of Saint Paul, as a member of the Collaborative, with such
party(s) and under such terms as the Collaborative's Executive Committee shall
recommend. Upon execution of any contract as recommended by the Executive
Committee and in a form approved by the Ramsey County Attorney, a copy of the
coniract shall be attached as E�ibit A and become a part of this agreement beriveen
Ramsey County and the City of Saint Paul.
2. The City of Saint Paul acknowledges that, under any contract that Ramsey County may
enter into on behalf of the Collaborative for Program services, the Progrun services
provider ("Provider") will invoice the CiTy of Saint Paul directly for its share of the cost
of the Program services, and the City of Saint Paul hereby agrees to pay such invoiced
costs. Should the Provider be the City of Saint Paul, the City of Saint Paul's
proportionate shaze will be in the form of in-kind services.

3. Withdrawal from Participation
a. If the City of Saint Paul or any other member of the Collaborative decides to
withdraw from participation in the Collaborative prior to the expiration of a
contract that Ramsey Counry has entered into with a Provider pursuant to the
authority granted it under this Amendment, the City of Saint Paul or the other
withdrawing member shall give Ramsey County no fewer than 30 days' written
notice of its decision.
b. Upon receipt of such notice, Ramsey County shall consult with the remaining
members of the Collaborative regazding termination of Ramsey County's contract
with the Provider.
c. If Ramsey County and the remaining members of the Collaborative elect not to
terminate the con�act with the Provider, Ramsey County shall request written

documentation from the Provider on the additional cost, if any, for the Provider to
modify any Program materials and databases because of the member's withdrawal
from the Collaborative.
Ramsey County shall notify the withdrawing member of such costs and the
withdrawing member shall be responsible for payment of such costs, if any,
directly to the Provider. The withdrawing member shall be responsible for
fulfilling all of its obligations, including payment of costs, under Ramsey
County's contract with the Provider, through the effective date of withdrawal.
If a withdrawing member has made payment for Program Startup Services
pursuant to the November 24, 1998 agreement between Ramsey County and
IMPACT, the withdrawing member may use the Vendor Certification Database,
Vendor Certification Software, source code, and documentation for its own
internal purposes but may not distribute, sell, license, or lease them to a non-
member without prior written authorization of the remaining Collaborative
members. Any revenue generated by the withdrawing member's use of these
items shall be shazed evenly between the withdrawing member and all remaining
members who paid for Program Startup Services under the November 24, 1998
agreement between Ramsey County and IMPACT.
4. Ramsey County may not terminate its contract with a Provider nor agree to an
assignment or transfer of the Provider's interest in its contract with Ramsey County
unless all current members of the Collaborative agree to the termination, assignment, or
transfer.
Upon termination of a contract between Ramsey County and a Provider, and the decision
of the Collaborative not to continue the Program, the City of Saint Paul may exercise ali
rights related to its equal ownership of the Software, Database, Softwaze source code,
and Softwaze Documentation as set forth in the contract between Ramsey County and
IMPACT dated November 24, 1998.

6. Any attempt by Ramsey County to amend a contract it has with a Provider on behalf of
the Collaborative which increases the responsibilities or obligations of Saint Paul shall be
null and void unless agreed to in writing by an authorized representative of Saint Paul.
It is acknowledged that Ramsey County is contemporaneously executing amendments to
their respective Central Certification Collaborative Agreement with a11 current
Collaborative members.
8. Except as modi�ed herin, the terms of the Agreement shall remain in full force and
effect.
This Agreement is duly executed this day of , 2001.

unless all current members of the Collaborative agree to the termination, assignment, or
transfer.
Upon termination of a contract between Ramsey County and a Provider, and the decision
of the Collaborative not to continue the Program, the City of Saint Paul may exercise ali
rights related to its equal ownership of the Software, Database, Softwaze source code,
and Softwaze Documentation as set forth in the contract between Ramsey County and
IMPACT dated November 24, 1998.

6. Any attempt by Ramsey County to amend a contract it has with a Provider on behalf of
the Collaborative which increases the responsibilities or obligations of Saint Paul shall be
null and void unless agreed to in writing by an authorized representative of Saint Paul.
It is acknowledged that Ramsey County is contemporaneously executing amendments to
their respective Central Certification Collaborative Agreement with a11 current
Collaborative members.
8. Except as modi�ed herin, the terms of the Agreement shall remain in full force and
effect.
