Authorizing Amendment to Redevelopment Contract with
RK Midway LLC (Midway Shopping Center), District 13
WF�REAS, the City of Saint Paul, the Aousing and Redevetopment Authority ("HRA"), and RK Midway LLC
("Developer") entered into a Conbract for Private Redevelopment dated July 31, 1998 ("Contract") which provided a
funding mechanism for up to $1,596,000 in grants and loans to fund pollution clean-up costs of the 4.7 acre "rear
pazcel" of the Midway Shopping Center at Snelling and University Avenues; and
WIIEREAS, the Developer initiated and completed a Voluntary Remediation Action Plan approved by the Minnesota
Pollution Control Agency and is cunently performing monitoring obligations to assess the results of the remediation;
and
WHEREAS, Metro Transit owns an approximately I 1 acre site adjacent to the Midway Center property which is used
as a bus gazage facility, and Metro Transit is currently developing a new bus parking and maintenance facility which is
scheduled for completion in September, 2001 which will replace the Snelling/I-94 bus garage, and Metro Transit will
demolish the existing garage structure and complete environmental remediation of the site by mid-2002; and
WI-IEREAS, the Developer and Metro Transit have completed studies exploring the potential for a mixed-use joint
redevelopment of the combined 15 acre site, which would include a new, smaller facility for approximately 100 buses,
as well as private commercial uses, and the Developer is interested in being the private development partner in the
joint development of the site; and
WF�REAS, Metro Transit is expected to issue an RFP for a development consultant later this year as a preliminary to
soliciting proposals for joint development of its site, but that given the careful planning which will be required to
integrate transit uses with mixed-use commercial development, it may be 2-3 yeazs before the private development can
begin; and
WF�REAS, the Redevelopment Contract with the Developer requires that construction on the "rear pazcel" of
Midway Shopping Center be completed by June 1, 2002, but the opportunity to achieve an integrated development that
best captures the potential of the entire 15 acre site in coordination with Metro Transit justifies an extension of the
Developer's deadline for conshuction by Amendment to the Contract; and
WIIEREAS, the Board of the HRA approved the Amendment to the Contract extending the deadline for completion of
improvements by Resolution No. Ol-3l14-6 on Mazch 14, 2001.
RESOLVED, that upon recommendation of the Mayor, the Council of the City of Saint Paul approves an Amendment
to the Contract for Private Redevelopment with RK Midway, LLC extending the deadline for completion of
improvements to November 1, 2004 and authorizes the appropriate officers of the City to execute the Amendment with
the advice of the CiTy Attorney.

REGARDING Amendment of Redevelopment Contract with RK Midway, LLC
(Midway Shopping Center), District 13
The purpose of this report is to request authorization for an amendment to the Contract for
Private Redevelopment between HRA, the City of Saint Paul, and RK Midway LLC, owner of
the Midway Shopping Center at Snelling and University Avenue. The amendment would extend
the Developer's deadline for construction on the 4,7 acre "rear parcel" of the Midway Shopping
Center property adjacent to the 11 acre Metro Transit Bus Garage site at Snelling and I-94. The
extension would allow time for the coordination of the redevelopment of the entire 15 acre
combined site in order to realize its potential.
Background
As more fully described in the attached letter from Paula Goodman Maccabee on behalf of RK
Midway (Developer), the HRA, the City and RK Midway entered into a Contract for Private
Redevelopment dated July 31, 1998 which provided a funding mechanism for up to $1,596,000
in grants and loans to fiznd pollution clean-up costs pursuant to a Voluntary Remediation Action
Plan (RAP) approved by the Minnesota Pollution Control Agency (MPCA). The Developer
initiated and completed the RAP, and is currently performing monitoring obligations to assess
the results of the remediation.
Metro Tansit owns the approximately 11 acre site adjacent to the Midway Center property. The
Metro Transit properiy is used as a bus garage facility. Metro Transit is cunently developing a
new bus parking and maintenance facility at Mississippi and Cayuga Streets which is scheduled
for completion in September, 2001. When the new facility is completed, Metro Transit wi11
relocate its operations from the Snelling site, demolish the gazage structure, and complete
environmental remediation of the Snelling/I-94 properiy. This process is expected to be
complete by mid-2002.
Both the Developer and Metro Transit have completed studies exploring the potential for a
mixed-use redevelopment of the total 15 acre combined site to realize its potential. Metro
Transit intends to construct a new, smaller facility for approximately 100 buses, and is interested
in a joint development to include private uses as part of the development program. The Midway
Chamber of Commerce has been actively involved in setting goals for a master planned mixed-
use development of the site. RK Midway is very interested in being the private development
partner in the joint development of the site.

to November 1, 2004. Additionally, the Developer would agree to respond to the RFP to be
issued by Metro Transit or the Metropolitan Council and to negotiate in good faith over the
financial, shared land use and other key terms of a joint development undertaking.
Recommendation
Considering the opportunity to achieve an integrated development which realizes the potential of
the entire 15 acre site, staff recommends that the Redevelopment Agreement �cith RK Midway,
LLC be amended to extend the deadline for completing construction until November 1, 2004. A
Resolution is attached for the Board's consideration and approval.

financial, shared land use and other key terms of a joint development undertaking.
Recommendation
Considering the opportunity to achieve an integrated development which realizes the potential of
the entire 15 acre site, staff recommends that the Redevelopment Agreement �cith RK Midway,
LLC be amended to extend the deadline for completing construction until November 1, 2004. A
Resolution is attached for the Board's consideration and approval.
