�TEIEREAS, the Council of the City of Saint Paul has determined
that it is desirable and beneficial to obtain consultant services
to assist the Council in conducting a performance audit program;
and
WHEREAS, the Council has further determine d that Elmer Fox,
tidestheimer and Co. has the capability and necessary expertise
to perform this service; now, therefore, be it
RESOLVED, that the Council does hereby approve the attached
professional services contract whereby the City retains Elmer
Fox, Westheimer and Co. to perform the services as set forth in
the contract, the cost for such services not to exceed $14,000.00,
and the Mayor and the Director of the Department of Finance and
Management Services are hereby authorized to execute the contract
on behalf of the City.

A G R E E M E N T
An Agreement, dated this day of ,
19/7, by and between the CITY OF SAINT PAUL, MINNESOTA, herein-
after cailed "City", and Elmer Fox, Westheirner `and Co. of 2120
American National Bank Building, Fifth and Robert Streets, Saint
Paul, Minnesota, hereinafter called "Consultant"•, :
WITNESSETH:
The City and Consultant, for the consideration herein stated,
mutually agree as follows:
1. Mr. Mark Joyce will be responsible for all technicaZ . _.
assistance for "Consultant" as a performance audit consuZtant _
for the City of Saint Paul on City Programs and Services. The
"Consultant" will report directly to the Council Finance and
Personnel Committee, and will be under the general direction �
of the Council Legislative and Research Assistant. -
Consultant's responsibilities will include, but not be
� limited to the following:
(a) Assist in the preparation of all elements of the
Counc•il`s performance audit and reporting program
including selection of projects. .
(b) Assist in establishing project performance crzteria.

(c) Participate as part of an audit team in aIl areas
of the audit process; namely, (1) identifying pro-
blem, (2) examining problem areas in detail, and
(3) reporting audit results.
(d) Prepare a detailed task list for each project in-
cluding outputs, decision points, person-days effort
and forma.lized improvement goals.
(e) Provide specialized analytical skills in areas of
accounting, statistics, linear programming and
marginal analysis. •
(f) Provide research and audit informa.tion to the Council
and its staff.
2. Time of Performance �
T`he services of Consultant under this contract are to
co:�ence on , and continue to December 31,
19i�. .
3. Compensation
The City of Saint Paul agrees to pay Consultant monthly
for actual time spent in accordance with the following schedule:
Partner $60.00 per hour
Senior Consultant $36.00 per hour _
Professional Staff $18.00 - $34.00 per hour.
Clerical $12.00 per hour
It is expressly understood that the total compensation
to be paid by the City under this contract shall not exceed $14,000
for all services.
4. Method of Payment
Payments for the work under this contract shall be paid •
� upon submission of monthly` itemized bills by Consultant. Bills
shall be submitted to the City at the end of each month and payment

made by the City within l0 days after receipt and approval of -
the �bill.
S. Independent Contractor
For the purpose of this Agreement, the Consultant shall �
� � be de�emed to be an independent contractor, and not an employee
of the City. Any and all employees of the Consultant or other
persons, other than City employees, while engaged in the performance
of any work or services required by the Consultant under this -
Agreement, shall not be considered employees of the City; and any
and all claims that ma.y or might arise under the Workmen's Compen- �
sation Act of Minnesota on behalf of said� employees or other
persons �rhile so engaged, hospitalization insurance coveragesf
Social Security and pension payments and benefits, other employee
obligations and benefits, shall in no way be the obligation or -
responsibility of the City. The Consultant shall pay as they be- .
come due all just claims for work, tools, machinery, skill,
materials, insurance premiums, equipment and supplies, personnel
and all other contractual obligations entered into pursuant to
and in the performance of this Agreement.
6. Non-Discrimination.

The Consultant further agrees to comply with aIl the -
terms and conditions of Chapter 74 of the Saint Paul Legislative
Code pertaining to non-discrimination, and specifically, Section . �
74.03A thereof pertaining to affirmative action, the provisions
of Chapter 74 are hereby incorporated herein by reference. �
