Dat FEB 10 1977 Appro by Mayor for Submi io to Council By BY PUBLISHED FEB 1 2 1977 . , A G R E E M E N T �����y�] v THIS AGREEMENT, Made and entered into this d/ /� day of �-� , 197�, by and between the CITY OF SAINT PAUL, a municipal corporation, hereinafter referred to as "City, " and the PORT AUTHORITY OF THE CITY OF SAINT PAUL, hereinafter referred to as "Port Authority" ; WITNESSETH: WHEREAS, The City has conducted a survey in 1976 of river properties for the purpose of locating and identifying diseased Elm trees and has notified Port Authority that there exists a number of diseased Elm trees on property owned and maintained by the Por� Authority; and WI�REAS, Port Authority has been ordered by the City' s forester that all such diseased Elm trees must be immediately removed in conformance with the City' s ordinance so as to prevent the threat of spreading of such disease; and WHEREAS, Port Authority desires to comply with this order and wishes to use City forces for the removal of such diseas�d Elm trees and reimburse the City for its costs therefor; and WHEREAS, Port Authority has determined that an emergency situ- ation exists so as to obviate public bidding requirements; now, therefore, . �����1..� THE CITY AND PORT AUTHORITY DO HEREBY MUTUALLY AGREE AS FOLLOWS: 1. The Port Authority does hereby request and authoriz,e the � City, acting through its Department of Community Services, Division of Parks and Recreation, to enter upon the Port Authority' s prop- erty for the purpose of removing all dead and diseased Elm trees located thereon. 2. The Port Authority shall compensate and reimburse City for all of its costs incurred in the removal of such dead and diseased Elm trees in accordance with the attached schedule of charges, which schedule is marked Exhibit A and incorporated herein. � 3. The City shall bill Port Authority monthly for such costs, and Port. Authority shall transmit its payment within fifteen (15) days after receipt of such billing. 4. Z`his Agreexnent may be terminated by either City or Port Authority upon the giving to the other party of thirty (30) days ` written notice of such termination. In the event this Agreement is terminated, City shall transmit its final bill to the Port Authority and payment thereof shall be made by the Port Authority within fif- teen (15) days after receipt thereof. CITY OF SAINT PAUL: 1. That the Port. Authority finds, determines and declares that an emergency situation exists so as to obviate public bidding re- quirements with regard to the removal of these trees. 2. That the Board of Commissioners of the Port Authority here- by authorizes the officers of the Po�t Authority and directs the same to complete and execute a contract with the City of Saint Paul in substantially the form as on file with the Port Authority.
