On November 1 , 1977, the Port Authority of the City of Saint Paul adopted Resolution No. 1269, giving preliminary approval to the issuance of revenue bonds in the initial principal amount of $1 ,000,000 to finance a part of the Control Data Corporation facility. 2. Laws of Minnesota 1976, Chapter 234, provides that any issue of revenue bonds authorized by the �!ort Authority of the City of Saint Paul , shall be issued only with the consent of the City Council of the City of Saint Paul , by resolution adopted in accordance with law; 3. The Port Authority of the City of Saint Paul , has requested that the City Council give its requisite consent pursuant to said law to facilitate the issuance of said revenue bonds by the Port Authority of the City of Saint Paul , subject to fina� approval of the details of said issue by the Port Authority of the City of Saint Paul . 4. It is estimated that the initial principal amount of said bonds will be approximately $1 ,000,000 and that tMe net interest cost applicable to said issue will not exceed 8%, now, therefore, be it RESOLVED, by the� City Council of the City of Saint Paul , that in accordance with Laws of Minnesota 1976, Chapter 234, the City Council hereby consents to the issuance of the aforesaid revenue bonds for the purposes described in the aforesaid Port Authority Resolutton No. 1269 in the initial principal amount of $1 ,000,000 at a net interest cost of not to exceed 8%, the exact details of which, including, but not limited, to, provisions relating to maturities, interest rates, discount, redemption, and for the issuance of additional bonds, are to be determined by the Port Authority, pursuant to resolution adopted by the Port Authority, and the City Council hereby authorizes the issuance of any additional bonds (including refunding bonds) by the Port Authority, found by the Port Authority to be necessary for carrying out the purposes for which the aforesaid bonds are issued. A. r �/ � . . . � SUBJEGT: CONTROL DATA CORPORATION PRELIMINARY AGREEMENT RESOLUTION N0. 1269 Control Data Corporation is in the process of acquiring land from the City of St. Paul at Dale Street and Concordia Avenue for the construction of a major office, repair and warehouse facility expected to cost approxi- mately $7,500,000. The corporation is planning to commence construction around January 1 , 1978 and will be financing the facility by company equity, commercial mortgage financing, and $1 ,000,000 from a proposed sale of revenue bands by the Port Authority of the City of St. Paul . Minnesota Statutes 474 permits financing by a financial or a loan agreemen� and the Internal Revenue Service regulations permit participation to the extent of $1 ,000,000 to be from the proceeds of a revenue bond issue when the capital expenditures are expected to exceed $5,000,000. We, therefore, recommend that the Port Authority Commissioners authorize the execution of the Preliminary Agreement and adopt Resolution No. 1269 approving the issuance of $1 ,000,000 in revenue bonds with the proceeds of such an issue to be loaned to Control Data Corporation for a 30-year term. The conditions of the Preliminary Agreement and the subsequent documents will provide for a fiscal and administrative fee payable to the Port Authority � on a monthly basis of $200.00, or $2,400.00 per year, for the full term of the bond retirement schedule. The bonds are proposed to be issued outside of Resolution No. 876 and will be wholly guaranteed by Control Data Corpora- tion by execution of the loan agreement. Miller & Schroeder Municipals will act as underwriters for the issue and � Dorsey, Windhorst, Hannaford, Whitney & Halladay, is acting as bond counsel . Staff recommends approval . Y • ��+r�:��� � •RESOLUTION NO. 1269 • November l, 1977 RESOLUTION RELATING TO A PROJECT PROPOSED TO - BE FINANCED UNDER THE MUNICIPAL INDUSTRIAL � � DEVELOPMENT ACT; APPROVING AND AUTHORIZING EXECUTION OF A PRELIMINARY AGREEMENT BE IT RESOLVED by the Port Authority of the City of Saint Paul (the Authority) , as follows: 1. It is hereby found, determined and declared as follows: 1. 1. The welfare of the State of Minnesota requires active promotion, attraction, encouragement and development of economically sound industry and commerce through governmental acts to prevent, so far as possible, emergence of blighted lands and areas of chronic unemployment, and the State has en- couraged local government units to act to prevent such economi.c deterioration. 1. 2. Control Data Corporation, a Delaware corpora- tion (the Corporation) has announced its intention to acquire land within the City of Saint Paul (the City) and to construct thereon one or more buildings and acquire and install therein items of equipment, machinery, furnishings and other items of personal property (all such property hereinafter referred to as the Project) , to be used by the Corporation as an office, storage and equipment repair facility. 1. 3. The existence of the Project would add to the tax base of the City, Ramsey County and the school district in which the City is located and would provide increased opportuni- ties for employment for residents of the City and� surrounding , area. 1. 4. The Authority has been advised by a represen- tative of' the Corporation that with the aid of municipal bor- rowing, and its resulting low borrowing cost, the Project is' economically more feasible. 1. 5. The Authority has been advised by a represen- tative of Miller & Schroeder Municipals, Inc. , of Minneapolis, Minnesota, investment bankers a�d dealers in municipal bonds, that on the basis of intormation submitted to them and their discussions with representatives of the Corporation and poten- tial buyers of �ax-exempt bonds, industrial development revenue � , . .• � . . bonds of the Authority could be issued and sold upon favorable rates and terms to finance a part of the cost of the Project. � 1.6. The Authority is authorized by Minnesota Stat- utes, Chapter 474, as amended (the Act) , to issue its revenue bonds to finance capital projects consisting of properties used and useful in connection with a revenue producing enterprise, such as that of the Corporation, and the issuance of such bonds � by the Authority would be a substantial inducement to the Corporation to construct the Project. 2. On the basis of information given the Authority • to date, it appears that it would be in the best interests of the Authority to issue its industrial development revenue bonds under the provisions of the Act to finance a portion of the cost of the Project of the Corporation at a cost presently estimated to be approximately $1, 000,000. � 3. The financing of the Project is hereby given pre- liminary approval by the Authority and the issuance of bonds for such purpose and in such amount approved, subject to the approval, of the Project by the governing body of the City of Saint Paul as provided by Minnesota Laws 1976, Chapter 234 and to the mutual agreement of the Authority, the Corporation and the initial purchasers of the bonds as to the details of the bond issue and provisions for their payment. In all events, it . is understood, however, that the bonds of the Authority shall not constitute a charge, lien or. encumbrance, legal or equit- able, upon any property of the Authority except the revenues of the Authority received from the Project, and each bond, when, as and if issued, shall recite in substance that the bond, in- cluding interest thereon, is payable solely from the revenues received by the Authority from the Project and shall not consti- tute a debt of the Authority. . 4. The form of Preliminary Agreement relating to the issuance of revenue bonds of the Authority to finance a part of the cost of the Project is hereby approved and the President and Secretary are hereby authorized and directed to execute the Pre- � liminary Agreement in behalf of the Authority. Preliminary Statement. Among the matters of mutual inducement which have resulted in this Agreement are the follow- ing: - (a) The Authority is authorized and empowered by the provisions of Chapter 474, Minnesota Statutes, as amended (the Act) , to issue revenue bonds to defray the costs of a project as � defined in the Act. (b) The Corporation has proposed that the Authority, pursuant to the Act, issue its revenue bonds to pay a part of the costs to be incurred in connection with the acquisition, construc- tion and equipping of an office, storage and equipr.lent repair fa- cility (the Project) within the City of Saint Paul and that the Authority and the Corporation enter into an unsecured loan agree- ment or similar agreement, satisfying the requirements of the Act (the Revenue Agreemen�) . (c) The Corporation wishes to obtain satisfactory as- surance from the Authority that the proceeds of the sale of the � revenue bonds of the Authority will be made available to finance the costs of the Project. (d) The revenue bonds shall be limited obligations of the Authority and the principal thereof and interest thereon shall be payable solely out of the revenues derived from amounts payable to the Authority by the Corporation pursuant to the pro- visions of the Revenue Agreement. 2. Undertakings on the Part of the Authority. Subject to due compliance with all requirements of the Act and other ap- � plicable laws, the Authority hereby agrees as follows: (a) Subject to approval of the governing body of the City of Saint Paul as provided by Minnesota Laws 1976, Chapter 234, the Authority will authorize the issuance and sale of its revenue bonds (the Bonds) in an aggregate amount not exceeding $1,000,000 and maturing, at the option of the Corporation, up to thirty years from their date of issue. (b) That, if it issues and sells the Bonds, it will as requested by the Corporation enter into the Revenue Agreement � -. with the Corporation and make the full amount of net proceeds of the Bonds available to the Corporation. The loan payments or � other amounts payable under the Revenue Agreement will be suf- ficient to pay the grincipal, interest and redemption premium, if any, on the Bonds as and when the same shall become due and payable. � 3. Undertakings on the Part of the Corporation. The � Corporation agrees as follows: (a) That it will use all reasonable efforts to find one or more purchasers for the Bonds. (b) That contemporaneously with the del.ivery of the Bonds the Corporation will enter into the Revenue Agreement with the Authority under the terms of which the Corporation will pay to the Authority sums sufficient in the aggregate to pay the principal of, interest and redemption premium, if any, on the Bonds as and when the same shall become due and payable by the ' Authority, and will also pay to the Authority a financing ad- ministration fee of $200 per month commencing as of the first day of the seventh month following the nominal date of the Bonds. � 4. General Provisions. (a) All commitments of the Authority under paragraph 2 hereof and of the Corporation under paragranh 3 hereof are . subject to the condition that within twelve months from the date hereof or such other date as shall be mutually satisfactory to the Authority and the Corporation, the Authority and the Cor- poration shall have agreed to mutually acceptable terms and con-_ ditions of the Revenue Agreement, the Bonds and of the other in- struments and proceedings relating to the Bonds. (b) The Corporation agrees that it will reimburse the Authority and the City of Saint Paul for all out-of-pocket expen- ses, such as reasonable fees and disbursements of bond counsel, which the Authority or the City of Saint Paul may incur at the Corporation' s request arising from the execution of this Agree- ment and the performance by the Authority or the City of Saint Paul of its obligations hereunder, and this Agreement shall there- upon terminate. � -2- f r . , ������ IN WITNESS WHEREOF, .the parties hereto have entered into this Agreement by their officers thereunto duly authorized this � day of November, 1977.
